CHAPTER 13.02 COMPANIES AND INTELLECTUAL PROPERTY (REGISTRY) ACT
AN ACT to provide for the establishment and administration of the Registry of Companies and Intellectual Property.
Commencement [1 April 2000]
1. Short title
This Act may be cited as the Companies and Intellectual Property (Registry) Act.
2. Interpretation
In this Act—
“Assistant Registrar” means the Assistant Registrar of Companies and Intellectual Property appointed as such by the Public Service Commission;
“Deputy Registrar” means the Deputy Registrar of Companies and Intellectual
Property appointed as such by the Judicial and Legal Services Commission;
“intellectual property” has the meaning assigned to it by Article 2 (viii) of the Convention Establishing the World Intellectual Property Organisation signed at Stockholm on 14 July 1967 as provided in Schedule 1;
“Registrar” means the Registrar of Companies and Intellectual Property
appointed as such by the Judicial and Legal Services Commission.
3. Establishing of Registry
(1) There is established by this Act an office to be known as the Registry of Companies and Intellectual Property.
(2) The Registrar is responsible for the administration of the Registry of Companies and Intellectual Property and shall be assisted by the Deputy Registrar, the Assistant Registrar and such other officers as are necessary for the purpose of carrying
out the functions of the Registrar under the Act and under any other enactment vesting duties, authority or responsibility on the Registrar.
4. Functions of Registrar
(1) The functions of the Registrar are those assigned to the Registrar under—
(a) the Companies Act;
(b) the Copyright Act;
(c) any other enactment in force in Saint Lucia not specifically mentioned in
paragraph (a) and (b).
(2) The Deputy Registrar may, in the absence of the Registrar exercise any function of the Registrar.
(3) The Registrar may with the approval of the Attorney General, by order published in the Gazette, amend Schedule 1 or Schedule 2.
5. Opening hours
The opening hours of the Registry of Companies and Intellectual Property are as prescribed in Schedule 2.

CONVENTION ESTABLISHING THE WORLD INTELLECTUAL PROPERTY ORGANISATION
Article 2 (viii)
“intellectual property” shall include the rights relating to—
— literary, artistic and scientific works,
— performances of performing artists, phonograms, and broadcasts,
— inventions in all fields of human endeavour,
— scientific discoveries,
— industrial designs,
— trademarks, service marks, and commercial names and designations;
— protection against unfair competition,
and all other rights resulting from intellectual activity in the
industrial, scientific, literary or artistic fields.
