Article 43(3) of the Act on Employees' Inventions provides that the amendments, made by Article 7 of the Act of July 31, 2009, apply to all employees' inventions which have been brought to the attention of the employer on or after October 1, 2009. For employees' inventions reported before this date, the previous provisions of the Act apply until September 30, 2009.

§ 1 Anwendungsbereich

Diesem Gesetz unterliegen die Erfindungen und technischen Verbesserungsvorschläge von
Arbeitnehmern im privaten und im öffentlichen Dienst, von Beamten und Soldaten.

§ 2 Erfindungen

Erfindungen im Sinne dieses Gesetzes sind nur Erfindungen, die patent-oder
gebrauchsmusterfähig sind.

§ 3 Technische Verbesserungsvorschläge

Technische Verbesserungsvorschläge im Sinne dieses Gesetzes sind Vorschläge für
sonstige technische Neuerungen, die nicht patent-oder gebrauchsmusterfähig sind.

§ 4 Diensterfindungen und freie Erfindungen

(1)
Erfindungen von Arbeitnehmern im Sinne dieses Gesetzes können gebundene oder freie
Erfindungen sein.
(2)
Gebundene Erfindungen (Diensterfindungen) sind während der Dauer des
Arbeitsverhältnisses gemachte Erfindungen, die entweder
  1. aus der dem Arbeitnehmer im Betrieb oder in der öffentlichen Verwaltung obliegenden
    Tätigkeit entstanden sind oder
  2. maßgeblich auf Erfahrungen oder Arbeiten des Betriebes oder der öffentlichen
    Verwaltung beruhen.
(3)
Sonstige Erfindungen von Arbeitnehmern sind freie Erfindungen. Sie unterliegen
jedoch den Beschränkungen der §§ 18 und 19.
(4)
Die Absätze 1 bis 3 gelten entsprechend für Erfindungen von Beamten und Soldaten.

Zweiter Abschnitt
Erfindungen und technische Verbesserungsvorschläge von
Arbeitnehmern im privaten Dienst

1.
Diensterfindungen

§ 5 Meldepflicht

(1)
Der Arbeitnehmer, der eine Diensterfindung gemacht hat, ist verpflichtet, sie
unverzüglich dem Arbeitgeber gesondert in Textform zu melden und hierbei kenntlich zu
machen, daß es sich um die Meldung einer Erfindung handelt. Sind mehrere Arbeitnehmer
an dem Zustandekommen der Erfindung beteiligt, so können sie die Meldung gemeinsam
abgeben. Der Arbeitgeber hat den Zeitpunkt des Eingangs der Meldung dem Arbeitnehmer
unverzüglich in Textform zu bestätigen.
(2)
In der Meldung hat der Arbeitnehmer die technische Aufgabe, ihre Lösung und das
Zustandekommen der Diensterfindung zu beschreiben. Vorhandene Aufzeichnungen sollen
beigefügt werden, soweit sie zum Verständnis der Erfindung erforderlich sind. Die
Meldung soll dem Arbeitnehmer dienstlich erteilte Weisungen oder Richtlinien, die
benutzten Erfahrungen oder Arbeiten des Betriebes, die Mitarbeiter sowie Art und Umfang
ihrer Mitarbeit angeben und soll hervorheben, was der meldende Arbeitnehmer als seinen
eigenen Anteil ansieht.
(3)
Eine Meldung, die den Anforderungen des Absatzes 2 nicht entspricht, gilt als
ordnungsgemäß, wenn der Arbeitgeber nicht innerhalb von zwei Monaten erklärt, daß und
in welcher Hinsicht die Meldung einer Ergänzung bedarf. Er hat den Arbeitnehmer, soweit
erforderlich, bei der Ergänzung der Meldung zu unterstützen.

§ 6 Inanspruchnahme

(1)
Der Arbeitgeber kann eine Diensterfindung durch Erklärung gegenüber dem
Arbeitnehmer in Anspruch nehmen.
(2)
Die Inanspruchnahme gilt als erklärt, wenn der Arbeitgeber die Diensterfindung
nicht bis zum Ablauf von vier Monaten nach Eingang der ordnungsgemäßen Meldung (§ 5
Abs. 2 Satz 1 und 3) gegenüber dem Arbeitnehmer durch Erklärung in Textform freigibt.

§ 7 Wirkung der Inanspruchnahme

(1)
Mit der Inanspruchnahme gehen alle vermögenswerten Rechte an der Diensterfindung
auf den Arbeitgeber über.
(2)
Verfügungen, die der Arbeitnehmer über eine Diensterfindung vor der Inanspruchnahme
getroffen hat, sind dem Arbeitgeber gegenüber unwirksam, soweit seine Rechte
beeinträchtigt werden.

§ 8 Frei gewordene Diensterfindungen

Eine Diensterfindung wird frei, wenn der Arbeitgeber sie durch Erklärung in Textform
freigibt. Über eine frei gewordene Diensterfindung kann der Arbeitnehmer ohne die
Beschränkungen der §§ 18 und 19 verfügen.

§ 9 Vergütung bei Inanspruchnahme

(1)
Der Arbeitnehmer hat gegen den Arbeitgeber einen Anspruch auf angemessene
Vergütung, sobald der Arbeitgeber die Diensterfindung in Anspruch genommen hat.
(2)
Für die Bemessung der Vergütung sind insbesondere die wirtschaftliche
Verwertbarkeit der Diensterfindung, die Aufgaben und die Stellung des Arbeitnehmers

im Betrieb sowie der Anteil des Betriebes an dem Zustandekommen der Diensterfindung
maßgebend.

§ 10 (weggefallen)

§ 11 Vergütungsrichtlinien

Der Bundesminister für Arbeit erläßt nach Anhörung der Spitzenorganisationen der
Arbeitgeber und der Arbeitnehmer (§ 12 des Tarifvertragsgesetzes) Richtlinien über die
Bemessung der Vergütung.

§ 12 Feststellung oder Festsetzung der Vergütung

(1)
Die Art und Höhe der Vergütung soll in angemessener Frist nach Inanspruchnahme
der Diensterfindung durch Vereinbarung zwischen dem Arbeitgeber und dem Arbeitnehmer
festgestellt werden.
(2)
Wenn mehrere Arbeitnehmer an der Diensterfindung beteiligt sind, ist die Vergütung
für jeden gesondert festzustellen. Die Gesamthöhe der Vergütung und die Anteile
der einzelnen Erfinder an der Diensterfindung hat der Arbeitgeber den Beteiligten
bekanntzugeben.
(3)
Kommt eine Vereinbarung über die Vergütung in angemessener Frist nach
Inanspruchnahme der Diensterfindung nicht zustande, so hat der Arbeitgeber die
Vergütung durch eine begründete Erklärung in Textform an den Arbeitnehmer festzusetzen
und entsprechend der Festsetzung zu zahlen. Die Vergütung ist spätestens bis zum Ablauf
von drei Monaten nach Erteilung des Schutzrechts festzusetzen.
(4)
Der Arbeitnehmer kann der Festsetzung innerhalb von zwei Monaten durch Erklärung
in Textform widersprechen, wenn er mit der Festsetzung nicht einverstanden ist.
Widerspricht er nicht, so wird die Festsetzung für beide Teile verbindlich.
(5)
Sind mehrere Arbeitnehmer an der Diensterfindung beteiligt, so wird die Festsetzung
für alle Beteiligten nicht verbindlich, wenn einer von ihnen der Festsetzung mit der
Begründung widerspricht, daß sein Anteil an der Diensterfindung unrichtig festgesetzt
sei. Der Arbeitgeber ist in diesem Falle berechtigt, die Vergütung für alle Beteiligten
neu festzusetzen.
(6)
Arbeitgeber und Arbeitnehmer können voneinander die Einwilligung in eine andere
Regelung der Vergütung verlangen, wenn sich Umstände wesentlich ändern, die für die
Feststellung oder Festsetzung der Vergütung maßgebend waren. Rückzahlung einer bereits
geleisteten Vergütung kann nicht verlangt werden. Die Absätze 1 bis 5 sind nicht
anzuwenden.

§ 13 Schutzrechtsanmeldung im Inland

(1)
Der Arbeitgeber ist verpflichtet und allein berechtigt, eine gemeldete
Diensterfindung im Inland zur Erteilung eines Schutzrechts anzumelden. Eine
patentfähige Diensterfindung hat er zur Erteilung eines Patents anzumelden,
sofern nicht bei verständiger Würdigung der Verwertbarkeit der Erfindung der
Gebrauchsmusterschutz zweckdienlicher erscheint. Die Anmeldung hat unverzüglich zu
geschehen.
(2)
Die Verpflichtung des Arbeitgebers zur Anmeldung entfällt,
  1. wenn die Diensterfindung frei geworden ist (§ 8);
  2. wenn der Arbeitnehmer der Nichtanmeldung zustimmt;
  3. wenn die Voraussetzungen des § 17 vorliegen.

(3) Genügt der Arbeitgeber nach Inanspruchnahme der Diensterfindung seiner
Anmeldepflicht nicht und bewirkt er die Anmeldung auch nicht innerhalb einer ihm vom

Arbeitnehmer gesetzten angemessenen Nachfrist, so kann der Arbeitnehmer die Anmeldung
der Diensterfindung für den Arbeitgeber auf dessen Namen und Kosten bewirken.

(4) Ist die Diensterfindung frei geworden, so ist nur der Arbeitnehmer berechtigt, sie
zur Erteilung eines Schutzrechts anzumelden. Hatte der Arbeitgeber die Diensterfindung
bereits zur Erteilung eines Schutzrechts angemeldet, so gehen die Rechte aus der
Anmeldung auf den Arbeitnehmer über.

§ 14 Schutzrechtsanmeldung im Ausland

(1)
Nach Inanspruchnahme der Diensterfindung ist der Arbeitgeber berechtigt, diese auch
im Ausland zur Erteilung von Schutzrechten anzumelden.
(2)
Für ausländische Staaten, in denen der Arbeitgeber Schutzrechte nicht erwerben
will, hat er dem Arbeitnehmer die Diensterfindung freizugeben und ihm auf Verlangen
den Erwerb von Auslandsschutzrechten zu ermöglichen. Die Freigabe soll so rechtzeitig
vorgenommen werden, daß der Arbeitnehmer die Prioritätsfristen der zwischenstaatlichen
Verträge auf dem Gebiet des gewerblichen Rechtsschutzes ausnutzen kann.
(3)
Der Arbeitgeber kann sich gleichzeitig mit der Freigabe nach Absatz 2 ein
nichtausschließliches Recht zur Benutzung der Diensterfindung in den betreffenden
ausländischen Staaten gegen angemessene Vergütung vorbehalten und verlangen, daß
der Arbeitnehmer bei der Verwertung der freigegebenen Erfindung in den betreffenden
ausländischen Staaten die Verpflichtungen des Arbeitgebers aus den im Zeitpunkt der
Freigabe bestehenden Verträgen über die Diensterfindung gegen angemessene Vergütung
berücksichtigt.

§ 15 Gegenseitige Rechte und Pflichten beim Erwerb von Schutzrechten

(1)
Der Arbeitgeber hat dem Arbeitnehmer zugleich mit der Anmeldung der Diensterfindung
zur Erteilung eines Schutzrechts Abschriften der Anmeldeunterlagen zu geben. Er hat ihn
von dem Fortgang des Verfahrens zu unterrichten und ihm auf Verlangen Einsicht in den
Schriftwechsel zu gewähren.
(2)
Der Arbeitnehmer hat den Arbeitgeber auf Verlangen beim Erwerb von Schutzrechten zu
unterstützen und die erforderlichen Erklärungen abzugeben.

§ 16 Aufgabe der Schutzrechtsanmeldung oder des Schutzrechts

(1)
Wenn der Arbeitgeber vor Erfüllung des Anspruchs des Arbeitnehmers auf angemessene
Vergütung die Anmeldung der Diensterfindung zur Erteilung eines Schutzrechts
nicht weiterverfolgen oder das auf die Diensterfindung erteilte Schutzrecht nicht
aufrechterhalten will, hat er dies dem Arbeitnehmer mitzuteilen und ihm auf dessen
Verlangen und Kosten das Recht zu übertragen sowie die zur Wahrung des Rechts
erforderlichen Unterlagen auszuhändigen.
(2)
Der Arbeitgeber ist berechtigt, das Recht aufzugeben, sofern der Arbeitnehmer
nicht innerhalb von drei Monaten nach Zugang der Mitteilung die Übertragung des Rechts
verlangt.
(3)
Gleichzeitig mit der Mitteilung nach Absatz 1 kann sich der Arbeitgeber ein
nichtausschließliches Recht zur Benutzung der Diensterfindung gegen angemessene
Vergütung vorbehalten.

§ 17 Betriebsgeheimnisse

(1)
Wenn berechtigte Belange des Betriebes es erfordern, eine gemeldete Diensterfindung
nicht bekanntwerden zu lassen, kann der Arbeitgeber von der Erwirkung eines
Schutzrechts absehen, sofern er die Schutzfähigkeit der Diensterfindung gegenüber dem
Arbeitnehmer anerkennt.
(2)
Erkennt der Arbeitgeber die Schutzfähigkeit der Diensterfindung nicht an, so
kann er von der Erwirkung eines Schutzrechts absehen, wenn er zur Herbeiführung einer
Einigung über die Schutzfähigkeit der Diensterfindung die Schiedsstelle (§ 29) anruft.

(3) Bei der Bemessung der Vergütung für eine Erfindung nach Absatz 1 sind auch die
wirtschaftlichen Nachteile zu berücksichtigen, die sich für den Arbeitnehmer daraus
ergeben, daß auf die Diensterfindung kein Schutzrecht erteilt worden ist.

2.
Freie Erfindungen

§ 18 Mitteilungspflicht

(1)
Der Arbeitnehmer, der während der Dauer des Arbeitsverhältnisses eine freie
Erfindung gemacht hat, hat dies dem Arbeitgeber unverzüglich durch Erklärung in
Textform mitzuteilen. Dabei muß über die Erfindung und, wenn dies erforderlich ist,
auch über ihre Entstehung so viel mitgeteilt werden, daß der Arbeitgeber beurteilen
kann, ob die Erfindung frei ist.
(2)
Bestreitet der Arbeitgeber nicht innerhalb von drei Monaten nach Zugang der
Mitteilung durch Erklärung in Textform an den Arbeitnehmer, daß die ihm mitgeteilte
Erfindung frei sei, so kann die Erfindung nicht mehr als Diensterfindung in Anspruch
genommen werden (§ 6).
(3)
Eine Verpflichtung zur Mitteilung freier Erfindungen besteht nicht, wenn die
Erfindung offensichtlich im Arbeitsbereich des Betriebes des Arbeitgebers nicht
verwendbar ist.

§ 19 Anbietungspflicht

(1)
Bevor der Arbeitnehmer eine freie Erfindung während der Dauer des
Arbeitsverhältnisses anderweitig verwertet, hat er zunächst dem Arbeitgeber mindestens
ein nichtausschließliches Recht zur Benutzung der Erfindung zu angemessenen Bedingungen
anzubieten, wenn die Erfindung im Zeitpunkt des Angebots in den vorhandenen oder
vorbereiteten Arbeitsbereich des Betriebes des Arbeitgebers fällt. Das Angebot kann
gleichzeitig mit der Mitteilung nach § 18 abgegeben werden.
(2)
Nimmt der Arbeitgeber das Angebot innerhalb von drei Monaten nicht an, so erlischt
das Vorrecht.
(3)
Erklärt sich der Arbeitgeber innerhalb der Frist des Absatzes 2 zum Erwerb des ihm
angebotenen Rechts bereit, macht er jedoch geltend, daß die Bedingungen des Angebots
nicht angemessen seien, so setzt das Gericht auf Antrag des Arbeitgebers oder des
Arbeitnehmers die Bedingungen fest.
(4)
Der Arbeitgeber oder der Arbeitnehmer kann eine andere Festsetzung der Bedingungen
beantragen, wenn sich Umstände wesentlich ändern, die für die vereinbarten oder
festgesetzten Bedingungen maßgebend waren.

Technische Verbesserungsvorschläge

§ 20

(1)
Für technische Verbesserungsvorschläge, die dem Arbeitgeber eine ähnliche
Vorzugsstellung gewähren wie ein gewerbliches Schutzrecht, hat der Arbeitnehmer gegen
den Arbeitgeber einen Anspruch auf angemessene Vergütung, sobald dieser sie verwertet.
Die Bestimmungen der §§ 9 und 12 sind sinngemäß anzuwenden.
(2)
Im übrigen bleibt die Behandlung technischer Verbesserungsvorschläge der Regelung
durch Tarifvertrag oder Betriebsvereinbarung überlassen.

Gemeinsame Bestimmungen

§ 21 (weggefallen)

§ 22 Unabdingbarkeit

Die Vorschriften dieses Gesetzes können zuungunsten des Arbeitnehmers nicht abgedungen
werden. Zulässig sind jedoch Vereinbarungen über Diensterfindungen nach ihrer Meldung,
über freie Erfindungen und technische Verbesserungsvorschläge (§ 20 Abs. 1) nach ihrer
Mitteilung.

§ 23 Unbilligkeit

(1)
Vereinbarungen über Diensterfindungen, freie Erfindungen oder technische
Verbesserungsvorschläge (§ 20 Abs. 1), die nach diesem Gesetz zulässig sind, sind
unwirksam, soweit sie in erheblichem Maße unbillig sind. Das gleiche gilt für die
Festsetzung der Vergütung (§ 12 Abs. 4).
(2)
Auf die Unbilligkeit einer Vereinbarung oder einer Festsetzung der Vergütung können
sich Arbeitgeber und Arbeitnehmer nur berufen, wenn sie die Unbilligkeit spätestens bis
zum Ablauf von sechs Monaten nach Beendigung des Arbeitsverhältnisses durch Erklärung
in Textform gegenüber dem anderen Teil geltend machen.

§ 24 Geheimhaltungspflicht

(1)
Der Arbeitgeber hat die ihm gemeldete oder mitgeteilte Erfindung eines
Arbeitnehmers so lange geheimzuhalten, als dessen berechtigte Belange dies erfordern.
(2)
Der Arbeitnehmer hat eine Diensterfindung so lange geheimzuhalten, als sie nicht
frei geworden ist (§ 8).
(3)
Sonstige Personen, die auf Grund dieses Gesetzes von einer Erfindung Kenntnis
erlangt haben, dürfen ihre Kenntnis weder auswerten noch bekanntgeben.

§ 25 Verpflichtungen aus dem Arbeitsverhältnis

Sonstige Verpflichtungen, die sich für den Arbeitgeber und den Arbeitnehmer aus dem
Arbeitsverhältnis ergeben, werden durch die Vorschriften dieses Gesetzes nicht berührt,
soweit sich nicht daraus, daß die Erfindung frei geworden ist (§ 8), etwas anderes
ergibt.

§ 26 Auflösung des Arbeitsverhältnisses

Die Rechte und Pflichten aus diesem Gesetz werden durch die Auflösung des
Arbeitsverhältnisses nicht berührt.

§ 27 Insolvenzverfahren

Wird nach Inanspruchnahme der Diensterfindung das Insolvenzverfahren über das Vermögen
des Arbeitgebers eröffnet, so gilt folgendes:

  1. Veräußert der Insolvenzverwalter die Diensterfindung mit dem Geschäftsbetrieb, so
    tritt der Erwerber für die Zeit von der Eröffnung des Insolvenzverfahrens an in die
    Vergütungspflicht des Arbeitgebers ein.
  2. Verwertet der Insolvenzverwalter die Diensterfindung im Unternehmen des Schuldners,
    so hat er dem Arbeitnehmer eine angemessene Vergütung für die Verwertung aus der
    Insolvenzmasse zu zahlen.
  3. In allen anderen Fällen hat der Insolvenzverwalter dem Arbeitnehmer die
    Diensterfindung sowie darauf bezogene Schutzrechtspositionen spätestens nach
    Ablauf eines Jahres nach Eröffnung des Insolvenzverfahrens anzubieten; im Übrigen
    gilt § 16 entsprechend. Nimmt der Arbeitnehmer das Angebot innerhalb von zwei

Monaten nach dessen Zugang nicht an, kann der Insolvenzverwalter die Erfindung ohne
Geschäftsbetrieb veräußern oder das Recht aufgeben. Im Fall der Veräußerung kann
der Insolvenzverwalter mit dem Erwerber vereinbaren, dass sich dieser verpflichtet,
dem Arbeitnehmer die Vergütung nach § 9 zu zahlen. Wird eine solche Vereinbarung
nicht getroffen, hat der Insolvenzverwalter dem Arbeitnehmer die Vergütung aus dem
Veräußerungserlös zu zahlen.

4. Im Übrigen kann der Arbeitnehmer seine Vergütungsansprüche nach den §§ 9 bis 12 nur
als Insolvenzgläubiger geltend machen.

5.
Schiedsverfahren

§ 28 Gütliche Einigung

In allen Streitfällen zwischen Arbeitgeber und Arbeitnehmer auf Grund dieses Gesetzes
kann jederzeit die Schiedsstelle angerufen werden. Die Schiedsstelle hat zu versuchen,
eine gütliche Einigung herbeizuführen.

§ 29 Errichtung der Schiedsstelle

(1)
Die Schiedsstelle wird beim Patentamt errichtet.
(2)
Die Schiedsstelle kann außerhalb ihres Sitzes zusammentreten.

§ 30 Besetzung der Schiedsstelle

(1)
Die Schiedsstelle besteht aus einem Vorsitzenden oder seinem Vertreter und zwei
Beisitzern.
(2)
Der Vorsitzende und sein Vertreter sollen die Befähigung zum Richteramt nach dem
Deutschen Richtergesetz besitzen. Sie werden vom Bundesminister der Justiz für die
Dauer von vier Jahren berufen. Eine Wiederberufung ist zulässig.
(3)
Die Beisitzer sollen auf dem Gebiet der Technik, auf das sich die Erfindung oder
der technische Verbesserungsvorschlag bezieht, besondere Erfahrung besitzen. Sie werden
vom Präsidenten des Patentamts aus den Mitgliedern oder Hilfsmitgliedern des Patentamts
für den einzelnen Streitfall berufen.
(4)
Auf Antrag eines Beteiligten ist die Besetzung der Schiedsstelle um je einen
Beisitzer aus Kreisen der Arbeitgeber und der Arbeitnehmer zu erweitern. Diese
Beisitzer werden vom Präsidenten des Patentamts aus Vorschlagslisten ausgewählt und
für den einzelnen Streitfall bestellt. Zur Einreichung von Vorschlagslisten sind
berechtigt die in § 11 genannten Spitzenorganisationen, ferner die Gewerkschaften und
die selbständigen Vereinigungen von Arbeitnehmern mit sozial-oder berufspolitischer
Zwecksetzung, die keiner dieser Spitzenorganisationen angeschlossen sind, wenn ihnen
eine erhebliche Zahl von Arbeitnehmern angehört, von denen nach der ihnen im Betrieb
obliegenden Tätigkeit erfinderische Leistungen erwartet werden.
(5)
Der Präsident des Patentamts soll den Beisitzer nach Absatz 4 aus der
Vorschlagsliste derjenigen Organisation auswählen, welcher der Beteiligte angehört,
wenn der Beteiligte seine Zugehörigkeit zu einer Organisation vor der Auswahl der
Schiedsstelle mitgeteilt hat.
(6)
Die Dienstaufsicht über die Schiedsstelle führt der Vorsitzende, die Dienstaufsicht
über den Vorsitzenden der Präsident des Patentamts. Die Mitglieder der Schiedsstelle
sind an Weisungen nicht gebunden.

§ 31 Anrufung der Schiedsstelle

(1) Die Anrufung der Schiedsstelle erfolgt durch schriftlichen Antrag. Der Antrag soll
in zwei Stücken eingereicht werden. Er soll eine kurze Darstellung des Sachverhalts
sowie Namen und Anschrift des anderen Beteiligten enthalten.

(2) Der Antrag wird vom Vorsitzenden der Schiedsstelle dem anderen Beteiligten mit
der Aufforderung zugestellt, sich innerhalb einer bestimmten Frist zu dem Antrag
schriftlich zu äußern.

§ 32 Antrag auf Erweiterung der Schiedsstelle

Der Antrag auf Erweiterung der Besetzung der Schiedsstelle ist von demjenigen, der
die Schiedsstelle anruft, zugleich mit der Anrufung (§ 31 Abs. 1), von dem anderen
Beteiligten innerhalb von zwei Wochen nach Zustellung des die Anrufung enthaltenden
Antrags (§ 31 Abs. 2) zu stellen.

§ 33 Verfahren vor der Schiedsstelle

(1) Auf das Verfahren vor der Schiedsstelle sind §§ 41 bis 48, 1042 Abs. 1 und § 1050
der Zivilprozeßordnung sinngemäß anzuwenden. § 1042 Abs. 2 der Zivilprozeßordnung ist
mit der Maßgabe sinngemäß anzuwenden, daß auch Patentanwälte und Erlaubnisscheininhaber

(Artikel 3 des Zweiten Gesetzes zur Änderung und Überleitung von Vorschriften auf
dem Gebiet des gewerblichen Rechtsschutzes vom 2. Juli 1949 -WiGBl. S. 179)
sowie
Verbandsvertreter im Sinne des § 11 des Arbeitsgerichtsgesetzes von der Schiedsstelle
nicht zurückgewiesen werden dürfen.

(2) Im übrigen bestimmt die Schiedsstelle das Verfahren selbst.

§ 34 Einigungsvorschlag der Schiedsstelle

(1)
Die Schiedsstelle faßt ihre Beschlüsse mit Stimmenmehrheit, § 196 Abs. 2 des
Gerichtsverfassungsgesetzes ist anzuwenden.
(2)
Die Schiedsstelle hat den Beteiligten einen Einigungsvorschlag zu machen. Der
Einigungsvorschlag ist zu begründen und von sämtlichen Mitgliedern der Schiedsstelle zu
unterschreiben. Auf die Möglichkeit des Widerspruchs und die Folgen bei Versäumung der
Widerspruchsfrist ist in dem Einigungsvorschlag hinzuweisen. Der Einigungsvorschlag ist
den Beteiligten zuzustellen.
(3)
Der Einigungsvorschlag gilt als angenommen und eine dem Inhalt des Vorschlags
entsprechende Vereinbarung als zustande gekommen, wenn nicht innerhalb eines Monats
nach Zustellung des Vorschlages ein schriftlicher Widerspruch eines der Beteiligten bei
der Schiedsstelle eingeht.
(4)
Ist einer der Beteiligten durch unabwendbaren Zufall verhindert worden, den
Widerspruch rechtzeitig einzulegen, so ist er auf Antrag wieder in den vorigen Stand
einzusetzen. Der Antrag muß innerhalb eines Monats nach Wegfall des Hindernisses
schriftlich bei der Schiedsstelle eingereicht werden. Innerhalb dieser Frist ist der
Widerspruch nachzuholen. Der Antrag muß die Tatsachen, auf die er gestützt wird, und
die Mittel angeben, mit denen diese Tatsachen glaubhaft gemacht werden. Ein Jahr nach
Zustellung des Einigungsvorschlages kann die Wiedereinsetzung nicht mehr beantragt und
der Widerspruch nicht mehr nachgeholt werden.
(5)
Über den Wiedereinsetzungsantrag entscheidet die Schiedsstelle. Gegen die
Entscheidung der Schiedsstelle findet die sofortige Beschwerde nach den Vorschriften
der Zivilprozeßordnung an das für den Sitz des Antragstellers zuständige Landgericht
statt.

§ 35 Erfolglose Beendigung des Schiedsverfahrens

(1) Das Verfahren vor der Schiedsstelle ist erfolglos beendet,

1. wenn sich der andere Beteiligte innerhalb der ihm nach § 31 Abs. 2 gesetzten Frist
nicht geäußert hat;

  1. wenn er es abgelehnt hat, sich auf das Verfahren vor der Schiedsstelle einzulassen;
  2. wenn innerhalb der Frist des § 34 Abs. 3 ein schriftlicher Widerspruch eines der
    Beteiligten bei der Schiedsstelle eingegangen ist.

(2) Der Vorsitzende der Schiedsstelle teilt die erfolglose Beendigung des
Schiedsverfahrens den Beteiligten mit.

§ 36 Kosten des Schiedsverfahrens

Im Verfahren vor der Schiedsstelle werden keine Gebühren oder Auslagen erhoben.

6.
Gerichtliches Verfahren

§ 37 Voraussetzungen für die Erhebung der Klage

(1)
Rechte oder Rechtsverhältnisse, die in diesem Gesetz geregelt sind, können im Wege
der Klage erst geltend gemacht werden, nachdem ein Verfahren vor der Schiedsstelle
vorausgegangen ist.
(2)
Dies gilt nicht,
  1. wenn mit der Klage Rechte aus einer Vereinbarung (§§ 12, 19, 22, 34) geltend
    gemacht werden oder die Klage darauf gestützt wird, daß die Vereinbarung nicht
    rechtswirksam sei;
  2. wenn seit der Anrufung der Schiedsstelle sechs Monate verstrichen sind;
  3. wenn der Arbeitnehmer aus dem Betrieb des Arbeitgebers ausgeschieden ist;
  4. wenn die Parteien vereinbart haben, von der Anrufung der Schiedsstelle abzusehen.
    Diese Vereinbarung kann erst getroffen werden, nachdem der Streitfall (§ 28)
    eingetreten ist. Sie bedarf der Schriftform.
(3)
Einer Vereinbarung nach Absatz 2 Nr. 4 steht es gleich, wenn beide Parteien zur
Hauptsache mündlich verhandelt haben, ohne geltend zu machen, daß die Schiedsstelle
nicht angerufen worden ist.
(4)
Der vorherigen Anrufung der Schiedsstelle bedarf es ferner nicht für Anträge auf
Anordnung eines Arrestes oder einer einstweiligen Verfügung.
(5)
Die Klage ist nach Erlaß eines Arrestes oder einer einstweiligen Verfügung ohne
die Beschränkung des Absatzes 1 zulässig, wenn der Partei nach den §§ 926, 936 der
Zivilprozeßordnung eine Frist zur Erhebung der Klage bestimmt worden ist.

§ 38 Klage auf angemessene Vergütung

Besteht Streit über die Höhe der Vergütung, so kann die Klage auch auf Zahlung eines
vom Gericht zu bestimmenden angemessenen Betrages gerichtet werden.

§ 39 Zuständigkeit

(1)
Für alle Rechtsstreitigkeiten über Erfindungen eines Arbeitnehmers sind die für
Patentstreitsachen zuständigen Gerichte (§ 143 des Patentgesetzes) ohne Rücksicht
auf den Streitwert ausschließlich zuständig. Die Vorschriften über das Verfahren in
Patentstreitsachen sind anzuwenden.
(2)
Ausgenommen von der Regelung des Absatzes 1 sind Rechtsstreitigkeiten, die
ausschließlich Ansprüche auf Leistung einer festgestellten oder festgesetzten Vergütung
für eine Erfindung zum Gegenstand haben.

Erfindungen und technische Verbesserungsvorschläge von
Arbeitnehmern im öffentlichen Dienst, von Beamten und
Soldaten

§ 40 Arbeitnehmer im öffentlichen Dienst

Auf Erfindungen und technische Verbesserungsvorschläge von Arbeitnehmern, die in
Betrieben und Verwaltungen des Bundes, der Länder, der Gemeinden und sonstigen
Körperschaften, Anstalten und Stiftungen des öffentlichen Rechts beschäftigt sind, sind
die Vorschriften für Arbeitnehmer im privaten Dienst mit folgender Maßgabe anzuwenden:

  1. An Stelle der Inanspruchnahme der Diensterfindung kann der Arbeitgeber eine
    angemessene Beteiligung an dem Ertrag der Diensterfindung in Anspruch nehmen, wenn
    dies vorher vereinbart worden ist. Über die Höhe der Beteiligung können im voraus
    bindende Abmachungen getroffen werden. Kommt eine Vereinbarung über die Höhe der
    Beteiligung nicht zustande, so hat der Arbeitgeber sie festzusetzen. § 12 Abs. 3
    bis 6 ist entsprechend anzuwenden.
  2. Die Behandlung von technischen Verbesserungsvorschlägen nach § 20 Abs. 2 kann auch
    durch Dienstvereinbarung geregelt werden; Vorschriften, nach denen die Einigung
    über die Dienstvereinbarung durch die Entscheidung einer höheren Dienststelle oder
    einer dritten Stelle ersetzt werden kann, finden keine Anwendung.
  3. Dem Arbeitnehmer können im öffentlichen Interesse durch allgemeine Anordnung
    der zuständigen obersten Dienstbehörde Beschränkungen hinsichtlich der Art der
    Verwertung der Diensterfindung auferlegt werden.
  4. Zur Einreichung von Vorschlagslisten für Arbeitgeberbeisitzer (§ 30 Abs. 4) sind
    auch die Bundesregierung und die Landesregierungen berechtigt.
  5. Soweit öffentliche Verwaltungen eigene Schiedsstellen zur Beilegung von
    Streitigkeiten auf Grund dieses Gesetzes errichtet haben, finden die Vorschriften
    der §§ 29 bis 32 keine Anwendung.

§ 41 Beamte, Soldaten

Auf Erfindungen und technische Verbesserungsvorschläge von Beamten und Soldaten sind
die Vorschriften für Arbeitnehmer im öffentlichen Dienst entsprechend anzuwenden.

§ 42 Besondere Bestimmungen für Erfindungen an Hochschulen

Für Erfindungen der an einer Hochschule Beschäftigten gelten folgende besonderen
Bestimmungen:

  1. Der Erfinder ist berechtigt, die Diensterfindung im Rahmen seiner Lehr-und
    Forschungstätigkeit zu offenbaren, wenn er dies dem Dienstherrn rechtzeitig, in
    der Regel zwei Monate zuvor, angezeigt hat. § 24 Abs. 2 findet insoweit keine
    Anwendung.
  2. Lehnt ein Erfinder aufgrund seiner Lehr-und Forschungsfreiheit die Offenbarung
    seiner Diensterfindung ab, so ist er nicht verpflichtet, die Erfindung dem
    Dienstherrn zu melden. Will der Erfinder seine Erfindung zu einem späteren
    Zeitpunkt offenbaren, so hat er dem Dienstherrn die Erfindung unverzüglich zu
    melden.
  3. Dem Erfinder bleibt im Fall der Inanspruchnahme der Diensterfindung ein
    nichtausschließliches Recht zur Benutzung der Diensterfindung im Rahmen seiner
    Lehr-und Forschungstätigkeit.
  4. Verwertet der Dienstherr die Erfindung, beträgt die Höhe der Vergütung 30 vom
    Hundert der durch die Verwertung erzielten Einnahmen.
  5. § 40 Nr. 1 findet keine Anwendung.

Übergangs-und Schlußbestimmungen

§ 43 Übergangsvorschrift

(1)
§ 42 in der am 7. Februar 2002 (BGBl. I S. 414) geltenden Fassung dieses Gesetzes
findet nur Anwendung auf Erfindungen, die nach dem 6. Februar 2002 gemacht worden
sind. Abweichend von Satz 1 ist in den Fällen, in denen sich Professoren, Dozenten oder
wissenschaftliche Assistenten an einer wissenschaftlichen Hochschule zur Übertragung
der Rechte an einer Erfindung gegenüber einem Dritten vor dem 18. Juli 2001 vertraglich
verpflichtet haben, § 42 des Gesetzes über Arbeitnehmererfindungen in der bis zum 6.
Februar 2002 geltenden Fassung bis zum 7. Februar 2003 weiter anzuwenden.
(2)
Für die vor dem 7. Februar 2002 von den an einer Hochschule Beschäftigten gemachten
Erfindungen sind die Vorschriften des Gesetzes über Arbeitnehmererfindungen in der
bis zum 6. Februar 2002 geltenden Fassung anzuwenden. Das Recht der Professoren,
Dozenten und wissenschaftlichen Assistenten an einer wissenschaftlichen Hochschule,
dem Dienstherrn ihre vor dem 6. Februar 2002 gemachten Erfindungen anzubieten, bleibt
unberührt.
(3)
Auf Erfindungen, die vor dem 1. Oktober 2009 gemeldet wurden, sind die Vorschriften
dieses Gesetzes in der bis zum 30. September 2009 geltenden Fassung weiter anzuwenden.
Für technische Verbesserungsvorschläge gilt Satz 1 entsprechend.

§ 44 (weggefallen)

§ 45 Durchführungsbestimmungen

Der Bundesminister der Justiz wird ermächtigt, im Einvernehmen mit dem Bundesminister
für Arbeit die für die Erweiterung der Besetzung der Schiedsstelle (§ 30 Abs. 4 und 5)
erforderlichen Durchführungsbestimmungen zu erlassen. Insbesondere kann er bestimmen,

  1. welche persönlichen Voraussetzungen Personen erfüllen müssen, die als Beisitzer aus
    Kreisen der Arbeitgeber oder der Arbeitnehmer vorgeschlagen werden;
  2. wie die auf Grund der Vorschlagslisten ausgewählten Beisitzer für ihre Tätigkeit zu
    entschädigen sind.

§ 46 Außerkrafttreten von Vorschriften

Mit dem Inkrafttreten dieses Gesetzes werden folgende Vorschriften aufgehoben, soweit
sie nicht bereits außer Kraft getreten sind:

1. die Verordnung über die Behandlung von Erfindungen von Gefolgschaftsmitgliedern vom

12. Juli 1942 (Reichsgesetzbl. I S. 466);

2. die Durchführungsverordnung zur Verordnung über die Behandlung von Erfindungen von
Gefolgschaftsmitgliedern vom 20. März 1943 (Reichsgesetzbl. I S. 257).

CHAPTER I
APPLICATION AND DEFINITION

Application of the Law

1.-
This Law applies to inventions and to technical improvement proposals made by employees in private employment, by employees in public service, by civil servants, and by members of the armed forces.

Inventions

2.-
Inventions within the meaning of this Law are only those which may be the subject of a patent or of protection as a utility model.

Technical Improvement Proposals

3.-
Technical improvement proposals within the meaning of this Law are proposals for other technical innovations that may not be the subject of a patent or of protection as a utility model.

Service Inventions and Free Inventions

4.-
(1) Employee inventions within the meaning of this Law may be either tied or free.
(2) Tied inventions (service inventions) are those made during the term of employment which:
(i) either resulted from the employee's tasks in the private enterprise or in the public authority,
(ii) or are essentially based upon the experience or activities of the enterprise or public authority.
(3) Other inventions of an employee shall be free inventions. They shall however be subject to the limitations contained in Sections 18 and 19, below.
(4) Subsections (1) to (3) shall apply mutatis mutandis to inventions made by civil servants and members of the armed forces.

CHAPTER II
INVENTIONS AND TECHNICAL IMPROVEMENT
PROPOSALS MADE BY EMPLOYEES
IN PRIVATE EMPLOYMENT

1. Service Inventions

Duty to Report
5.-
(1) Any employee making a service invention shall be under a duty to report the invention to his employer immediately in a special written notice indicating that said writing constitutes the report of an invention. Where two or more employees have contributed to making the invention, a joint notice may be filed. The employer shall inform his employee without delay and in writing of the date the report was received.
(2) In the report, the employee must describe the technical problem, its solution and how he arrived at the service invention. Any existing notes necessary for an understanding of the invention shall be attached. The report shall include the service instructions and directions received by the employee, the experience and activities in the enterprise of which use was made, the employee's co-workers and the nature and extent of their contribution, and the report should underline the contribution which the employee making the report considers to be his own.
(3) A report which does not meet the requirements of subsection (2) shall be deemed to be in order unless the employer requests further particulars within two months, stating the points in the report which are to be supplemented. To the extent necessary, he must assist the employee in supplementing the invention report.
Claiming a Service Invention
6.-
(1) An employer may claim a service invention by means of an unlimited or a limited claim.
(2) Such claim shall be made in a written statement, addressed to the employee. It shall be made as soon as possible, and no later than four months from the receipt of a proper report (Section 5(2) and (3)).
Effect of the Claim
7.-
(1) On the receipt of a written declaration of an unlimited claim, all rights in the service invention shall pass to the employer.
(2) On the receipt of a written declaration of a limited claim, a non-exclusive right to use the service invention shall pass to the employer. Should an employer's right of use unreasonably impede an employee's further exploitation of his invention, the employee may request that, within a period of two months, his employer either make an unlimited claim to the service invention or release it to the employee.
(3) Dispositions of a service invention made by an employee before his employer has declared a claim, shall have no effect on his employer, insofar as the employer's rights are concerned.
Service Inventions Becoming Free
8.-
(1) A service invention shall become free:
(i) where the employer releases it by a written statement;
(ii) where the employer makes a limited claim to it, subject to the employer's right to use the invention in accordance with Section 7(2);
(iii) where the employer has not made a claim to it within four months upon receiving a proper invention report (Section 5(2) and (3)) or, for cases falling under Section 7(2), within two months of the request filed by his employee.
(2) The employee may dispose of a service invention that has become free and the restrictions in Sections 18 and 19 shall not apply.
Compensation for an Unlimited Claim
9.-
(1) The employee shall have a right to reasonable compensation as against his employer, as soon as the employer has made an unlimited claim to a service invention.
(2) In assessing compensation, due consideration shall in particular be given to the commercial applicability of the service invention, the duties and position of the employee in the enterprise, and the enterprise's contribution to the invention.
Compensation for a Limited Claim
10.-
(1) The employee shall have a right to reasonable compensation as against his employer, as soon as the employer has made a limited claim to a service invention and has used it. Section 9(2) shall apply mutatis mutandis.
(2) After having stated a claim to a service invention, an employer may not, in dealing with his employee, contest the invention's eligibility, at the time of the claim, for industrial property protection unless a decision to this effect has been rendered by the Patent Office or a court of law. The employee's right to such compensation as becomes payable before the decision has force of law shall not be affected thereby.
Directives Governing Compensation Payments
11.-
After hearing leading organizations representing employers and employees (in accordance with Section 10a of the Law on Collective Bargaining Agreements), the Federal Minister of Labor shall issue Directives for assessing compensation.
Ascertaining or Fixing Compensation
12.-
(1) The nature and amount of compensation shall be established by agreement between the employer and the employee within a reasonable time after the claim to a service invention.
(2) Where two or more employees have contributed to a service invention, compensation shall be determined separately for each of them. The employer must notify the employees of the total amount of compensation awarded and of the share assigned to each inventor.
(3) Where no compensation agreement is concluded within a reasonable time after a claim to a service invention was made, the employer shall fix the amount of compensation, giving his reasons in writing to the employee, and shall pay in accordance with his settlement. For unlimited claims to a service invention, compensation must be fixed within three months from the grant of the industrial property protection; for limited claims, it must be fixed within three months from when the invention began to be used.
(4) An employee who disagrees with the settlement may object thereto in writing within two months. If he does not object, the settlement shall be binding upon both parties.
(5) Where two or more employees have contributed to the service invention, the settlement shall not bind any of them if one of them objects on the ground that his contribution to the service invention has been incorrectly determined. In this case, the employer may make a new compensation settlement for all parties.
(6) Both the employer and the employee may require the other to consent to a different compensation arrangement, if a substantial change has occurred in the circumstances essential to ascertaining or fixing the compensation. A refund of compensation payments already received may not be requested. Subsections (1) to (5) shall not be applicable.
Application for Domestic Industrial Property Protection
13.-
(1) An employer shall be under a duty-and he shall be solely entitled-to apply for domestic industrial property protection for a service invention reported to him. Where the invention is capable of patent protection, he shall apply for a patent unless, on an evaluation of the industrial applicability of the service invention, protection as a utility model appears more appropriate. The application shall be filed without delay.
(2) An employer's obligation to file such an application shall terminate:
(i) where the service invention has become free (Section 8(1));
(ii) where the employee has agreed that no application is to be filed;
(iii) where the conditions contained in Section 17 are present.
(3) Where, after making an unlimited claim to a service invention, an employer does not comply with his duty to apply for industrial property protection and also fails to do so within a reasonable additional period fixed by the employee, the employee may file an industrial property application for the service invention in the employer's name and at the employer's expense.
(4) Where a service invention has become free, only the employee shall be entitled to apply for industrial property protection therefor. Should his employer already have applied for industrial property protection for the service invention, his rights resulting from such application shall pass to the employee.
Application for Industrial Property
Protection Abroad
14.-
(1) After making an unlimited claim to a service invention, an employer shall also be entitled to apply for industrial property protection abroad.
(2) For foreign countries in which an employer does not desire to acquire industrial property rights, he shall release the service invention to the employee and shall, upon request, enable the employee to acquire such rights. The release must be effected in sufficient time for the employee to take advantage of the priority dates under international treaties in the field of industrial property.
(3) At the time of releasing a service invention under subsection (2), an employer may reserve for himself a non-exclusive right to use the service invention in the foreign countries concerned, against reasonable compensation, and may require the employee, also against reasonable compensation, to respect the employer's obligations arising from contracts existing at the time of the invention's release, while the employee is exploiting the service invention released to him.
Mutual Rights and Duties in Acquiring
Industrial Property Protection
15.-
(1) Upon filing an industrial property application for a service invention, an employer must give his employee copies of the application documents. He must keep his employee informed of the progress of the application procedure and, if requested, must allow him to inspect the correspondence.
(2) If requested to do so, the employee must assist his employer in acquiring the industrial property rights and shall be obliged to make the necessary statements.
Abandoning Industrial Property Applications or
Granted Industrial Property Rights
16.-
(1) Where an employer, before fully meeting his employee's demand for reasonable compensation, intends to stop prosecuting an industrial property application for a service invention, or to surrender an issued grant or registration, he must inform his employee accordingly and, at the employee's request and expense, must assign the rights to him and turn over to him any documents necessary to maintain the rights.
(2) An employer shall be entitled to surrender an issued grant, if his employee does not request assignment thereof within three months from receipt of the communication made to the employee.
(3) At the time of making the communication provided for in subsection (1), the employer may reserve for himself, against payment of reasonable compensation, a non-exclusive right to use the service invention.
Trade Secrets
17.-
(1) Where the legitimate interests of the enterprise require that a service invention reported to him should not be disclosed, the employer may refrain from applying for industrial property protection, provided that he acknowledges to his employee that the service invention is capable of protection.
(2) If an employer does not acknowledge that a service invention is capable of protection, he need not apply for industrial property protection if he requests the Arbitration Board (Section 29) to seek an agreement on the service invention's eligibility for protection.
(3) In fixing the compensation for an invention under subsection (1), account must also be taken of the economic disadvantages that result for the employee due to the fact that industrial property protection has not been accorded to the service invention.

2. Free Inventions

Duty to Notify
18.-
(1) An employee who has made a free invention during the term of an employment contract shall notify his employer in writing thereof without delay. He shall give the employer all the details-concerning the invention and, if necessary, concerning its realization-which the employer may need in order to judge whether it is in fact a free invention.
(2) Where the employer does not contest that the invention notified to him is a free invention, by written declaration to the employee within three months of the notification, he may no longer claim the invention as a service invention.
(3) There shall be no obligation to notify the employer of a free invention if the invention is obviously not capable of being used in the employer's enterprise.
Duty to Offer
19.-
(1) Before exploiting a free invention further during the term of his employment contract, an employee must offer his employer at least a non-exclusive right to use the invention on reasonable terms, if the invention falls within the range of the actual or planned activities of the employer's enterprise at the time the offer is made. Such offer may be submitted together with the notification required by Section 18.
(2) Where the employer does not accept the offer within three months, his prerogative shall lapse.
(3) Where the employer states within the time provided by subsection (2) that he intends to acquire the rights offered to him, but claims that the terms offered to him are not reasonable, the court shall determine the terms upon a declamatory action by the employer or employee.
(4) The employer or the employee may request a new determination of the terms, if the circumstances essential to the terms agreed or fixed have changed substantially.

3. Technical Improvement Proposals

20.-
(1) For technical improvement proposals which afford the employer an advantaged position similar to that obtained from an industrial property right, an employee shall be entitled to reasonable compensation from his employer as soon as the latter exploits the proposal. Sections 9 and 12 shall apply mutatis mutandis.
(2) In all other cases, technical improvement proposals shall be regulated by collective agreements or single-plant bargaining.

4. Common Provisions

Inventors' Consultants
21.-
(1) One or more inventors' consultants may be appointed in an enterprise by agreement between the employer and the works council.
(2) The inventor's consultants shall have the task of helping employees draft the invention report (Section 5) or the notification of an invention (Section 18) and, at the request of the employer and employee, of participating in the determination of reasonable compensation.
Mandatory Applicability (Unabdingbarkeit)
22.-
The provisions of this Law may not be modified by contract to the detriment of the employee. Agreements shall, however, be permissible concerning service inventions after they have been reported and concerning free inventions and technical improvement proposals (Section 20(1)) after their notification.
Inequitable Agreements
23.-
(1) Agreements concerning service inventions, free inventions, or technical improvement proposals (Section 20(1)) permitted by this Law, shall be null and void to the extent that they are manifestly inequitable. This provision shall apply also to compensation settlements (Section 12(4)).
(2) The employer and employee may invoke the inequity of an agreement or compensation settlement only if they do so, by written statement addressed to the other party, within six months following termination of the employment contract.
Duty of Secrecy
24.-
(1) An employer must maintain secrecy concerning an employee's invention that has been reported or notified to him, as long as required by the legitimate interests of the employee.
(2) An employee must keep a service invention secret as long as it has not become free (Section 8(1)).
(3) Other persons who have had knowledge of an invention on the basis of this Law may neither utilize their knowledge nor make it public.
Duties Arising from Employment
25.-
Other duties arising for the employer and employee under their employment relationship shall not be affected by this Law unless the position is otherwise, due to the fact that an invention has become free (Section 8(1)).
Termination of Employment
26.-
The rights and duties arising from this Law shall not be affected by termination of the employment relationship.
Bankruptcy
27.-
(1) Where bankruptcy proceedings are instituted against an employer, the employee shall have a preemptive right to his own service inventions to which the employer has made an unlimited claim, provided the trustee in bankruptcy of the estate disposes of them independently of the enterprise.
(2) Claims by an employee to compensation for the employer's unlimited claim to a service invention (Section 9), for his right to use the invention (Sections 10, 14(3), 16(3) and 19), or for his exploitation of a technical improvement proposal (Section 20(1)) shall rank, in bankruptcy proceedings against the employer, below the debts set forth in Section 61(i) of the Bankruptcy Rules but above all other debts. If there are two or more such debts, they shall be paid proportionately.

5. Arbitration Proceedings

Amicable Settlement Procedure
28.-
In all disputes between employer and employee arising as a result of this Law, petition may be made at any time to the Arbitration Board. The Arbitration Board shall seek an amicable settlement.
Establishment of the Arbitration Board
29.-
(1) The Arbitration Board shall be established within the Patent Office.
(2) The Arbitration Board may meet outside its permanent seat.
Membership of the Arbitration Board
30.-
(1) The Arbitration Board shall consist of one chairman or his alternate and two assessors (Beisitzer).
(2) The chairman and his alternate shall possess the qualifications required for judicial office under the Law on the Judiciary. They shall be appointed by the Federal Minister of Justice for one year at the beginning of each calendar year.
(3) The assessors shall possess special knowledge in the technical field to which the invention or technical improvement proposal applies. They shall be appointed by the President of the Patent Office, separately for each case, from among the staff members or assistant members (Hilfsmitglieder) of the Patent Office.
(4) At the request of a party, the Arbitration Board shall include two other assessors, one chosen from employers and the other from employees. They shall be appointed by the President of the Patent Office, separately for each case, from lists of proposed names. The lists may be put forward by the leading organizations referred to in Section 11 and also by trade unions and independent employees' associations formed for social and professional purposes which are not affiliated to any of the leading organizations, where the members of such unions or associations include a substantial number of employees from whom an inventive contribution may be expected due to the kind of work they are performing in the enterprise.
(5) The President of the Patent Office shall appoint an assessor under subsection (4) from the list of names put forward by the organization to which the party concerned belongs, where the party states, before the members of the Board are appointed, that he is a member of that organization.
(6) The Arbitration Board shall be under the supervision of its chairman; the chairman shall be under the supervision of the Federal Minister of Justice.
Appeals to the Arbitration Board
31.-
(1) Appeals to the Arbitration Board shall be made by petition in writing. The petition shall be lodged in duplicate. It shall contain a brief statement of the facts and the name and address of the other party.
(2) The chairman of the Arbitration Board shall transmit the petition to the other party, inviting him to comment in writing on the petition within a fixed period.
Requests for Enlargement of the Arbitration Board
32.-
A request for the enlargement of the Arbitration Board shall be submitted by the party appealing to the Arbitration Board at the time of lodging the petition (Section 31(1)) and by the other party within two weeks from the transmittal of the petition to him (Section 31(2)).
Proceedings Before the Arbitration Board
33.-
(1) Sections 1032(1), 1035 and 1036 of the Civil Procedure Code shall apply mutatis mutandis to proceedings before the Arbitration Board. Section 1034(1) of the Civil Procedure Code shall apply mutatis mutandis, save that the Arbitration Board may not exclude patent attorneys (Patentanwälte), holders of a certificate of representation (Erlaubnisscheininhaber, Section 3 of the Second Law Amending the Industrial Property Regulations and Adding Provisional Rules thereto, of July 2, 1949), and representatives of associations falling under Section 11 of the Law on Labor Courts.
(2) In all other cases, the Arbitration Board shall decide on its own procedure.
Settlement Proposals of the Arbitration Board
34.-
(1) The Arbitration Board shall take its decisions by a majority vote. Section 196(2) of the Law on the Judiciary shall be applicable.
(2) The Arbitration Board must provide the parties with a settlement proposal. The proposal shall be reasoned and signed by all the Board members. The proposal must also mention the possibility of objection and the consequences of failure to object within the period prescribed. The proposal shall be notified to the parties.
(3) A settlement proposal shall be deemed to be accepted and an agreement corresponding to its content shall be deemed to have been made, unless an objection in writing by one of the parties reaches the Arbitration Board within one month from the notification of the proposal.
(4) Where unavoidable circumstances have prevented one of the parties from lodging an objection within the period prescribed, he shall, upon petition, be reinstated. The petition must be filed in writing with the Arbitration Board within one month from the moment the impediment ceased to exist. The objection must also be lodged within that period. The petition for reinstatement must state the facts relied upon and the means of substantiating them. After one year from the notification of the settlement proposal, reinstatement may no longer be requested and an objection may no longer be lodged.
(5) The Arbitration Board shall decide on the petition for reinstatement. An immediate appeal against the Board's decision may be lodged with the Landgericht having jurisdiction in the place of the petitioner's residence, in accordance with the Civil Procedure Code.
Termination of Arbitration Proceedings Without Result
35.-
(1) Proceedings before the Arbitration Board shall terminate without result:
(i) where the other party has not submitted his comments within the period provided in Section 31(2);
(ii) where the other party has refused to participate in the proceedings before the Arbitration Board;
(iii) where a written objection has reached the Arbitration Board within the period provided in Section 34(3).
(2) The chairman of the Arbitration Board shall inform the parties of the termination of the arbitration proceedings without result.
Costs of Arbitration Proceedings
36.-
Proceedings before the Arbitration Board shall require no fees nor payment of costs.

6. Judicial Proceedings

Requisites for Instituting Proceedings
37.-
(1) Any right or legal position that is governed by this Law may be pleaded in judicial proceedings only after proceedings have been held before the Arbitration Board.
(2) This prerequisite shall not be applicable:
(i) where the rights pleaded in the judicial proceedings are based upon an agreement (Section 12, 19, 22 or 34) or upon the allegation that the agreement is invalid;
(ii) where six months have passed since the appeal was lodged with the Arbitration Board;
(iii) where the employee has left the employer's enterprise;
(iv) where the parties have agreed to refrain from appealing to the Arbitration Board. Such agreement may only be made after the dispute (Section 28) has occurred. The agreement must be in writing.
(3) The fact that both parties have dealt with the substance of the case orally, without relying upon the absence of any appeal to the Arbitration Board, shall be equated with an agreement under subsection (2)(iv).
(4) The prior appeal to the Arbitration Board shall not be necessary in the case of an application for an attachment order or for a preliminary injunction.
(5) Judicial proceedings following an attachment order or a preliminary injunction shall be admissible, and the restriction in subsection (1) shall not apply, where a party has been given a time limit for instituting proceedings under Section 926 or 936 of the Civil Procedure Code.
Action for Reasonable Compensation
38.-
In a dispute as to the amount of compensation, an action may be brought for the payment of a reasonable amount to be fixed by the court.
Jurisdiction
39.-
(1) For all the disputes concerning employee inventions, exclusive jurisdiction shall, irrespective of the value in dispute, rest with the courts having jurisdiction in patent litigation (Section 143 of the Patent Law). The provision governing procedure in patent litigation shall apply.
(2) Disputes relating solely to claims for the payment of ascertained or fixed compensation for an invention are exempted from the application of subsection (1).

CHAPTER III
INVENTIONS AND TECHNICAL IMPROVEMENT PROPOSALS
MADE BY EMPLOYEES IN PUBLIC SERVICE, CIVIL SERVANTS
AND MEMBERS OF THE ARMED FORCES

Employees in Public Service

40.-
Inventions and technical improvement proposals made by employees in enterprises and offices of the Federal Government and state governments, community authorities and other public corporations, corporate bodies and endowed institutions shall be governed by the provisions relating to employees in private employment-with the following provisos:
(i) instead of making a claim to the service invention, the employer may claim a reasonable share in the proceeds arising from the service invention if this has been agreed beforehand. The amount of the employer's share may be the subject of prior binding agreements. In the absence of agreement on the amount of the share, the amount shall be fixed by the employer. Section 12(3) to (6) shall apply mutatis mutandis;
(ii) the regulation of technical improvement proposals under Section 20(2) may also be made in a service agreement; clauses enabling a provision forming part of a service agreement to be replaced by decision of a higher authority (Dienststelle) or other office shall not be enforceable;
(iii) restrictions on the ways of exploiting a service invention may be imposed on an employee, in the public interest, under a general order issued by the competent supreme authority (oberste Dienstbehörde);
(iv) the Federal Government and the state governments shall also be entitled to put forward lists of names for the employer assessors (Section 30(4));
(v) to the extent that public authorities have set up their own arbitration boards to deal with disputes under this Law, Sections 29 to 32 shall not apply.

Civil Servants and Members of the Armed Forces

41.-
The provisions relating to employees in public service shall apply mutatis mutandis to inventions and technical improvement proposals made by civil servants and members of the armed forces.

Special Provisions for Inventions Made by Teachers
and Assistants at Universities

42.-
(1) In derogation from Sections 40 and 41, inventions made by professors, lecturers and scientific assistants, in their capacity as such, at universities and higher schools of science shall be free inventions. Sections 18, 19 and 22 shall not be applicable.
(2) Where the employer made available special resources for the research work that led to the invention, the persons mentioned in subsection (1) shall notify him in writing of the exploitation of the invention and shall, upon his request, specify the kind of exploitation and the amount of proceeds achieved. Within three months of such written notification, the employer may demand a reasonable share of the proceeds from the invention. The amount of this share shall not exceed the value of the resources made available.

CHAPTER IV
TRANSITIONAL AND FINAL PROVISIONS

Inventions and Technical Improvement Proposals
Made Prior to Entry Into Force of This Law

43.-
(1) As from the date of its entry into force, this Law shall apply to patentable employee inventions made since July 21, 1942, and before the effective date of this Law, save that the provisions of the earlier law shall still apply to the claims to such inventions.
(2) This provision shall also apply to patentable employee inventions made before July 22, 1942, where the conditions of Section 13(1), second sentence of the Implementing Regulations to the Rules on Inventions of Workers, of March 20, 1943 (Reichsgesetzblatt, I, p. 257), are satisfied and where the declaration provided for therein relating to unsatisfactory handling of compensation had not been made by the time this Law entered into force. Such declaration shall be made with the Arbitration Board (Section 29). The declaration may no longer be made if the patent granted for that invention has expired. The second and third sentences of this subsection shall not be applicable where judicial proceedings relating to a demand for reasonable compensation had already been instituted by the effective date of this Law.
(3) In the case of inventions that may only be protected as utility models, made since July 21, 1942, and before the effective date of this Law, only the provisions governing arbitration proceedings and judicial proceedings (Sections 28 to 39) shall apply. In all other cases, the provisions of the earlier law shall still be applicable.
(4) Section 20(1) shall not apply to technical improvement proposals where exploitation had begun before the effective date of this Law.

Pending Proceedings

44.-
For proceedings pending on the effective date of this Law, the courts having jurisdiction under the provisions of the earlier law shall continue to have jurisdiction.

Implementing Provisions

45.-
In consultation with the Federal Minister of Labor, the Federal Minister of Justice may issue the necessary regulations for the enlargement of the Arbitration Boards (Section 30(4) and (5)). In particular, he may specify:
(i) the personal qualifications needed by persons put forward as employer or employee assessors;
(ii) the mode of remuneration of the assessors appointed from the lists of proposed names.

Provisions Repealed

46.-
Upon entry into force of this Law, the following provisions are repealed to the extent that they are still in force:
(i) the Regulations concerning the Treatment of Inventions by Workers, of July 12, 1942 (Reichsgesetzblatt, I, p. 466);
(ii) the Implementing Regulations to the Rules on Inventions of Workers, of March 20, 1943 (Reichsgesetzblatt, I, p. 257).

CHAPITRE PREMIER
CHAMP D'APPLICATION ET NOTIONS

Champ d'application

Art. premier.
Sont soumises à la présente loi les inventions et propositions d'améliorations techniques faites par les salariés des secteurs privé et public ainsi que par les fonctionnaires et les soldats.

Inventions

Art. 2.
Ne sont des inventions au sens de la présente loi que celles qui sont susceptibles de protection par un brevet ou comme modèles d'utilité.

Propositions d'améliorations techniques

Art. 3.
Sont des propositions d'améliorations techniques au sens de la présente loi les propositions relatives à des nouveautés techniques qui ne peuvent pas faire l'objet d'un brevet ou d'un modèle d'utilité.

Inventions de service et inventions libres

Art. 4.
1) Les inventions de salarié au sens de la présente loi peuvent être des inventions de service ou des inventions libres.
2) Les inventions de service sont celles qui sont faites pendant la durée du rapport de service et qui
i) sont issues de l'activité professionnelle du salarié dans l'entreprise ou dans l'administration; ou
ii) reposent essentiellement sur des expériences ou travaux de l'entreprise ou de l'administration publique.
3) Les autres inventions du salarié sont des inventions libres. Elles sont cependant soumises aux limitations des articles 18 et 19.
4) Les alinéas 1) à 3) sont applicables par analogie aux inventions faites par les fonctionnaires et les soldats.

Art. 5.
1) Le salarié qui a fait une invention de service est tenu de l'annoncer immédiatement à l'employeur par un écrit spécial portant à sa connaissance qu'il s'agit de l'annonce d'une invention de service. Si plusieurs salariés ont participé à la réalisation de l'invention, ils peuvent faire l'annonce en commun. L'employeur doit certifier immédiatement par écrit au salarié le moment où il a reçu l'annonce.
2) Dans l'annonce, le salarié doit décrire le problème technique, sa solution et la réalisation de l'invention de service. Dans la mesure où elles sont nécessaires à la compréhension de l'invention, les notes existantes doivent être jointes à l'annonce. Cette dernière doit indiquer les instructions ou directives de service reçues par le salarié, les expériences ou travaux de l'entreprise qui ont été utilisés, les collaborateurs ainsi que le genre et l'étendue de leur collaboration, de même que ce que le salarié considère comme sa participation propre.
3) Une annonce qui ne répond pas aux exigences de l'alinéa 2) est considérée comme régulière lorsque l'employeur ne déclare pas, dans les deux mois, si et à quel égard elle doit être complétée. Il doit, en tant que de besoin, aider le salarié à compléter son annonce.

Revendication d'une invention de service

Art. 6.
1) L'employeur peut revendiquer une invention de service totalement ou partiellement.
2) La revendication doit être faite par une déclaration écrite adressée au salarié. Cette déclaration doit être faite aussitôt que possible, mais au plus tard à l'expiration d'un délai de quatre mois à compter de la réception de l'annonce régulièrement faite (art. 5, al. 2) et 3)).

Effet de la revendication

Art. 7.
1) La réception de la déclaration de revendication totale a pour effet de faire passer à l'employeur tous les droits sur l'invention de service.
2) La réception de la déclaration de revendication partielle a pour effet de faire passer à l'employeur un droit non exclusif à l'utilisation de l'invention de service. Si ce droit a pour effet d'aggraver dans une mesure contraire à l'équité l'exploitation ailleurs de l'invention par le salarié, ce dernier peut exiger de l'employeur qu'il déclare, dans un délai de deux mois, s'il veut revendiquer l'invention de service totalement ou l'abandonner au salarié.
3) Les actes par lesquels le salarié a disposé de l'invention de service avant la revendication ne sont pas opposables à l'employeur dans la mesure où ils concernent les droits de ce dernier.

Inventions de service devenues libres

Art. 8.
1) Une invention de service devient libre
i) lorsque l'employeur déclare par écrit qu'il l'abandonne;
ii) lorsque l'employeur la revendique partiellement, sans préjudice de son droit d'utilisation selon l'article 7, alinéa 2);
iii) lorsque l'employeur ne la revendique pas, dans un délai de quatre mois dès la réception de l'annonce régulièrement faite (art. 5, al. 2) et 3)) ou, dans le cas de l'article 7, alinéa 2), dans un délai de deux mois après la demande du salarié.
2) Le salarié peut disposer d'une invention de service devenue libre, sans être soumis aux restrictions des articles 18 et 19.

Compensation en cas de revendication totale

Art. 9.
1) Si l'employeur a revendiqué l'invention totalement, le salarié a le droit de lui demander une compensation appropriée.
2) Pour évaluer le montant de cette compensation, il faut notamment tenir compte des possibilités d'exploitation économique de l'invention de service, des tâches et de la situation du salarié dans l'entreprise, ainsi que de la part de celle-ci dans la réalisation de l'invention de service.

Compensation en cas de revendication partielle

Art. 10.
1) Si l'employeur a revendiqué l'invention partiellement et l'utilise, le salarié a le droit de lui demander une compensation appropriée. L'article 9, alinéa 2), est applicable de manière correspondante.
2) Après la revendication de l'invention, l'employeur ne peut pas opposer au salarié le fait que l'invention n'était pas susceptible de protection au moment de sa revendication, à moins que ce fait ne résulte d'une décision de l'Office des brevets ou d'un tribunal. Le droit du salarié à une compensation n'est pas touché s'il est devenu exigible avant que la décision ne soit passée en force.

Directives concernant la compensation

Art. 11.
Le ministre fédéral du travail établira, après avoir entendu les principales organisations d'employeurs et de salariés (art. 10a de la loi sur les contrats collectifs), des directives sur la façon d'évaluer la compensation.

Constatation ou fixation de la compensation

Art. 12.
1) La nature et le montant de la compensation doivent être fixés, dans un délai raisonnable après la revendication de l'invention de service, par convention entre l'employeur et le salarié.
2) Lorsque plusieurs salariés ont participé à la réalisation de l'invention de service, la compensation doit être fixée séparément pour chacun d'eux. L'employeur doit donner connaissance aux parties du montant total de la compensation et de la part de chacun à l'invention de service.
3) Si, dans un délai raisonnable après la revendication de l'invention de service, aucune convention n'a été conclue au sujet de la compensation, l'employeur doit fixer le montant de cette dernière, le communiquer au salarié par une déclaration écrite et motivée et le payer en conséquence. En cas de revendication totale de l'invention de service, la compensation doit être fixée au plus tard à l'expiration d'un délai de trois mois à compter de la délivrance du titre de protection; en cas de revendication partielle, elle doit l'être au plus tard à l'expiration d'un délai de trois mois à compter du début de l'utilisation.
4) Si le salarié n'est pas d'accord avec le montant fixé, il peut y faire opposition par une déclaration écrite dans un délai de deux mois. S'il ne le fait pas, le montant fixé lie les deux parties.
5) Si plusieurs salariés ont participé à l'invention de service, la fixation de la compensation ne lie pas tous les intéressés si l'un d'eux conteste le montant fixé en alléguant que sa part à l'invention de service a été incorrectement fixée. Dans ce cas, l'employeur peut fixer à nouveau le montant de la compensation pour toutes les parties.
6) L'employeur et le salarié peuvent demander le consentement l'un de l'autre à une nouvelle évaluation de la compensation lorsque les circonstances qui ont été déterminantes pour sa constatation et la fixation de son montant se sont notablement modifiées. La restitution d'une compensation déjà payée ne peut être demandée. Les alinéas 1) à 5) ne sont pas applicables.

Demande de titres de propriété industrielle dans le pays

Art. 13.
1) L'employeur a l'obligation et seul le droit de demander dans le pays un titre de propriété industrielle pour une invention de service qui lui a été annoncée. Il doit déposer, en vue de la délivrance d'un brevet, une invention de service susceptible de protection par un brevet, à moins qu'une estimation raisonnable des possibilités d'exploitation de l'invention de service ne fasse apparaître que la protection au titre du modèle d'utilité est plus indiquée. La demande doit être déposée sans délai.
2) L'employeur n'a pas l'obligation de déposer la demande
i) lorsque l'invention de service est devenue libre (art. 8, al. 1));
ii) lorsque le salarié consent à ce qu'elle ne soit pas déposée;
iii) lorsque les conditions de l'article 17 sont réalisées.
3) Si l'employeur, après avoir revendiqué l'invention de service totalement, ne satisfait pas à son obligation de la déposer et s'il n'y satisfait pas non plus dans un délai supplémentaire raisonnable qui lui est fixé par le salarié, celui-ci peut déposer l'invention de service lui-même pour l'employeur, au nom et aux frais de ce dernier.
4) Si l'invention de service est devenue libre, le salarié a seul le droit de la déposer pour obtenir un titre de propriété industrielle. Si l'employeur avait déjà déposé l'invention de service afin d'obtenir un tel droit, les droits découlant de ce dépôt passent au salarié.

Demande de titres de propriété industrielle à l'étranger

Art. 14.
1) L'employeur qui a revendiqué l'invention de service totalement a le droit de la déposer également à l'étranger pour obtenir un titre de propriété industrielle.
2) Pour les pays étrangers où il ne veut pas acquérir de tels titres, l'employeur doit abandonner l'invention au salarié et, sur sa demande, lui faciliter l'acquisition de ces titres. L'abandon doit être fait assez tôt pour que le salarié puisse utiliser les délais de priorité prévus par les traités internationaux en matière de propriété industrielle.
3) L'employeur peut, en même temps qu'il abandonne l'invention de service conformément à l'alinéa 2), se réserver, contre compensation appropriée, un droit non exclusif de l'exploiter dans les États étrangers en question et exiger, également contre compensation appropriée, que le salarié tienne compte, en exploitant dans ces États étrangers l'invention de service qui lui a été abandonnée, des engagements qui incombent à l'employeur en raison des contrats concernant l'invention de service qui existaient au moment de l'abandon de l'invention.

Droits et obligations réciproques
pour l'acquisition de titres
de propriété industrielle

Art. 15.
1) En même temps qu'il dépose l'invention de service pour obtenir un titre de propriété industrielle, l'employeur doit remettre au salarié copie des pièces justificatives de sa demande. Il doit le tenir au courant de la marche de la procédure et, si le salarié le demande, lui permettre de consulter la correspondance échangée.
2) Le salarié doit, à la demande de l'employeur, lui prêter son concours pour l'acquisition des titres de propriété industrielle et faire les déclarations nécessaires.

Abandon de la demande de délivrance
de titres de propriété industrielle
ou de ces titres

Art. 16.
1) Lorsque l'employeur, avant d'avoir satisfait à la requête du salarié à une compensation appropriée, n'entend pas maintenir sa demande de délivrance de titres de propriété industrielle ou renonce à de tels titres déjà délivrés, il doit en aviser le salarié et, sur la demande et aux frais de ce dernier, lui transférer ces titres en lui remettant toutes les pièces nécessaires pour leur maintien.
2) L'employeur peut abandonner les titres si le salarié ne demande pas, dans les trois mois qui suivent l'offre de cession, qu'ils lui soient transférés.
3) En faisant la communication prévue à l'alinéa 1), l'employeur peut se réserver, contre compensation appropriée, un droit non exclusif à l'utilisation de l'invention.

Secrets d'entreprise

Art. 17.
1) Lorsque des intérêts légitimes de l'entreprise exigent qu'une invention de service annoncée ne soit pas divulguée, l'employeur peut se dispenser de demander un titre de propriété industrielle pourvu qu'à l'égard du salarié il reconnaisse que cette invention est susceptible d'être protégée.
2) Si l'employeur ne reconnaît pas que l'invention de service est susceptible d'être protégée, il n'est pas tenu de la déposer pour obtenir un titre de protection s'il demande à la commission arbitrale (art. 29) de provoquer une entente sur la capacité de protection de l'invention.
3) Pour évaluer la compensation due pour une invention selon l'alinéa 1), il faut aussi tenir compte des inconvénients d'ordre économique qui résultent pour le salarié du fait qu'un titre de protection n'a pas été délivré pour son invention.

2. Inventions libres

Obligation de communiquer

Art. 18.
1) Le salarié qui, pendant la durée du rapport de service, a fait une invention libre est tenu de la communiquer immédiatement à l'employeur par écrit. Il doit lui donner, sur l'invention et en tant que de besoin sur les circonstances de sa réalisation, tous les renseignements dont l'employeur peut avoir besoin pour juger s'il s'agit d'une invention libre.
2) L'employeur ne peut plus revendiquer l'invention en tant qu'invention de service si, dans les trois mois qui suivent la réception de cette communication, il ne conteste pas, par déclaration écrite au salarié, le caractère libre de l'invention.
3) L'obligation de communiquer les inventions libres n'existe pas pour les inventions qui ne sont manifestement pas utilisables dans le cadre des activités de l'entreprise de l'employeur.

Obligation d'offrir

Art. 19.
1) Avant d'exploiter ailleurs, pendant la durée du rapport de service, une invention libre, le salarié doit offrir à l'employeur, à des conditions appropriées, au minimum un droit non exclusif d'exploiter cette invention si cette dernière, au moment de l'offre, entre dans le cadre actuel ou envisagé des activités de l'entreprise de l'employeur. Cette offre peut être faite au moment de la communication prévue à l'article 18.
2) Si l'employeur n'accepte pas cette offre dans un délai de trois mois, son droit de préférence s'éteint.
3) Si, dans le délai indiqué à l'alinéa 2), l'employeur se déclare prêt à acquérir le droit qui lui est offert mais prétend que les conditions qui lui sont faites ne sont pas appropriées, ces dernières sont fixées par le tribunal à la requête de l'employeur ou du salarié.
4) L'employeur ou le salarié peut demander une modification des conditions lorsque les circonstances qui avaient été déterminantes pour la fixation de ces conditions par les parties ou par le juge se sont modifiées notablement.

3. Propositions d'améliorations techniques

Art. 20.
1) Pour les propositions d'améliorations techniques qui procurent à l'employeur une situation privilégiée analogue à celle que lui procurerait un titre de propriété industrielle, le salarié a droit à une compensation appropriée de l'employeur dès que ce dernier exploite la proposition. Les articles 9 et 12 sont applicables de manière correspondante.
2) Pour le surplus, les propositions d'améliorations techniques sont réglées par les contrats tarifaires ou les conventions d'entreprises.

4. Dispositions communes

Conseillers d'inventeurs

Art. 21.
1) Un ou plusieurs conseillers d'inventeurs peuvent être engagés dans les entreprises par convention entre les employeurs et les comités d'entreprises.
2) Le conseiller d'inventeurs doit en particulier assister le salarié dans la rédaction de l'annonce (art. 5) ou de la communication (art. 18) d'une invention, ainsi que participer, à la demande de l'employeur et du salarié, à la détermination d'une compensation appropriée.

Non-dérogation [Unabdingbarkeit]

Art. 22.
Il ne peut être dérogé contractuellement, au détriment du salarié, aux dispositions de la présente loi. Des conventions sont cependant admissibles au sujet des inventions de service après leur annonce ainsi que des inventions libres et des propositions d'améliorations techniques (art. 20, al. 1)) après leur communication à l'employeur.

Conventions inéquitables

Art. 23.
1) Les conventions, autorisées par la présente loi, sur les inventions de service, les inventions libres et les propositions d'améliorations techniques (art. 20, al. 1)) sont nulles dans la mesure où elles sont nettement inéquitables. Il en est de même en ce qui concerne l'évaluation de la compensation (art. 12, al. 4)).
2) Les employeurs et les salariés ne peuvent invoquer le caractère inéquitable d'une convention ou de la fixation d'une compensation que s'ils en font la déclaration, adressée par écrit à l'autre partie, dans un délai de six mois à compter de la fin du rapport de service.

Devoir de garder le secret

Art. 24.
1) L'employeur doit garder le secret sur l'invention qui lui a été annoncée ou communiquée par un salarié aussi longtemps que les intérêts légitimes de ce dernier l'exigent.
2) Le salarié doit garder le secret sur une invention de service aussi longtemps qu'elle n'est pas devenue libre (art. 8, al. 1)).
3) Toutes les autres personnes qui ont eu connaissance d'une invention sur la base de la présente loi ne peuvent ni utiliser ni divulguer ce qu'elles savent.

Obligations dérivant du rapport de service

Art. 25.
Les autres obligations qui incombent à l'employeur et au salarié en vertu du rapport de service ne sont pas touchées par les prescriptions de la présente loi, à moins que le contraire ne résulte du fait que l'invention est devenue libre (art. 8, al. 1)).

Dissolution du rapport de service

Art. 26.
Les droits et obligations résultant de la présente loi ne sont pas touchés par la dissolution du rapport de service.

Faillite

Art. 27.
1) En cas de faillite de l'employeur, le salarié a un droit de préemption sur l'invention de service qu'il a faite et qui a été revendiquée totalement par l'employeur si l'administrateur de la faillite en dispose sans l'entreprise.
2) Les prétentions du salarié à une compensation pour la revendication totale d'une invention de service (art. 9), pour le droit d'exploiter une invention (art. 10, 14, al. 3), 16, al. 3), 19) ou pour l'exploitation d'une proposition d'amélioration technique (art. 20, al. 1)) sont colloquées dans la faillite de l'employeur au rang des créances indiquées à l'article 61, point 1, de l'ordonnance sur les faillites mais avant toutes les autres créances. S'il y a plusieurs prétentions, elles sont payées proportionnellement à leur montant.

5. Procédure arbitrale

Conciliation amiable

Art. 28.
Il peut être fait appel en tout temps à la commission arbitrale au sujet des différends entre employeurs et salariés concernant l'application de la présente loi. La commission arbitrale doit s'efforcer de faire aboutir une conciliation amiable.

Établissement de la commission arbitrale

Art. 29.
1) La commission arbitrale est établie auprès de l'Office des brevets.
2) La commission arbitrale peut se réunir ailleurs qu'à son siège.

Composition de la commission arbitrale

Art. 30.
1) La commission arbitrale se compose d'un président ou de son suppléant et de deux assesseurs [Beisitzer].
2) Le président et son suppléant doivent posséder la capacité d'exercer une fonction judiciaire d'après la loi d'organisation judiciaire. Ils sont nommés, par le ministre fédéral de la justice, au début et pour la durée de l'année civile.
3) Les assesseurs doivent posséder une expérience particulière dans le domaine technique dont dépend l'invention ou la proposition d'amélioration technique. Ils sont nommés, parmi les membres ou membres adjoints [Hilfsmitglieder] de l'Office des brevets, par le président de cet office pour chaque litige particulier.
4) A la demande d'une partie, la commission arbitrale est complétée par deux assesseurs provenant, l'un, de milieux des employeurs, et l'autre, de milieux des salariés. Ces assesseurs sont désignés par le président de l'Office des brevets sur une liste de présentation, pour chaque litige particulier. Ont qualité pour présenter des listes de présentation les principales organisations visées à l'article 11 ainsi que les syndicats et les associations indépendantes de salariés qui ont un but de politique sociale ou professionnelle et qui ne sont affiliés à aucune des principales organisations, s'ils groupent un nombre important de salariés dont on peut attendre des prestations inventives d'après le genre de leurs activités dans l'entreprise.
5) Le président de l'Office des brevets doit désigner les assesseurs visés à l'alinéa 4) sur la liste de présentation de l'organisation à laquelle appartient la partie en cause, lorsque celle-ci a fait connaître son appartenance à une organisation avant la constitution de la commission arbitrale.
6) Le contrôle de la commission arbitrale est exercé par son président et le contrôle de ce dernier par le ministre fédéral de la justice.

Appel à la commission arbitrale

Art. 31.
1) L'appel à la commission arbitrale se fait par requête écrite. Cette requête doit être déposée en deux exemplaires. Elle doit contenir un bref exposé des faits ainsi que le nom et l'adresse de l'autre partie.
2) La requête est communiquée à l'autre partie par le président de la commission arbitrale, qui lui fixe un délai pour s'expliquer par écrit.

Demande d'élargissement
de la commission arbitrale

Art. 32.
La demande d'élargissement de la commission arbitrale est présentée par celui qui a fait appel à cette commission, en même temps que son appel (art. 31, al. 1)); elle est présentée par l'autre partie dans un délai de deux semaines à compter de la communication de la requête du demandeur (art. 31, al. 2)).

Procédure devant la commission arbitrale

Art. 33.
1) Les articles 1032, alinéa 1), 1035 et 1036 du Code de procédure civile sont applicables par analogie à la procédure devant la commission arbitrale. L'article 1034, alinéa 1), du Code de procédure civile est applicable de manière correspondante avec cette réserve que les agents de brevets [Patentanwälte] et les titulaires d'une autorisation spéciale de représentation [Erlaubnisscheininhaber] (art. 3 de la deuxième loi portant amendement et transition des prescriptions concernant la propriété industrielle du 2 juillet 1949), ainsi que les représentants d'associations au sens de l'article 11 de la loi sur les tribunaux du travail, ne peuvent être écartés de la commission arbitrale.
2) Pour le surplus, la commission arbitrale fixe elle-même la procédure à suivre.

Proposition de conciliation
de la commission arbitrale

Art. 34.
1) La commission arbitrale prend ses décisions à la majorité des voix. L'article 196, alinéa 2), de la loi d'organisation judiciaire est applicable.
2) La commission arbitrale doit faire aux parties une proposition de conciliation. Cette proposition doit être motivée et signée par tous les membres de la commission. Elle doit mentionner la possibilité d'y faire opposition et indiquer les conséquences du défaut d'opposition dans le délai fixé. Elle doit être signifiée aux parties.
3) La proposition de conciliation est considérée comme acceptée et une convention conforme à son contenu considérée comme conclue lorsque, dans un délai d'un mois à compter de sa signification, aucune opposition écrite de l'une ou de l'autre des parties n'est parvenue à la commission arbitrale.
4) Si, par suite d'un cas fortuit inévitable, une des parties a été empêchée de faire opposition en temps utile, elle peut demander à être réintégrée dans l'état antérieur. Sa demande doit être faite par écrit à la commission arbitrale dans un délai d'un mois à compter de la disparition de l'empêchement. L'opposition doit être faite dans ce délai. La requête en réintégration doit indiquer les faits sur lesquels elle se fonde et les moyens permettant d'apporter un commencement de preuve pour ces faits. La requête en réintégration et l'opposition elle-même ne sont plus recevables un an après la signification de la proposition de conciliation.
5) La commission arbitrale statue sur la requête en réintégration. Sa décision peut faire l'objet d'un recours immédiat, prévu par le Code de procédure civile, au tribunal de grande instance [Landgericht] compétent pour le domicile du requérant.

Échec de la procédure arbitrale

Art. 35.
1) La procédure devant la commission arbitrale a échoué
i) lorsque l'autre partie ne s'est pas expliquée dans le délai qui lui a été fixé conformément à l'article 31, alinéa 2);
ii) lorsqu'elle a refusé de prendre part à la procédure devant la commission arbitrale;
iii) lorsque, dans le délai indiqué à l'article 34, alinéa 3), une opposition écrite de l'une des parties est parvenue à la commission arbitrale.
2) Le président de la commission arbitrale communique aux parties le résultat négatif de la procédure arbitrale.

Frais de la procédure arbitrale

Art. 36.
Il n'est perçu ni émoluments ni frais pour la procédure devant la commission arbitrale.

6. Procédure judiciaire

Conditions pour l'ouverture d'une action judiciaire

Art. 37.
1) On ne peut faire valoir pour l'action judiciaire les droits ou rapports de droit régis par la présente loi qu'après une procédure arbitrale préalable devant la commission arbitrale.
2) Cette condition n'est pas nécessaire
i) lorsque le demandeur fait valoir pour l'action judiciaire des droits fondés sur une convention (art. 12, 19, 22, 34) ou invoque que celle-ci n'a pas d'effets de droit;
ii) lorsque six mois se sont écoulés depuis qu'il a été fait appel à la commission arbitrale;
iii) lorsque le salarié a quitté l'entreprise de l'employeur;
iv) lorsque les parties sont convenues de ne pas s'adresser à la commission arbitrale. Cette convention ne peut être conclue qu'après la survenance du litige (art. 28). Elle doit être faite en la forme écrite.
3) Est assimilable à une convention selon l'alinéa 2), chiffre iv), le fait que les deux parties ont pris part à une discussion orale sur le fond de l'affaire sans invoquer l'absence d'une procédure arbitrale préalable.
4) En outre, les demandes de séquestre et de mesures provisionnelles ne sont pas subordonnées à la condition d'une procédure arbitrale préalable.
5) Les actions judiciaires consécutives à un séquestre ou à une mesure provisionnelle sont admissibles sans la limitation prévue à l'alinéa 1) lorsque, conformément aux articles 926 et 936 du Code de procédure civile, un délai a été fixé à une partie pour intenter une action judiciaire.

Action judiciaire concernant
une compensation appropriée

Art. 38.
Si le différend concerne le montant de la compensation, l'action judiciaire peut porter sur le paiement d'un montant équitable à fixer par le tribunal.

Compétence

Art. 39.
1) Les tribunaux compétents pour les litiges en matière de brevets (art. 143 de la loi sur les brevets) sont exclusivement compétents pour juger tous les différends relatifs aux inventions d'un salarié, sans égard à la valeur litigieuse. Les dispositions sur la procédure des litiges en matière de brevets sont applicables.
2) Sont exceptés de la réglementation de l'alinéa 1) les différends qui ont exclusivement pour objet des demandes de paiement d'une compensation constatée ou fixée pour une invention.

CHAPITRE III
INVENTIONS ET PROPOSITIONS
D'AMÉLIORATIONS TECHNIQUES
DE SALARIÉS DU SECTEUR PUBLIC,
DE FONCTIONNAIRES ET DE SOLDATS

Salariés du secteur public

Art. 40.
Les dispositions concernant les salariés du secteur privé sont applicables dans la mesure suivante aux inventions et propositions d'améliorations techniques de salariés occupés dans les entreprises et administrations de l'État fédéral, des Länder, des communes et autres corporations, établissements et fondations de droit public :
i) en lieu et place de la revendication de l'invention de service, l'employeur peut revendiquer une participation appropriée au produit de l'exploitation de cette invention lorsque cela a été préalablement convenu. Des conventions obligatoires peuvent être conclues d'avance au sujet du montant de cette participation. Si une entente ne peut intervenir au sujet du montant de la participation, l'employeur doit le fixer. L'article 12, alinéas 3) à 6), est applicable de manière correspondante;
ii) le règlement des propositions d'améliorations techniques selon l'article 20, alinéa 2), peut aussi se faire par convention de service; les dispositions selon lesquelles l'entente au sujet de la convention de service peut être remplacée par la décision d'un service administratif [Dienststelle] supérieur ou par un autre service administratif ne sont pas applicables;
iii) des restrictions quant à la façon d'exploiter les inventions de service peuvent être imposées au salarié dans l'intérêt public par ordonnance générale de l'autorité administrative supérieure [oberste Dienstbehörde] compétente;
iv) le gouvernement fédéral et les gouvernements des Länder ont aussi le droit d'établir des listes de présentation pour les assesseurs employeurs (art. 30, al. 4));
v) les articles 29 à 32 ne sont pas applicables dans la mesure où des administrations publiques ont créé elles-mêmes leurs propres commissions arbitrales pour liquider les différends sur la base de la présente loi.

Fonctionnaires et soldats

Art. 41.
Les dispositions concernant les salariés du secteur public sont applicables par analogie aux inventions et propositions d'améliorations techniques des fonctionnaires et des soldats.

Dispositions spéciales pour
les inventions des professeurs
et assistants des universités

Art. 42.
1) Par dérogation aux articles 40 et 41, les inventions faites dans l'exercice de leur activité professionnelle par les professeurs, privat-docents et assistants scientifiques des universités et grandes écoles scientifiques sont des inventions libres. Les articles 18, 19 et 22 ne sont pas applicables.
2) Si l'employeur a mis en œuvre des moyens spéciaux pour des travaux de recherches qui ont conduit à l'invention, les personnes mentionnées à l'alinéa 1) sont tenues de lui communiquer par écrit l'exploitation de l'invention et de lui indiquer, sur sa demande, le genre de l'exploitation ainsi que le montant du gain réalisé. L'employeur est autorisé, dans un délai de trois mois à compter de cette communication écrite, à revendiquer une participation appropriée au produit de l'invention. Le produit de cette participation ne doit pas dépasser le montant des moyens mis en œuvre.

CHAPITRE IV
DISPOSITIONS TRANSITOIRES ET FINALES

Inventions et propositions
d'améliorations techniques faites
avant l'entrée en vigueur de la loi

Art. 43.
1) La présente loi est, dès le jour de son entrée en vigueur, également applicable aux inventions brevetables de salarié qui ont été faites avant cette date depuis le 21 juillet 1942; toutefois, les dispositions antérieures restent applicables pour la revendication de ces inventions.
2) Il en va de même pour les inventions brevetables de salarié qui ont été faites avant le 22 juillet 1942 si les conditions de l'article 13, alinéa 1), deuxième phrase, de l'ordonnance d'exécution du 20 mars 1943 de l'ordonnance sur le traitement des inventions de salarié (Reichsgesetzblatt, I, p. 257), sont réalisées et si la déclaration qui y est prévue sur le traitement non satisfaisant de l'indemnité n'était pas encore donnée au moment de l'entrée en vigueur de la présente loi. La commission arbitrale (art. 29) est compétente pour recevoir la déclaration. Cette dernière ne peut plus être donnée si le brevet délivré pour l'invention est éteint. Les deuxième et troisième phrases ne sont pas applicables si une action judiciaire avait déjà été engagée, lors de l'entrée en vigueur de la présente loi, au sujet de la demande de compensation appropriée.
3) Ne sont applicables aux inventions qui ne sont protégeables qu'en tant que modèles d'utilité et qui ont été faites entre le 21 juillet 1942 et l'entrée en vigueur de la présente loi que les dispositions sur la procédure arbitrale et la procédure judiciaire (art. 28 à 39). Pour le surplus, il faut s'en tenir aux dispositions antérieures.
4) L'article 20, alinéa 1), n'est pas applicable aux propositions d'améliorations techniques dont l'exploitation a commencé avant l'entrée en vigueur de la présente loi.

Procédures pendantes

Art. 44.
Les tribunaux qui étaient compétents d'après les dispositions antérieures continuent de l'être pour les procédures pendantes au moment de l'entrée en vigueur de la présente loi.

Décrets d'application

Art. 45.
Le ministre fédéral de la justice est autorisé à décréter, d'entente avec le ministre fédéral du travail, les dispositions d'exécution nécessaires pour l'élargissement de la composition des commissions arbitrales (art. 30, al. 4) et 5)). Il peut en particulier prescrire
i) les conditions personnelles que doivent remplir les personnes qui sont proposées comme assesseurs des milieux des employeurs et de ceux des salariés;
ii) le mode d'indemnisation des assesseurs nommés sur la base des listes de présentation.

Dispositions abrogées

Art. 46.
Les dispositions suivantes sont abrogées au moment de l'entrée en vigueur de la présente loi, si elles n'ont pas déjà cessé d'être en vigueur :
i) l'ordonnance du 12 juillet 1942 sur le traitement des inventions de salarié (Reichsgesetzblatt, I, p. 466);
ii) l'ordonnance d'exécution du 20 mars 1943 de l'ordonnance sur le traitement des inventions de salarié (Reichsgesetzblatt, I, p. 257).

Art. 47.1

Entrée en vigueur

Art. 49. La présente loi entre en vigueur le 1er octobre 1957.
