Decreto-Lei n.º 56/95/M
de 6 de Novembro
Com a aprovação do presente diploma relativo à protecção de marcas alcança-se o objectivo de localização de um sistema próprio de registo de marcas, eliminando-se, sem prejuízo da manutenção da cooperação nesta matéria, a competência de um órgão administrativo português — o Instituto Nacional da Propriedade Industrial — relativamente ao território de Macau, cometendo-se as competências necessárias ao funcionamento do sistema à Direcção dos Serviços de Economia.
Realiza-se ainda o objectivo mais lato de criação de um sistema credível de protecção dos direitos de propriedade industrial que, ao lado de outras vantagens e mecanismos de incentivo, recentemente criados pelo Governo do Território, se deseja potenciador de investimentos de reconhecido interesse para a economia e o desenvolvimento de Macau.
Nestes termos;
Ouvido o Conselho Consultivo;
O Governador decreta, nos termos do n.º 1 do artigo 13.º do Estatuto Orgânico de Macau, para valer como lei no território de Macau, o seguinte:
CAPÍTULO I
Direito à marca
SECÇÃO I
Disposições gerais
Artigo 1.º
(Âmbito material de protecção)
O presente diploma regula a protecção da marca.
Artigo 2.º
(Direito à marca)
1. Aquele que adopte certa marca para distinguir os produtos ou serviços da sua actividade económica e satisfaça as prescrições legais, designadamente as relativas ao registo, goza da propriedade e do seu exclusivo.
2. O direito à marca tem as garantias estabelecidas pela lei para a propriedade em geral e é especialmente protegido nos termos do presente diploma e dos instrumentos de direito internacional.
Artigo 3.º
(Âmbito pessoal de aplicação)
1. O presente diploma é aplicável aos residentes no território de Macau e aos cidadãos dos países que constituem a União Internacional para a Protecção da Propriedade Industrial, nos termos da Convenção de Paris de 20 de Março de 1883, e suas revisões, sem dependência de condição de domicílio ou estabelecimento, salvo as disposições especiais de competência e processo.
2. São equiparados aos cidadãos dos países da União da Convenção de Paris, os cidadãos de quaisquer outros países que tenham domicílio ou estabelecimento industrial ou comercial, efectivo e não fictício, no território de um dos seus países membros.
3. Relativamente a quaisquer outros cidadãos, deve observar-se o disposto nos Acordos Internacionais celebrados entre Macau e os respectivos países e, na falta destes, o regime de reciprocidade.
Artigo 4.º
(Uso de marca não registada)
1. É permitido o uso de marca industrial, comercial ou de ser viços não registada.
2. Aquele que, por prazo não superior a seis meses, usar marca não registada tem, durante esse prazo, prioridade para efectuar o pedido de registo, podendo reclamar contra o já requerido por outrem.
Artigo 5.º
(Presunção jurídica da concessão do direito à marca)
O registo da marca implica mera presunção de novidade ou distinção face às anteriormente registadas, sendo conferida por conta e risco do seu requerente.
Artigo 6.º
(Uso facultativo de marca)
Sem prejuízo do disposto quanto à caducidade do direito à marca, o uso desta é facultativo, salvo quanto aos produtos ou serviços em que o uso de marca registada tiver sido declarado obrigatório por disposição legal.
Artigo 7.º
(Direito ao uso de marca)
O direito ao uso de marca é conferido a quem nisso tiver legítimo interesse, designadamente:
a) Aos industriais ou fabricantes, para assinalar os produto da sua indústria ou fabrico;
b) Aos comerciantes, para assinalar os produtos do seu comércio;
c) Aos artífices, para assinalar os produtos da sua arte, ofício ou profissão;
d) Aos que prestam serviços, para assinalar a respectiva actividade.
Artigo 8.º
(Marca colectiva)
1. Para além do disposto no artigo anterior, têm direito ao uso de marca os organismos que controlam ou tutelam actividades económicas, para assinalar os serviços ou produtos das actividades sobre as quais exercem o seu controlo ou que tutelam, de acordo com os seus fins e nos termos dos respectivos estatutos ou diplomas orgânicos.
2. Os organismos a que se refere o número anterior devem, segundo os casos, promover a inserção nos respectivos diplomas orgânicos ou estatutos, de disposições em que se regule:
a) Quem tem o direito de usar a marca;
b) As condições segundo as quais pode a marca ser utilizada;
c) Os direitos e obrigações dos interessados em caso de usurpação ou contrafacção.
3. As alterações de estatutos que modifiquem o regime da marca colectiva devem ser comunicadas, no prazo de trinta dias, pela direcção do organismo titular da marca, à Direcção dos Serviços de Economia.
Artigo 9.º
(«Marca Registada»)
Durante a vigência do registo o titular do registo de marca tem o direito de lhe adicionar a designação «Marca Registada» ou as iniciais «M.R.» ou a inicial R, bem como a expressão chinesa “註冊商標 ” e a correspondente romanização em cantonense, chu chak scong pio, e em mandarim, zhù cè shang bino, e as expressões inglesas «Registered Trademark» ou «T.M.».
Artigo 10.º
(Registo por produtos e serviços)
O registo das marcas é efectuado por produtos ou serviços, competindo à Direcção dos Serviços de Economia indicar as respectivas classes, de acordo com a classificação constante de tabela, a publicar por portaria.
Artigo 11.º
(Adição e substituição de produtos ou serviços)
Ficam sujeitas a novo registo, ainda que dentro da mesma classe, a adição ulterior de novo produto ou serviço e a substituição de um produto ou serviço por outro.
Artigo 12.º
(Inalterabilidade da marca)
1. A marca deve conservar-se inalterável, ficando qualquer mudança nos seus elementos componentes sujeita a novo registo.
2. Do disposto no número anterior exceptuam-se as simples modificações que não prejudiquem a identidade da marca e só afectem as suas proporções, o material em que tiver sido cunhada, gravada ou reproduzida e ainda a cor, se esta não tiver sido expressamente reivindicada como uma das características da marca.
Artigo 13.º
(Início e duração do registo)
O direito à marca produz os seus efeitos desde a data da sua concessão, durante um período de sete anos a contar da data do respectivo pedido, sendo renovável por iguais períodos nos termos do disposto no artigo 71.º
Artigo 14.º
(Composição da marca)
1. A marca pode ser composta por um sinal ou conjunto de sinais nominativos, figurativos ou emblemáticos que, aplicados por qualquer forma num produto ou no seu invólucro, o distingam de outros idênticos ou semelhantes.
2. A marca pode ainda ser composta pelo formato de um produto ou do seu invólucro ou embalagem, desde que estes os distingam de outros idênticos ou semelhantes.
3. As cores por si só não constituem marca, salvo se, requerendo o interessado a sua protecção, estas se encontrem combinadas, entre si ou com gráficos, dizeres impressos ou outros elementos, de forma particular e distintiva.
4. A marca não pode ser exclusivamente composta por sinais ou indicações que possam servir no comércio para designar a espécie, a qualidade, a quantidade, o destino, o valor, o lugar de origem, a época de produção dos produtos ou que se tenham tornado usuais na linguagem corrente ou nos hábitos leais e constantes do comércio.
Artigo 15.º
(Línguas em que deve ser redigida a marca)
1. Os dizeres das marcas devem ser redigidos em língua portuguesa, chinesa ou inglesa, podendo combinar-se elementos destas diversas línguas.
2. No pedido de registo os caracteres chineses são romanizados, indicando-se o seu significado, salvo se constituírem uma designação de fantasia.
3. As marcas dos produtos destinados somente a exportação podem ser redigidas em qualquer língua, mas o seu uso em Macau determina a sua caducidade.
4. A obrigatoriedade de utilização das línguas portuguesa, chinesa ou inglesa não se aplica aos pedidos de registo de marca internacional e aos efectuados por cidadão ou entidade estrangeiros não estabelecidos em Macau.
Artigo 16.º
(Publicações)
1. Todas as publicações previstas no presente diploma são efectuadas, a expensas do requerente, no Boletim Oficial de Macau, sendo oficiosamente promovidas pela Direcção dos Serviços de Economia.
2. Ficam sujeitos a publicação, sob a forma de aviso, os seguintes actos:
a) O pedido de registo de marca;
b) A concessão ou recusa do direito à marca;
c) A transmissão, oneração ou licença de exploração do direito à marca;
d) As alterações de residência, sede social ou denominação do titular do registo de marca;
e) A renovação, a extinção e a anulação do direito à marca.
Artigo 17.º
(Notificações)
1. As notificações a que houver lugar nos termos deste diploma, com excepção daquelas que ocorram durante a pendência de acção judicial, caso em que se aplicam os preceitos da lei processual, são efectuadas mediante carta registada.
2. As notificações efectuadas nos termos do número anterior presumem-se feitas no terceiro dia posterior ao do registo ou no primeiro dia útil seguinte a esse, quando o não seja, não produzindo efeitos anteriores.
3. A presunção do número anterior só pode ser ilidida pelo notificado quando a recepção da notificação ocorra em data posterior à presumida, por razões que não Ihe sejam imputáveis, requerendo no processo que seja requisitada aos correios informação sobre a data efectiva da recepção.
Artigo 18.º
(Legitimidade para promover actos)
1. Os actos e termos do processo só podem ser promovidos:
a) Pelo próprio interessado ou por mandatário com poderes para o acto, se forem domiciliados ou estabelecidos em Macau;
b) Por advogado.
2. Se os requerimentos forem assinados por mandatário nos termos da alínea a) do número anterior, deve ser junta procuração pela qual é constituído o mandato, devendo a mesma, caso se trate de procuração emitida em país estrangeiro, ser devidamente legalizada e traduzida.
3. O advogado pode promover em nome e no interesse das partes que forem seus clientes, todos os actos e requerimentos previstos no presente diploma, com dispensa da exibição de mandato, excepto se se tratar de acto que envolva desistência ou renúncia do direito à marca.
Artigo 19.º
(Taxas devidas)
O Governador fixa por portaria as taxas devidas pelos actos previstos no presente diploma, bem como o momento e modo da sua cobrança.
Artigo 20.º
(Carácter público dos registos)
Qualquer pessoa pode requerer certidão ou fotocópia dos registos efectuados, dos documentos arquivados e dos pedidos de registo pendentes já publicados, bem como indicação da data em que foi efectuada qualquer das publicações previstas neste diploma.
SECÇÃO II
Processo de registo
SUBSECÇÃO I
Pedido de registo em Macau
Artigo 21.º
(Prioridade do pedido de registo)
1. Salvo os casos previstos nos artigos seguintes, o registo do direito à marca é concedido a quem apresentar primeiro o respectivo pedido, acompanhado dos documentos necessários que preencham os requisitos de forma previstos na lei.
2. Se o pedido não for desde logo acompanhado de todos os documentos exigíveis, a prioridade conta-se da data e hora em que for apresentado o último documento em falta.
Artigo 22.º
(Prioridade de pedido de registo formulado em país da União da Convenção de Paris)
1. Aquele que, por si ou seu representante legal, tiver apresentado em qualquer dos países membros da União da Convenção de Paris pedido regular de registo de uma marca ou aquele que por qualquer título lhe houver sucedido goza, na apresentação do pedido de registo em Macau, de direito de prioridade.
2. Por pedido regular de registo entende-se todo aquele que haja sido efectuado em condições de estabelecer a data em que o mesmo foi apresentado no país em causa, independentemente de tudo o que ulteriormente possa, de algum modo, vir a afectá-lo.
3. O prazo do direito de prioridade é de seis meses, contados desde o dia imediato ao da apresentação do pedido de registo.
Artigo 23.º
(Âmbito da prioridade de pedido de registo formulado em país da União da Convenção de Paris)
1. O pedido de registo apresentado dentro do prazo de prioridade referido no artigo anterior não pode ser recusado ou invalidado com fundamento em qualquer facto verificado entre o pedido de registo inicial e o efectuado em Macau, nomeadamente em outro pedido de registo com idêntico objecto ou pelo uso da marca.
2. Os factos referidos na parte final do número anterior, em caso algum, podem fundamentar direitos de terceiro ou prioridade de registo fundada no uso.
Artigo 24.º
(Prioridade da União da Convenção de Paris)
1. O requerente que queira prevalecer-se da prioridade de pedido de registo efectuado em país da União da Convenção de Paris deve, conjuntamente com os demais elementos necessários à instrução do seu pedido de registo em Macau, declarar tal intenção, indicando o número, a data, a hora e o país onde foi efectuado aquele pedido.
2. O requerente deve ainda, no prazo de três meses a contar da data da apresentação do pedido de registo em Macau, juntar cópia do pedido de registo que é fundamento da prioridade, com clara indicação da data em que aquele pedido foi entregue.
3. Os documentos referidos no número anterior estão dispensados de legalização, mas devem ser autenticados pela Administração que tenha recebido o pedido inicial.
4. Quando, a qualquer título, exista sucessão no direito do requerente inicial, deve ser feita prova dessa sucessão no momento do pedido de registo em Macau.
Artigo 25.º
(Preterição de formalidades legais)
O não cumprimento das formalidades referidas no artigo anterior implica a perda do direito de prioridade.
Artigo 26.º
(Prioridade fundada no uso de marca não registada)
1. O requerente que, nos termos do n.º 2 do artigo 4.º, queira prevalecer-se da prioridade de pedido de registo fundada no uso de marca não registada, deve, conjuntamente com os demais elementos necessários à instrução do pedido de registo em Macau, juntar todos os documentos probatórios do seu uso.
2. Os documentos probatórios referidos no número anterior são livremente apreciados, salvo se se tratarem de documentos autênticos.
Artigo 27.º
(Pedido de registo)
1. O processo de registo de marca inicia-se com a apresentação na Direcção dos Serviços de Economia de um pedido de registo em duplicado, assinado pelo requerente ou por quem o represente, efectuado em impresso próprio de modelo anexo a este diploma.
2. No impresso referido no número anterior, o requerente deve indicar:
a) O seu nome, firma ou denominação social;
b) A sua nacionalidade;
c) A sua profissão ou principal actividade;
d) O seu domicílio ou sede social;
e) Se a marca se refere a produtos ou serviços;
f) A classe e os produtos ou serviços a que a marca se destina;
g) Se a marca é industrial ou comercial;
h) Os elementos referidos no artigo 24.º, caso se queira prevalecer da prioridade da União da Convenção de Paris;
i) Os elementos referidos no artigo anterior, caso se queira prevalecer da prioridade derivada do uso de marca não registada;
j) As disposições legais ou estatutárias em que se estabeleça regime da marca colectiva, se for o caso.
Artigo 28.º
(Instrução do pedido de registo)
O pedido de registo deve ser acompanhado dos seguintes elementos:
a) Exemplar da marca, colado na zona a ela destinada do impresso próprio;
b) Dois fotolitos para a reprodução tipográfica da marca, com as dimensões máximas de 7 cmx8 cm e mínimas de 1,5 cmx1,5 cm;
c) Autorização de terceira pessoa, caso o requerente pretenda incluir na marca o seu nome, firma, denominação social, insígnia ou retrato;
d) Autorização para incluir na marca quaisquer bandeiras, armas, escudos, brasões ou outros emblemas do Território, municípios ou outras entidades públicas ou particulares, nacionais ou estrangeiras, distintivos, selos e sinetes oficiais de fiscalização e garantia, emblemas privativos ou denominações da Cruz Vermelha ou de outros organismos de natureza semelhante;
e) Os referidos no artigo 26.º, caso o requerente queira prevalecer-se da prioridade fundada no uso de marca não registada.
Artigo 29.º
(Prova da apresentação do pedido de registo)
O duplicado do pedido de registo é devolvido ao requerente devidamente carimbado e com anotação do respectivo número, data e hora, servindo como prova da sua apresentação.
Artigo 30.º
(Classificação dos produtos e serviços)
1. Efectuado o pedido de registo de marca, a Direcção dos Serviços de Economia procede à classificação dos produtos e serviços, nos termos do artigo 10.º
2. No caso de se incluírem no pedido produtos ou serviços classificados em diferentes classes, o requerente é notificado para limitar o pedido a uma só classe e para formular, querendo, novos pedidos em relação aos produtos ou serviços que deles devam ser objecto.
3. O requerente pode reclamar da classificação no prazo de trinta dias a contar da data de publicação do pedido de registo de marca.
4. A reclamação a que se refere o número anterior é decidida no prazo máximo de quinze dias, sendo a decisão notificada ao requerente.
5. Da decisão da reclamação, cabe recurso para o Tribunal de Competência Genérica a interpor no prazo de trinta dias após a publicação do aviso de concessão do direito à marca, aplicando-se, com as necessárias adaptações, o disposto no artigo 47.º
Artigo 31.º
(Pluralidade de marcas num registo)
1. É permitido incluir num só pedido de registo uma série de marcas iguais mas que divirjam apenas na indicação dos produtos ou serviços a que se aplicam.
2. Cada uma das marcas referidas no número anterior produz efeitos como se fosse independente, mas a propriedade da série é indivisível, cabendo-lhe um só número de registo, acrescentado de uma letra para cada marca da série.
Artigo 32.º
(Regularização do pedido de registo)
1. Se antes da publicação do aviso do pedido de registo de marca se verificar a falta de algum documento ou outra irregularidade, o requerente é notificado para, no prazo de trinta dias, regularizar a situação.
2. A publicação prevista no número anterior apenas é efectua da após regularização da situação.
3. A não regularização do pedido no prazo referido no n.º 1 determina a renúncia e o cancelamento do pedido de registo de marca.
Artigo 33.º
(Publicação do pedido de registo)
1. Recebido o pedido de registo e efectuada a classificação dos produtos e serviços, é o mesmo publicado nos termos do disposto no artigo 16.º
2. A publicação do aviso do pedido de registo inclui a reprodução tipográfica da marca e indicação da classe e dos produtos ou serviços a que a mesma se destina.
Artigo 34.º
(Reclamações)
Quem se julgar prejudicado pela eventual concessão do registo pode reclamar para o director da Direcção dos Serviços de Economia, no prazo de noventa dias a contar da data da publicação a que se refere o artigo anterior.
Artigo 35.º
(Despacho de não recebimento da reclamação)
1. A interposição de reclamação fora do prazo referido no artigo anterior determina o seu não recebimento, em despacho a proferir pelo director da Direcção dos Serviços de Economia, no prazo de quinze dias a contar da apresentação.
2. O despacho de não recebimento é notificado ao reclamante ao requerente.
3. Do despacho de não recebimento não cabe recurso autónomo, podendo o reclamante recorrer, nos termos do artigo 47.º, do despacho que conceda o direito à marca, sendo condição prévia do provimento de tal recurso a falta de fundamentação desse despacho.
Artigo 36.º
(Notificação e resposta à reclamação)
1. Recebida a reclamação, o requerente deve ser notificado, nos quinze dias seguintes à sua apresentação, para responder em trinta dias.
2. A notificação do requerente deve ser acompanhada de cópia da reclamação.
Artigo 37.º
(Despacho de não recebimento e notificação da resposta à reclamação)
1. O disposto nos n.os 1 e 2 do artigo 35.º é aplicável, com as necessárias adaptações, à apresentação da resposta.
2. No prazo de quinze dias é enviada ao reclamante cópia d; resposta.
Artigo 38.º
(Obrigatoriedade de entrega de cópias)
1. A reclamação e a resposta à reclamação devem ser acompanhadas de tantas cópias quantos os requerentes ou reclamantes.
2. Além das cópias referidas no número anterior, deve ser sempre junta uma cópia adicional para ser arquivada e servir de base à reforma do processo em caso de descaminho.
Artigo 39.º
(Junção de documentos)
1. Os documentos são juntos com a peça em que se aleguem os factos que neles se referem, não podendo sê-lo mais tarde, em caso algum.
2. À junção de documentos é aplicável o disposto no artigo anterior.
Artigo 40.º
(Vistoria)
1. Com a reclamação ou a resposta podem as partes requerer, fundamentadamente, vistoria a estabelecimento comercial ou industrial ou a outro local relevante, com o fim de apoiar ou esclarecer as suas alegações.
2. Solicitada vistoria e findo o prazo para responder à reclamação, o director da Direcção dos Serviços de Economia decide quanto ao requerido.
3. Autorizada a vistoria, esta tem lugar nos quinze dias seguintes à notificação da decisão referida no número anterior.
4. A realização da vistoria não pode ser adiada e a sua não realização por impedimento de qualquer das partes é livremente apreciada atendendo às circunstâncias de cada caso.
5. As despesas com a vistoria são custeadas pela parte cuja pretensão for indeferida na decisão final.
Artigo 41.º
(Tramitação subsequente)
1. Apresentada a reclamação ou a resposta, ou tendo decorrido os respectivos prazos, e depois de efectuadas as eventuais vistorias, é o pedido de registo de marca examinado e decidido.
2. A recusa do pedido de registo de marca é notificada ao requerente, e tendo havido reclamação, ao reclamante.
Artigo 42.º
(Exame do pedido de marca)
1. O exame do pedido consiste, principal e obrigatoriamente, no exame da marca requerida e sua comparação com a marca ou marcas registadas para os mesmos produtos ou serviços, bem como para produtos ou serviços semelhantes.
2. O exame da marca deve sempre atender, no tocante aos elementos nominativos que a compõem, à possível confundibilidade dos caracteres e sons portugueses, chineses, ingleses ou outros, separadamente ou entre si.
Artigo 43.º
(Recusa de registo de marca)
O registo de marca é recusado quando se verifique:
a) A falta de pagamento de taxas;
b) A omissão de documentos exigíveis;
c) A inobservância de outras formalidades essenciais;
d) Que o requerente pretende fazer concorrência desleal ou que esta pode ocorrer independentemente da sua intenção;
e) A inobservância do disposto quanto à sua composição e línguas em que deve ser redigida;
f) Que todos ou alguns dos seus elementos contenham bandeiras, armas, escudos, brasões ou outros emblemas do Território, municípios ou outras entidades públicas ou particulares, nacionais ou estrangeiras, sem ter sido obtida a competente autorização;
g) Que todos ou alguns dos seus elementos contenham distintivos, selos e sinetes oficiais de fiscalização e garantia, quanto a marcas destinadas a mercadorias idênticas ou semelhantes àquelas em que os mesmos têm de ser aplicados, salvo autorização;
h) Que todos ou alguns dos seus elementos contenham brasões ou insígnias heráldicas, medalhas, condecorações, apelidos, títulos e distinções honoríficas a que o requerente não tenha direito, ou, quando o tenha, se daí resultou o desrespeito ou o desprestígio de semelhante sinal;
i) Que todos ou alguns dos seus elementos contenham o emblema ou denominação da Cruz Vermelha e demais organismos a que o Governador tenha concedido o uso de emblemas privativos, salvo autorização especial;
j) Que todos ou alguns dos seus elementos contenham a firma, denominação social, nome ou insígnia de estabelecimento que não pertençam ao requerente ou que este não esteja autorizado a usar;
l) Que todos ou alguns dos seus elementos contenham nomes individuais ou retratos sem ter sido obtida permissão das pessoas a que respeitem e sendo já falecidas, dos seus herdeiros ou parentes até ao quarto grau e mesmo quando obtida autorização, se tal facto produzir o desrespeito ou desprestígio daquelas pessoas;
m) Que todos ou alguns dos seus elementos contenham reprodução ilícita de obra que seja propriedade literária ou artística de outrem, salvo autorização;
n) Que todos ou alguns dos seus elementos contenham falsas indicações sobre a natureza, qualidades ou utilidade dos produtos ou serviços a que aquela se destina;
o) Que todos ou alguns dos seus elementos contenham falsas indicações de proveniência, quer do país, região ou localidade, quer da fábrica, propriedade ou estabelecimento;
p) Que todos ou alguns dos seus elementos contenham reprodução ou imitação total ou parcial de marca anteriormente registada por outrem, para o mesmo produto ou serviço ou para produtos ou serviços semelhantes que possam induzir em erro ou confusão no mercado.
Artigo 44.º
(Imitação ou usurpação de marca)
1. Considera-se imitada ou usurpada no todo ou em parte a marca destinada a produtos ou serviços inscritos na tabela de classificação de produtos e serviços sob o mesmo número ou sob número diferente mas de afinidade manifesta, que tendo tal semelhança gráfica, nominativa, figurativa ou fonética com outra marca já registada possa induzir facilmente em erro ou confusão o consumidor, não podendo este distinguir as duas senão depois de exame atento ou confronto.
2. Constitui imitação ou usurpação parcial de marca, o uso de certa denominação de fantasia que faça parte de marca alheia anteriormente registada, ou somente do aspecto exterior do pacote ou invólucro com as respectivas cores e disposição de dizeres, medalhas e recompensas, de modo que pessoas analfabetas os não possam distinguir de outras adoptadas por possuidor de marcas legitimamente usadas, nomeadamente de marcas notórias ou de reputação internacional.
Artigo 45.º
(Marca notória)
1. O interessado pode requerer a recusa do pedido de registo de marca que, no todo em parte essencial, constitua reprodução, imitação ou tradução de outra notoriamente conhecida como pertencente a pessoa singular ou colectiva de cidadania ou sede em outro país da União da Convenção de Paris, se for aplicada a produto ou serviço idêntico ou semelhante e que com ela possa confundir-se.
2. O interessado na recusa da marca a que se refere o número anterior só pode intervir no respectivo processo, quando prove já ter requerido em Macau o respectivo registo ou o faça simultaneamente com o pedido de recusa.
Artigo 46.º
(Recurso judicial)
1. Do despacho que recuse o registo de marca, bem como daquele que o conceda, tendo havido reclamação, cabe recurso para o Tribunal de Competência Genérica.
2. Têm legitimidade para interpor recurso:
a) O requerente do registo que haja sido recusado, ou os seus sucessores;
b) O reclamante ou os seus sucessores.
3. O recurso é interposto no prazo de trinta dias a contar da notificação da decisão.
Artigo 47.º
(Tramitação do recurso)
1. Não havendo motivo para indeferimento liminar e estando a petição em condições de ser recebida, é proferido despacho de citação da Direcção dos Serviços de Economia, na pessoa do seu director, para no prazo de trinta dias remeter ao tribunal o processo sobre o qual recaiu o despacho recorrido, bem como para responder, se achar conveniente.
2. Sendo o recurso interposto do despacho que haja recusado o registo de marca ou que o haja concedido, são também citados o requerente ou o reclamante, consoante os casos, para no mesmo prazo contestarem.
3. A falta de contestação não tem efeito cominatório.
4. Os termos ulteriores do processo seguem a forma de processo SUMÁRIO cível, sendo admitidos todos os meios de prova e cabendo sempre recurso da decisão para o Tribunal Superior de Justiça.
Artigo 48.º
(Prova do direito à marca)
A prova do direito à marca faz-se por meio de título de registo.
Artigo 49.º
(Entrega do título)
1. No caso do direito à marca ser concedido sem que tenha sido interposta reclamação, o título de registo pode ser entregue após o pagamento da taxa devida pela concessão.
2. No caso do direito à marca ser concedido apesar da apresentação da reclamação, o título de registo pode ser entregue, após o pagamento da taxa devida pela concessão, quando se mostre esgotado o prazo previsto no n.º 3 do artigo 46.º e a Direcção dos Serviços de Economia tenha obtido informação do tribunal de que não foi interposto recurso judicial da decisão.
3. No caso de ter sido interposto recurso judicial, o título de registo pode ser entregue logo que o requerente junte certidão da decisão judicial que lhe seja favorável e pague a correspondente taxa.
Artigo 50.º
(Conteúdo do título de registo de marca)
O título de registo de marca a que se referem os artigos anteriores deve conter os seguintes elementos, além de outros julgados necessários à perfeita identificação da propriedade que comprovam:
a) Indicação de que é emitido pelo território de Macau;
b) Indicação da entidade que o emite;
c) Data do despacho de concessão;
d) Prazo de duração do direito à marca;
e) Disposições legais aplicáveis;
f) Data e assinaturas das entidades competentes.
Artigo 51.º
(Certificado de registo)
Ao titular de registo de marca pode ser emitido certificado de conteúdo análogo ao do respectivo título para prova do seu direito em juízo.
Artigo 52.º*
(Fiscalização da exclusividade)
1. A Direcção dos Serviços de Economia e a Conservatória dos Registos Comercial e Automóvel mantêm um ficheiro actualizado das marcas registadas e das firmas ou denominações dos comerciantes singulares e das sociedades, com acesso recíproco através do recurso a meios informáticos.
2. Existindo marca registada com elementos nominativos confundíveis com a denominação de sociedade a constituir, deve a Conservatória dos Registos Comercial e Automóvel referenciar o facto na certidão a exibir ao notário.
3. É recusado o registo de marca que contenha elementos nominativos confundíveis com firmas ou denominações de comerciantes singulares e de sociedades já matriculadas na Conservatória dos Registos Comercial e Automóvel, excepto tratando-se do próprio titular da firma ou denominação ou mediante autorização deste.
4. Quando a firma ou denominação social seja confundível com marca registada na Direcção dos Serviços de Economia, não é admitido com carácter definitivo o registo de matrícula de comerciante singular ou de constituição de sociedade, excepto tratando-se do próprio titular da marca ou mediante autorização deste.

Artigo 53.º
(Modificação de marca)
O pedido relativo a qualquer modificação sujeita a novo registo é processado nos termos dos artigos anteriores.
SUBSECÇÃO II
Pedido de registo internacional
Artigo 54.º
(Requisitos)
1. O titular de um registo de marca que, sendo residente ou estabelecido em Macau, pretenda assegurar a protecção legal da sua marca nos países que aderiram ou vierem a aderir ao Acordo de Madrid, de 14 de Abril de 1891, relativo ao registo internacional das marcas de fábrica ou de comércio, deve apresentar na Direcção dos Serviços de Economia requerimento, onde, para além das menções constantes do artigo 27.º, conste:
a) Data do registo e da última renovação solicitada;
b) Número do processo de registo;
c) Data e número dos registos internacionais anteriores de que a marca tenha sido objecto, bem como substituições de titular e modificações de nome, firma ou denominação ainda não inscritas no registo internacional;
d ) No caso de se reivindicar a cor como elemento distintivo da marca, declaração nesse sentido;
e) Em que data, por que forma e por quem é feito o pagamento do emolumento internacional e, bem assim, se este é pago imediatamente pelos vinte anos de duração da protecção resultante do registo ou somente pelos dez primeiros.
2. Com o pedido de registo referido no número anterior, são juntos os documentos que, nos termos do Acordo de Madrid relativo ao registo internacional das marcas de fábrica ou de comércio, de 14 de Abril de 1891, forem necessários à tramitação daquele.
Artigo 55.º
(Processamento do pedido de registo)
1. Verificada a conformidade das indicações contidas no requerimento com os elementos constantes do processo e do registo respectivos e, bem assim, a identidade
da matriz tipográfica, a Direcção dos Serviços de Economia procede à elaboração dos formulários regulamentares, fazendo em cada um deles uma reprodução da marca a negro e, se houver reivindicação nesse sentido, uma reprodução a cores, ao lado da primeira.
2. No caso de inobservância de qualquer formalidade é o requerente notificado para no prazo de trinta dias regularizar a situação, findo o qual o processo é arquivado ficando a sua reabertura dependente de novo requerimento.
3. Cumpridas as formalidades referidas nas disposições anteriores, o pedido é transmitido à Secretaria Internacional.
Artigo 56.º
(Entrega do formulário ao requerente)
O exemplar do formulário enviado pela Secretaria Internacional, devidamente assinado e selado e com indicação da data e número do registo internacional, após ser recebido na Direcção dos Serviços de Economia, é enviado ao requerente ou seu mandatário, depois de anotados no processo do registo de Macau o seu número e data.
Artigo 57.º
(Renúncia parcial à protecção do registo)
O titular de um registo internacional pode renunciar à protecção da sua marca num ou vários dos países aderentes, por meio de declaração entregue na Direcção dos Serviços de Economia, para ser comunicada à Secretaria Internacional e por esta aos países a que a renúncia diz respeito.
Artigo 58.º
(Renovação do registo)
A renovação do registo internacional depende das formalidades estabelecidas para o pedido inicial.
Artigo 59.º
(Adição ou substituição de produto)
O disposto no artigo anterior é aplicável aos casos de adição posterior de novo produto ou classe e de substituição de um produto ou classe por outro ou outra.
Artigo 60.º
(Comunicação das alterações à Secretaria Internacional)
A Direcção dos Serviços de Economia promove a notificação à Secretaria Internacional de todas as alterações sofridas pelas marcas registadas em Macau que possam influir no registo internacional, para efeitos de inscrição neste, publicação e notificação aos países aderentes em que lhes tenha sido dada protecção.
Artigo 61.º
(Efeitos do registo internacional)
1. O pedido de protecção em Macau de marca registada internacionalmente, recebido nos termos do Acordo de Madrid, de 14 de Abril de 1891, é publicado nos termos e para os efeitos previstos nos artigos 33.º e 34.º
2. Decorrido o prazo de reclamação é o pedido examinado e decidido, sendo recusada a protecção em Macau quando se verifique qualquer dos fundamentos que, nos termos do artigo 43.º, possa motivar a recusa do registo de marcas neste território.
3. Do despacho que recuse o direito à marca, bem como daquele que o conceda, tendo havido reclamação, cabe recurso judicial a interpor nos termos do presente diploma.
Artigo 62.º
(Formalidades da comunicação da recusa)
1. A recusa de protecção é notificada à Secretaria Internacional por meio de aviso em triplicado, sendo um destinado à referida Secretaria, outro ao serviço de propriedade industrial do país de origem e o último ao titular do registo de marca.
2. O aviso de recusa deve conter as seguintes menções:
a) Indicação do território de Macau;
b) A data de expedição;
c) O número e a data do registo internacional;
d) O nome e o domicílio do proprietário;
e) O motivo da recusa;
f) O prazo de recurso e o tribunal para o qual este pode ser interposto;
g) Sendo a recusa parcial, indicação do produto ou serviço que a marca não pode aplicar-se em Macau;
h) Sendo o fundamento da recusa a existência de registo anterior, a indicação da marca, nacional ou internacional, que impede a concessão, um exemplar dessa marca, o nome e domicílio do seu proprietário, a data e o número do registo.
3. No verso do aviso de recusa devem transcrever-se as principais disposições do presente diploma que servem de fundamento à recusa e definem o prazo de recurso e o tribunal para o qual o mesmo pode ser interposto.
Artigo 63.º
(Prazo de comunicação da recusa)
O aviso de recusa da protecção no território de Macau deve ser remetido à Secretaria Internacional antes de decorrido um ano sobre a data do registo internacional da marca.
Artigo 64.º
(Recusa de renovação por modificações na marca)
Pode ser recusada a protecção, a título de renovação, às marcas do registo internacional em que se tenham introduzido modificações que alterem o seu carácter distintivo ou a indicação dos produtos ou serviços a que se devem aplicar.
Artigo 65.º
(Novo registo por recusa de renovação)
1. Quando seja recusada a protecção, a título de renovação, pode a marca ficar protegida como novo registo, desde que se verifiquem os requisitos necessários e se observem as formalidades legais.
2. Concedida a protecção nos termos deste artigo, devem ter-se em conta os direitos e prioridades em relação aos produtos ou serviços designados nos mesmos termos no registo anterior e no actual.
SECÇÃO III
Transmissão, oneração e licença de exploração do direito à marca
Artigo 66.º
(Transmissão da propriedade de marca)
1. A propriedade da marca registada pode ser transmitida a título gratuito ou oneroso, independentemente da transmissão ou cessão de exploração do estabelecimento.
2. O trespasse do estabelecimento faz presumir a transmissão da propriedade da marca, salvo estipulação em contrário.
3. Havendo transmissão da propriedade da marca conjuntamente com o estabelecimento de que faz parte, deve o contrato seguir as formalidades exigidas para a transmissão do estabelecimento.
4. A transmissão da propriedade da marca, independentemente da transmissão do estabelecimento, é reduzida a escrito, sendo as assinaturas dos contratantes reconhecidas notarialmente.
Artigo 67.º
(Licença de exploração de marca)
1. O titular do registo de marca pode conceder a outrem licença para a explorar, a título gratuito ou oneroso, para todos ou parte dos produtos ou serviços que aquela compreende.
2. Sendo a licença exclusiva, nenhuma outra pode ser concedida enquanto aquela se mantiver em vigor.
3. O direito obtido por meio de licença de exploração não pode ser alienado ou temporariamente cedido sem consentimento escrito do titular do registo, salvo disposição em contrário estabelecida no contrato de licença.
4. O licenciado, salvo disposição em contrário contida no respectivo contrato, goza dos direitos concedidos ao titular do registo.
5. O contrato de licenciamento é reduzido a escrito, sendo assinaturas dos contratantes reconhecidas notarialmente.
Artigo 68.º
(Intransmissibilidade da propriedade de certas marcas)
As marcas registadas a favor dos organismos que tutelam ou controlam actividades económicas são intransmissíveis, salvo disposição especial dos respectivos estatutos ou diplomas orgânicos.
Artigo 69.º
(Registo da transmissão, oneração e licença de exploração do direito à marca)
1. A transmissão, oneração e licença de exploração do direito à marca não produz efeitos em relação a terceiros enquanto não houver sido averbada na Direcção dos Serviços de Economia.
2. O averbamento faz-se no título de registo e em livro ou suporte informático, a requerimento de qualquer interessado, sendo instruído com os documentos comprovativos da transmissão, oneração ou licença de exploração.
3. O título de registo é devolvido ao requerente e os documentos juntos ao processo com o respectivo requerimento.
4. Do averbamento é efectuada publicação, nos termos deste diploma.
Artigo 70.º
(Registo de alterações de residência, sede social, firma ou denominação)
O disposto no artigo anterior aplica-se às alterações de residência, sede social, firma ou denominação ou outras similares, com as necessárias adaptações.
SECÇÃO IV
Renovação, extinção e invalidade das marcas
Artigo 71.º
(Renovação do direito à marca)
1. O direito à marca pode ser renovado mediante requerimento a apresentar nos seis meses anteriores à sua caducidade, juntando-se o original do título de registo.
2. A renovação do direito à marca é publicada nos termos do presente diploma e averbada no título de registo.
Artigo 72.º
(Extinção da marca)
1. A marca extingue-se por:
a) Caducidade;
b) Renúncia;
c) Falta de pagamento de taxas;
d) Alterações da marca que prejudiquem a sua identidade;
e) Concessão do novo direito à marca por efeito de adição ou substituição de produtos ou serviços.
2. Verifica-se a caducidade:
a) Pelo decurso do prazo pelo qual tenha sido concedido o direito à marca;
b) Pelo não uso da marca durante três anos consecutivos, salvo caso de força maior devidamente justificado;
c) No caso previsto na parte final do n.º 3 do artigo 15.º
3. A marca colectiva extingue-se ainda se:
a) Deixar de existir o organismo titular da marca;
b) For usada de modo contrário aos fins gerais ou prescrições estatutárias dos organismos titulares com o seu conhecimento.
4. A extinção da marca é objecto de publicação a efectuar nos termos do presente diploma.
Artigo 73.º
(Extinção por renúncia)
1. A renúncia do direito à marca é efectuada em impresso próprio, assinado pelo seu titular, sendo a assinatura reconhecida notarialmente.
2. A renúncia do direito à marca não prejudica os direitos de terceiro, designadamente os que resultem de contrato de licença de exploração ou de constituição de ónus, caso em que aquela só produz efeitos decorrido o prazo pelo qual foi concedida a licença ou constituído o ónus.
3. Se o requerimento de renúncia não for assinado pelo titular deve o mandatário ou o advogado juntar procuração com poderes especiais para o efeito.
Artigo 74.º
(Anulação do registo de marca)
1. Constitui fundamento de anulação do registo de marca:
a) As causas determinantes da sua recusa nos termos do artigo 43.º;
b) A concessão do direito à marca que, no todo ou em parte, constitua reprodução, imitação ou tradução de outra notoriamente conhecida como pertencente a outro cidadão de outro país da Convenção da União de Paris, tendo sido aplicada a produtos ou serviços idênticos ou semelhantes, podendo com ela confundir-se.
2. Os interessados na anulação do registo das marcas a que se refere a alínea b) do número anterior só podem pedi-la quando provem ter requerido o registo da marca com a qual aquela se confunde.
Artigo 75.º
(Acção de anulação)
1. A acção de anulação deve ser proposta no Tribunal de Competência Genérica no prazo de um ano a contar do conhecimento do facto que a fundamente.
2. A decisão de anulação de um registo de marca é comunicada à Direcção dos Serviços de Economia após o seu transito em julgado, devendo ser publicada, nos termos do presente diploma, a expensas do interessado.
CAPÍTULO II
Delitos contra o direito à marca e proibição da concorrência desleal
Artigo 76.º
(Violação do direito à marca)
1. Quem:
a) Contrafizer, total ou parcialmente, ou reproduzir por qualquer meio, sem consentimento do seu legítimo proprietário, uma marca registada;
b) Imitar, no todo ou em algumas das suas partes características, uma marca registada;
c) Utilizar marca contrafeita ou imitada;
d) Utilizar fraudulentamente nos seus produtos ou serviços uma marca registada pertencente a outrem;
e) Utilizar fraudulentamente a sua marca nos produtos ou serviços de outrem, de modo a iludir o consumidor sobre a origem daqueles;
f) Importar, vender, colocar à venda ou em circulação produtos ou serviços com marca contrafeita, imitada ou fraudulentamente usada nos termos das alíneas anteriores;
g) Utilizar marca colectiva fora das condições previstas nos estatutos e diplomas orgânicos que a institua, é punido com pena de prisão até um ano ou multa de cinco mil a quinhentas mil patacas.
2. A reincidência é punida com pena de prisão até três anos ou multa de cinquenta mil a um milhão de patacas.
Artigo 77.º
(Responsabilidade por registo de marca anulado)
Quem dolosamente requerer registo de marca que venha a ser anulado por ofensa de direitos de terceiro, é punido com a pena correspondente ao crime de falsas declarações.
Artigo 78.º
(Falta de marca obrigatória)
Os objectos que estejam sujeitos a marca obrigatória e a não tenham aposta, para além do que for disposto em legislação especial, são apreendidos, respondendo os infractores, nos termos gerais de direito, pelas perdas e danos que causarem.
Artigo 79.º *
(Concorrência desleal)
1. Constitui concorrência desleal todo o acto de concorrência contrário às normas e aos usos honestos de qualquer ramo de actividade económica.
2. São nomeadamente proibidos:
a) Todos os actos susceptíveis de criar confusão com o estabelecimento, os produtos, os serviços ou o crédito dos concorrentes, qualquer que seja o meio empregue;
b) As falsas afirmações feitas no exercício do comércio, da indústria ou dos serviços, com o fim de desacreditar o estabelecimento, os produtos, os serviços ou a reputação dos concorrentes;
c) As invocações ou referências não autorizadas, feitas com o intuito de retirar benefício próprio do crédito ou reputação de um nome de estabelecimento, marca, produto ou serviço alheios;
d) As falsas indicações de crédito ou reputação de um estabelecimento ou do seu proprietário, em benefício próprio, respeitantes ao seu capital ou à sua situação financeira, à natureza ou extensão das suas actividades e negócios e à qualidade e quantidade da sua clientela;
e) Os anúncios dolosos e as falsas descrições ou indicações sobre a natureza, qualidade e utilidade dos produtos ou serviços;
f) As falsas indicações de proveniência, de localidade, de região ou território, de fábrica, propriedade ou estabelecimento, seja qual for o modo porque forem efectuadas;
g) A supressão, ocultação ou alteração, por parte do vendedor ou de qualquer intermediário, da denominação de origem dos produtos ou da marca registada do produtor ou fabricante em produtos destinados à venda e que não tenham sofrido modificação no seu acondicionamento;
h) A ilícita apropriação, utilização ou divulgação dos segredo da indústria ou comércio de outrem.

Artigo 80.º *
(Aplicação subsidiária)
As normas que proíbam a prática de actos de concorrência desleal só são aplicáveis quando a situação de facto não se enquadrar nas normas referentes à violação do direito à marca ou de outro direito da propriedade industrial.

Artigo 81.º
(Responsabilidade civil)
A prática dos actos proibidos neste Capítulo responsabiliza os seus agentes, nos termos gerais de direito, pelas perdas e danos que causarem.
CAPÍTULO III
Disposições finais e transitórias
Artigo 82.º
(Entrada em vigor)
1. O presente diploma entra em vigor trinta dias após a sua publicação.
2. As disposições deste diploma referentes ao registo internacional de marcas entram em vigor logo que o Acordo de Madrid de 1891, relativo ao registo internacional de marcas de fábrica ou de comércio, seja aplicável a Macau.
Artigo 83.º
(Marcas anteriores)
As marcas concedidas pelo Instituto Nacional da Propriedade Industrial para serem aplicáveis a Macau, conservam a sua plena validade pelo prazo por que foram concedidas, observando-se, todavia, na sua renovação, o disposto no presente diploma.
Artigo 84.º
(Pedidos de registo pendentes)
1. Os pedidos de registo de marca que se encontrem pendentes à data de entrada em vigor do presente diploma e de que ainda não tenha sido efectuada publicação no Boletim da Propriedade Industrial são reenviados pelo Instituto Nacional da Propriedade Industrial para a Direcção dos Serviços de Economia, que assegura toda a subsequente tramitação.
2. Aos demais pedidos de registo de marca que se encontrem pendentes à data da entrada em vigor do presente diploma é exclusivamente aplicável o disposto no regime actualmente vigente.
3. À renovação dos registos referidos no número anterior é aplicável o disposto no presente diploma.
Artigo 85.º
(Revogações)
São revogadas todas as disposições legais que contenham normas em oposição às previstas no presente diploma, nomeadamente:
a) O Decreto-Lei n.º 44/87/M, de 29 de Junho;
b) Os artigos 165.º a 216.º, 264.º, 265.º, 269.º, 270.º e 290.º a 293.º do Código da Propriedade Industrial, aprovado pelo Decreto-Lei n.º 16/95, de 24 de Janeiro, publicado no Boletim Oficial n.º 36, I Série, de 4 de Setembro de 1995.

十一月六日
隨著保護商標之本法規之核准,將達致註冊商標本身制度本地化之目標,從而取
消葡萄牙行政機關——國家工業產權署——對於澳門地區之權限,並將有關制度 之運作所需之權限賦予經濟司,但這樣做不影響維持在該等事宜方面之合作。
此外,以此建立一可靠之保護工業產權制度之長遠目標將得以實現,除本地區政
府最近制定之鼓勵投資之優惠及機制外,希望藉此能促進對澳門經濟及發展有利
之投資。
基於此;
經聽取諮詢會意見後;
總督根據《澳門組織章程》第十三條第一款之規定,命令制定在澳門地區具有法
律效力之條文如下:
第一章
商標權
第一節
一般規定
第一條
(保護之事物範圍)
本法規規範商標之保護。
第二條
(商標權)
一、凡採用一定商標,以區別本身經濟活動之產品或服務,且符合法律規定,尤
其是有關註冊之規定者,均享有產品或服務商標之所有權及專用權。
二、商標權具有法律規定之一般產權保障與本法規及國際文書規定之特別保護。
第三條
(對人之適用範圍)
一、本法規適用於澳門地區所有居民及根據一八八三年三月二十日之《巴黎公約》
及其修正規定所組成之[保護工業產權國際聯盟]成員國之公民,不論其住所或
場所設於何地,但有關管轄權及程序之特別規定除外。
二、任何國家之公民,只要在《巴黎公約》任一成員國境內具有有效、真實之住
所或工業或商業場所,亦等同於[巴黎公約聯盟]成員國公民。
三、其他公民應遵守澳門與其國家簽訂之國際協定,如無此協定,則遵守互惠制
度。
第四條
(未註冊商標之使用)
一、准許使用未註冊之製造、銷售或服務商標。
二、使用未註冊商標不超過六個月者,在該期間內有優先權提出註冊請求,且得
對他人之申請聲明異議。
第五條
(給予商標權之法律推定)
商標註冊僅表明商標新穎性或其與之前已註冊商標有區別之推定,申請人須承擔
商標註冊之責任及其風險。
第六條
(商標之任意使用)
商標得任意使用,但法律規定中聲明產品或服務之註冊商標之使用屬強制性除
外;本規定不影響商標權之失效。
第七條
(使用商標之權利)
使用商標之權利給予具有正當利益使用商標者,尤其是:
a)廠商或製造商,以標明其工業產品或所製造之產品;
b)商人,以標明其商品;
c)手工業者,以標明其手工藝、工作或職業之產品;
d)提供服務者,以標明其活動。
第八條
(集體商標)
一、除上條之規定外,監察或監督經濟活動之機構有權根據其宗旨及有關章程或
組織法規之規定使用商標,以標明受其監察或監督之經濟活動之服務或產品。
二、上款所指機構應視乎情況,促使在其組織法規或章程內引入規範下列事宜之
規定:
a)有權使用商標之人;
b)使用商標之條件;
c)在僭用或假造商標時,利害關係人之權利及義務。
三、章程之修改涉及變更集體商標制度時,為商標權利人之機構之領導層應在三
十日內通知經濟司。
第九條
(“註冊商標”)
商標之註冊權利人有權在註冊生效期間在商標上加上 “Marca Registada”或縮寫 “MR”或“R”,中文“註冊商標”及相應之廣東話拼音 chu chak seong pio、普通話拼 音 zhù cè shang bino,以及英文 “Registered Trademark”或 “T.M.”。
第十條
(按產品及服務註冊)
商標註冊係按產品或服務為之;經濟司有權限按訓令公布之分類表所載之分類指
明產品及服務之類別。
第十一條
(產品或服務之附加及代替)
對事後附加之新產品或服務及以另一產品或服務代替原本者,即使屬同一類別之
產品或服務,亦應另行重新註冊。
第十二條
(商標之不可變更性)
一、商標應保持不變,對其組成要素之任何更改均須重新註冊。
二、在不損商標識別性之情況下,上款之規定不包括僅影響商標之比例,鑄造、
雕刻或複製商標之物料及其顏色之簡單變更,但顏色之簡單變更僅以未明示其作
為商標之其中一特徵之情況為限。
第十三條
(註冊之開始及期限)
商標註冊自給予註冊之日起產生效力,期限為自請求日起計七年,且得按第七十
一條之規定以相同期間續展。
第十四條
(商標之組成)
一、商標可由以任何方式用於產品或其外殼之一名稱、圖形或徽章標誌或其組合
式組成,以區別於其他相同或類似之產品。
二、商標亦得由產品之形狀、其外殼或其包裝組成,但以可區別其他相同或類似
之產品為限。
三、顏色本身不能作為商標,但以獨特及顯著方式,配搭顏色或運用顏色配合文
字圖樣、文字及其他要素,且利害關係人申請有關保護之情況除外。
四、商標不得完全由在商業中用於表示產品之種類、質量、數量、用途、價值、
原產地或生產季節,或已成為現代語言或正當商務實踐中慣用之標誌或標記所組
成。
第十五條
(商標上應使用之語言)
一、商標之文字應使用葡文、中文或英文,並得三種語言合併使用。
二、在註冊請求書內,應有中文字之拼音及說明中文字之意思,但屬想像之名稱
除外。
三、僅用於出口產品之商標得使用任何語言,但該類商標用於澳門則導致失效。
四、強制性使用葡文、中文或英文不適用於國際商標之註冊請求及未在澳門設立
場所之外國公民或實體所提出之註冊請求。
第十六條
(公布)
一、經濟司依職權促使將本法規所規定之所有公布在澳門《政府公報》中刊登,
費用由申請人支付。
二、下列行為須以通告方式公布:
a)商標之註冊請求;
b)對商標權之給予或拒絕;
c)商標權之轉讓、設定負擔或使用許可;
d)商標註冊權利人之居所、公司住所或名稱之變更;
e)商標權之續展、消滅及撤銷。
第十七條
(通知)
一、本法規規定之通知係以掛號信作出,但屬司法訴訟待決期間作出之通知除
外,此等情況適用訴訟法之規定。
二、根據上款規定所作之通知推定為在註冊日後之第三日作出,如第三日不屬工
作日,則推定為第三日後之第一個工作日作出,但不產生追溯效力。
三、上款之推定,僅在被通知者在推定日後才接到通知,且該事實不可歸責於被
通知者時,方得被推翻,但須請求郵局提供關於實際收到通知日期之資料。
第十八條
(行為展開之正當性)
一、行為及程序僅得由下列人展開:
a)屬住所或場所設於澳門之情況,利害關係人本人或有權作出有關行為之受託 人;
b)律師。
二、如申請書係由上款 a 項規定之受託人簽名,申請書應連同委任授權書;如授 權書係由外國發出者,則授權書應根據法律予以確認及翻譯。
三、律師得以其顧客名義並為其利益,展開本法規所規定之所有行為及申請而不
用出示委任書,但涉及商標權之捨棄或放棄之行為除外。
第十九條
(應付之費用)
總督以訓令訂定作出本法規所規定行為應付之費用,以及徵收之時間及方式。
第二十條
(註冊之公開性)
任何人得要求已作出之註冊、存檔文件及已公布之待決註冊請求之證明或影印
件,以及要求指明本法規所規定任何公布之日期。
第二節
註冊程序
第一分節
在澳門之註冊請求
第二十一條
(註冊請求之優先)
一、商標權之註冊係給予最先提出註冊請求之人,且該人在請求中已附有所需之
符合法定形式要件之文件,但屬以下數條規定者除外。
二、如請求內並未附同所需之一切文件,則按呈交最後一份文件之日期及時間計
算優先次序。
第二十二條
(在[巴黎公約聯盟]國家已提出
之註冊請求之優先)
一、在[巴黎公約聯盟]任一成員國親自或透過法定代理人已呈交商標之正式註
冊請求者或以任何名義繼承者,在澳門呈交註冊請求時享有優先權。
二、所有可確定在有關國家呈交註冊請求之日期之請求,均視為正式註冊請求,
而不論事後可影響該請求之一切因素。
三、優先權之期間為自呈交註冊請求翌日起計六個月。
第二十三條
(在[巴黎公約聯盟]國家已提出
註冊請求之優先範圍)
一、對在上條所指優先權期間內所呈交之註冊請求,不得以任何發生於第一次註
冊請求與在澳門提出請求之間之事實為理由,尤其是因出現另一具相同標的或使
用商標之註冊請求,而遭拒絕或使之無效。
二、上款最後部分所指事實在任何情況下不得成為第三人之權利或因使用而取得
之註冊優先之理由。
第二十四條
([巴黎公約聯盟]之優先)
一、申請人擬要求將在[巴黎公約聯盟]國家已提出之註冊請求優先,應在申請
時聲明其意圖,註明其申請編號、日期及時間以及作出該商標請求之所在國,同
時附有在澳門請求註冊所需之其他資料。
二、申請人亦應自呈交澳門註冊請求起計三個月內,附上作為優先理由之註冊請
求之副本,且須清楚註明遞交該請求之日期。
三、上款所指文件可免除根據法律予以確認,但應經接受第一次請求之行政當局
之認證。
四、如以任何名義繼承原申請人之權利,在澳門提出註冊請求時應對有關繼承予
以證明。
第二十五條
(法定手續之不遵守)
不履行上條所指手續導致喪失優先權。
第二十六條
(以使用未註冊商標為依據之優先)
一、申請人根據第四條第二款之規定擬要求以使用未註冊商標為依據之註冊請求
優先,應附上有關使用商標之所有證明文件,同時附有澳門註冊請求所需之其他
資料。
二、上款所指之證明文件得自由審查,但公文書除外。
第二十七條
(註冊之請求)
一、商標註冊程序以向經濟司呈交註冊請求為開始,該請求係以式樣附於本法規
之專用表格為之,一式兩份,且須由申請人或其代理人簽名。
二、申請人應在上款所指之表格上註明:
a)姓名、商業名稱或公司名稱;
b)國籍;
c)職業或主要活動;
d)住所或公司住所;
e)商標係關於產品或服務;
f)產品或服務所屬之類別及商標所指之產品或服務;
g)商標屬工業或商業性質;
h) 屬擬要求[巴黎公約聯盟]之優先,則第二十四條所指之資料;
i)屬擬要求以使用未註冊商標為依據之優先,則上條 所指之資料;
j)制定集體商標制度所依據之法律規定或章程規定, 如情況需要。
第二十八條
(註冊請求之組成)
註冊請求應附同下列資料:
a)商標樣版,貼於專用表格內之相應位置;
b)兩件供活版印刷複製商標用之照相平版,面積最大為 7cm x 8cm,最小為 1.5cm x 1.5cm;
c)如申請人擬在商標中包含第三人之姓名、商業名稱、公司名稱、徽號或肖像, 則須第三人之許可;
d)將任何本地區、市或其他國內外之公共或私立實體之旗幟、劍徽、盾徽、紋 章、或其他徽章、用於表明監察及保證之官方獨特標記、印信及印章、紅十字會
或其他類似性質機構之專用徽章或名稱作為商標之許可;
e)如申請人擬要求以使用未註冊商標為依據之優先,則須附同第二十六條所指 之資料。
第二十九條
(呈交註冊請求之證明)
註冊請求之副本經適當蓋印後發還給申請人,並註明其申請編號、日期及時間,
且將之作為已呈交註冊請求之證明。
第三十條
(產品及服務之分類)
一、作出商標註冊請求後,經濟司根據第十條之規定,對產品及服務作出分類。
二、如在請求內包括劃分為不同類別之產品或服務,應通知申請人將其請求僅限
於某一類別,並且如申請人願意,可就其餘產品或服務另提出註冊請求。
三、申請人得在商標註冊請求公布後三十日內對分類聲明異議。
四、對上款所指聲明異議之決定,應在最多十五日之期間內作出,且應通知申請
人。
五、在給予商標權之通告公布後三十日內,得對聲明異議之決定向普通管轄法院
提起上訴,且適用經必要配合後之第四十七條之規定。
第三十一條
(同一註冊內之數個商標)
一、准許在同一註冊請求內包含一系列相同商標,該等商標僅區別於所指定適用
之產品或服務。
二、上款所指每一商標均如獨立商標般產生效力,但一系列適標之所有權不可分
割,僅給予一商標註冊號,並在每一商標上加上一字母。
第三十二條
(使註冊請求符合規定)
一、如在商標註冊請求通告公布前,發現缺少任何文件或有其他不當情事,應通
知申請人在三十日內使情況符合規定。
二、上款所規定之公布僅在情況符合規定後方可為之。
三、未在第一款所指期間內使請求符合規定,則導致放棄及取消商標註冊請求。
第三十三條
(註冊請求之公布)
一、在收到註冊請求及對產品及服務作出分類後,根據第十六條之規定將該註冊
請求公佈。
二、註冊請求通告之公布應包括以活版印刷複製之商標及註明商標之產品或服務
及其所屬類別。
第三十四條
(聲明異議)
認為倘給予註冊將對本人造成損害之人,得自上條所指公布之日起九十日內向經
濟司司長提出聲明異議。
第三十五條
(不接受聲明異議之批示)
一、未在上條所指期間內提交聲明異議將導致經濟司司長在聲明異議呈交後十五
日內,以批示宣告不接受該聲明異議。
二、不接受之批示應通知聲明異議人及申請人。
三、對不接受之批示不可提起獨立上訴,聲明異議人得根據第四十七條之規定就
給予商標權之批示提起上訴,而該批示缺乏依據係受理該類上訴之先決條件。
第三十六條
(聲明異議之通知及答辯)
一、收到聲明異議後,應自呈交日起計十五日內通知申請人於三十日內答辯。
二、向申請人發出之通知書內應附同聲明異議之副本。
第三十七條
(不接受之批示及對聲明異議答辯之通知)
一、第三十五條第一款及第二款之規定,經必要配合後適用於答辯之呈交。
二、在十五日內將答辯之副本送交聲明異議人。
第三十八條
(呈交副本之強制性)
一、聲明異議及對聲明異議之答辯,應附有與申請人或聲明異議人數目相同之副
本。
二、除上款所指之副本外,亦應附同二份附加副本,以備存檔及在被挪取時再造
有關卷宗之用。
第三十九條
(文件之合併)
一、文件應與陳述其所涉及事實之訴訟文書合併,任何情況下均不可遲於訴訟文
書呈交文件。
二、上條之規定適用於文件之合併。
第四十條
(查驗)
一、當事人在聲明異議或答辯時,均得在有合理理由之情況下,要求查驗商業場
所或工業場所或其他相關地點,以支持或說明其陳述。
二、要求作出查驗且就聲明異議答辯之期屆滿後,經濟司司長應對有關申請作出
決定。
三、獲許可查驗後,得在通知上款所指決定後十五日內為之。
四、查驗不得延遲作出,對因任何一方當事人遇到障礙導致不能查驗,應視乎每
一案件之情節而自由審理。
五、查驗費用由在最後決定中主張被駁回之當事人支付。
第四十一條
(續後之程序)
一、呈交聲明異議或答辯後,或有關期間已屆滿,且作出倘有之查驗後,應審查
商標註冊請求及對之作出決定。
二、拒絕商標註冊請求應通知申請人,如有聲明異議,應通知聲明異議人。
第四十二條
(對商標請求之審查)
一、對請求之審查主要及必須包括:審查申請之商標、將之與其他同類產品或服
務以及類似產品或服務之商標或已註冊商標相比較。
二、在商標審查中涉及組成商標之名稱要素時,應注意葡文、中文、英文或其他
語言之文字及發音在單獨使用或混合使用時可能造成之混亂情況。
第四十三條
(商標註冊之拒絕)
下列情況下,拒絕商標註冊:
a)未支付有關費用;
b)不提交要求之文件;
c)未辦理其他主要手續;
d)申請人擬作不正當競爭,或即使無此意圖,亦可能出現不正當競爭;
e)不遵守有關商標組成及應使用語言之規定;
f)商標之全部或某組成部分含有本地區、市或其他國 內外公共或私人實體之旗 幟、劍徽、盾徽及其他徽章,而未獲有關許可;
g)商標之全部或某組成部分含有用以表明監察及保證之官方獨特標記、印信及 印章,如商標用於相同或類似之須具有該等獨特標記、印信及印章之貨物上,但
獲許可者除外;
h)商標之全部或某組成部分含有申請人無權使用之紋章或具有家族淵源之徽 號、獎章、勳章、姓氏、頭銜、榮譽勳章,或申請人有權使用,但使用於商標上
會造成對該等標誌之不尊重或使其聲譽受損;
i)商標之全部或某組成部分含有紅十字會或其他總督 許可使用專用徽章之機構 之徽章或名稱,但有特別許可除外;
j)商標之全部或某組成部分含有不屬於申請人或申請 人未獲許可使用之商業名 稱、公司名稱、姓名或場所之徽號;
l)商標之全部或某組成部分含有未經當事人准許,如 當事人已死亡,未經其繼 承人或四親等內之血親准許之個人姓名或肖像,即使獲得許可,但有關事實係對
當事人不尊重或使其聲譽受損;
m)商標之全部或某組成部分含有不法複製文藝著作權屬他人之作品,但獲許可 之情況除外;
n)商標之全部或某組成部分含有產品性質、功能或用途之虛假說明;
o)商標之全部或某組成部分含有產品來源,包括生產國、地區或地方及廠房、 農場或場所之虛假說明;
p)商標之全部或某組成部分含有全部或局部複製或仿造他人之已註冊商標,且 用於相同或類似產品或服務上,並足以在市場上造成誤認或混淆。
第四十四條
(商標之仿造或僭用)
一、商標之文字圖樣、名稱、圖形或讀音與其他已註冊商標類似並容易引致消費
者誤認或混淆,且僅在細心檢查或對比後方可區分該兩商標者,即構成全部或局
部仿造或僭用在產品及服務分類表內屬同一類或不同類但近似之產品或服務之
商標。
二、商標內使用屬他人已註冊商標之想像名稱,或僅使用附有之顏色、文字次序、
獎章及獎狀之紙盒或外殼之外部設計,導致文盲人士不能區別其他正當使用商標
之擁有者所採用之商標,尤其是馳名商標或國際著名之商標,即構成局部仿造或
僭用商標。
第四十五條
(馳名商標)
一、如一商標之主要組成部分為複製、仿造或翻譯屬[巴黎公約聯盟]其他國家
公民之自然人所擁有或公司住所設於聯盟其他國家之法人所擁有之馳名商標
時,用於相同或類似產品上,易於造成混淆者,利害關係人得要求拒絕商標之註
冊請求。
二、上款所指拒絕商標之利害關係人,僅在證明其已在澳門提出註冊申請或與拒
絕請求同時提出申請時,方可參與有關程序。
第四十六條
(司法上訴)
一、在聲明異議後,對拒絕商標註冊及給予商標註冊之批示,得向普通管轄法院
提起上訴。
二、具正當性提起上訴之人:
a)被拒絕註冊之申請人或其繼受人;
b)聲明異議人或其繼受人。
三、上訴自決定通知日起計三十日內提起。
第四十七條
(上訴之程序)
一、如無初端駁回之理由且上訴狀亦符合接受之條件,則向經濟司司長作出傳喚
批示,以便其在三十日內將關於上訴所針對批示之卷宗送交法院並在有需要時答
辯。
二、上訴係針對拒絕或給予商標註冊之批示時,亦應視乎情況傳喚申請人或聲明
異議人在相同期間內答辯。
三、不答辯無不利之效果。
四、續後之程序步驟按民事簡易訴訟程序形式為之,且准許採用各種證據方法及
就裁判向高等法院提起上訴。
第四十八條
(商標權之證明)
以註冊證作為商標權之證明。
第四十九條
(註冊證之發給)
一、給予商標權時無人聲明異議,則在支付給予商標應付之費用後得發給註冊證。
二、在雖有聲明異議但仍給予商標權之情況下,得在第四十六條第三款所訂之期
間屆滿後且經濟司從法院獲悉就有關決定無提起司法上訴,並在支付給予商標之
費用後發給註冊證。
三、如對有關決定提起司法上訴,申請人在附具對其有利之裁判之證明及支付有
關費用後得發給註冊證。
第五十條
(商標註冊證之內容)
除其他證明所有權之必需完整認別資料外,以上數條所指之註冊證,尚應載有下
列資料:
a)指明註冊證係由澳門地區發出;
b)指明發出註冊證之實體;
c)給予批示之日期;
d)商標權之有效期間;
e)適用之法律規定;
f)日期及有權限實體之簽名。
第五十一條
(註冊證明書)
商標註冊權利人得獲發內容與註冊證一致之證明書以證明其權利。
第五十二條*
(專有性之監察)
一、經濟司與商業及汽車登記局須設有一載明已註冊商標、屬自然人之商人及公
司之商業名稱或名稱之最新資料之檔案,且可透過資訊設備互相查閱資料。
二、如存在名稱要素與將設立之公司之名稱混淆之已註冊商標,商業及汽車登記
局應在須向公證員出示之證明上說明該事實。
三、如商標所含之名稱要素與已在商業及汽車登記局註冊之屬自然人之商人及公
司之商業名稱或名稱混淆,則拒絕該商標之註冊;如屬商業名稱或名稱之本身權
利人申請註冊,或屬經該權利人許可而申請之情況,則不在此限。
四、如商業名稱或公司名稱與已在經濟司註冊之商標混淆,則不接納以確定性之
方式登記屬自然人之商人之註冊或公司之設立;如屬商標之本身權利人申請登
記,或屬經該權利人許可而申請之情況,則不在此限。

第五十三條
(商標之變更)
對任何須重新註冊之變更之請求,按以上數條之規定為之。
第二分節
國際商標註冊之請求
第五十四條
(要件)
一、商標註冊權利人,如居住於澳門或其場所設於澳門,擬確保其商標受已加入
或將加入一八九一年四月十四日關於製造商標或銷售商標國際註冊之《馬德里協
定》國家之法律保護,應向經濟司呈交申請書,其中除第二十七條所載內容外,
亦應載有:
a)註冊日期及最後一次提出續展之日期;
b)註冊卷宗之編號;
c)商標以前之國際註冊日期及編號,以及未在國際註冊上登錄之有關權利人之 替換及姓名、商業名稱或名稱之變更;
d)如申請人要求將顏色作為其商標之一區別要素,則須有此方面之聲明;
e)交付國際手續費之日期、方式及交付人、以及手續費係為支付二十年之註冊 保護或僅首十年之註冊保護。
二、上款所指之註冊請求,須附具按一八九一年四月十四日關於製造商標或銷售
商標國際註冊之《馬德里協定》所規定之註冊程序必須之文件。
第五十五條
(註冊請求之處理)
一、審查申請書所載之資料與有關卷宗及註冊所載之資料是否符合及認證印刷文
件原件後,由經濟司填寫細則所規定之格式,並在每一格式內附一黑白商標複製
式樣,如申請要求附彩色商標,則在黑白複製式樣旁附一彩色複製式樣。
二、如任一項手續未辦妥,應通知申請人在三十日內使情況符合規定,此期間屆
滿後卷宗即存檔;重開卷宗須重新提出申請。
三、辦妥上述規定所指之手續後,將請求轉移予國際局。
第五十六條
(將格式交予申請人)
經濟司收到國際局發給之經適當簽名、蓋印及註明國際註冊日期及編號之格式,
並將國際註冊編號及日期在澳門註冊卷宗註錄後,應將格式送交申請人或其受託
人。
第五十七條
(註冊保護之部分放棄)
國際註冊權利人得放棄其商標在一個或更多參加國中之保護,為此須向經濟司遞
交有關聲明,以便該司通知國際局及由其通知保護已被放棄之國家。
第五十八條
(註冊之續展)
國際註冊之續展須辦理為第一次請求所規定之手續。
第五十九條
(產品之附加或代替)
上條之規定適用於後來附加之新產品或類別及以另一產品或類別代替一產品或
類別之情況。
第六十條
(通知國際局有關變更)
經濟司應促使將所有關於澳門註冊商標且可影響國際註冊之變更通知國際局,以
便國際局將該等變更在國際註冊上登錄,作出公布及通知各給予該商標保護之參
加國。
第六十一條
(國際註冊之效力)
一、依據一八九一年四月十四日《馬德里協定》規定收到國際註冊商標在澳門之
商標保護請求後,按第三十三條及第三十四條之規定及為上述兩條規定之目的作
出公布。
二、聲明異議之期限屆滿後,將審查有關請求及對此作出決定,如發現有任何按
第四十三條之規定引致拒絕商標在本地區註冊之理由,應拒絕該商標在澳門之保
護。
三、在聲明異議後,對拒絕商標權及給予商標權之批示,得根據本法規之規定提
起司法上訴。
第六十二條
(通知拒絕之手續)
一、拒絕保護應以一式三份之通告通知國際局,一份給予國際局,一份給予所屬
國之工業產權部門,最後一份給予商標註冊權利人。
二、拒絕通告內應載明下列事項:
a)澳門地區之註明;
b)發送日期;
c)國際註冊之編號及日期;
d)所有人之姓名及住所;
e)拒絕之原因;
f)上訴之期間及可受理上訴之法院;
g)屬部分拒絕之情況,指明商標在澳門不適用於何種產品或服務;
h)如拒絕之理由係以前已有註冊,應指明阻礙給予註冊之國內外商標,商標之 樣版、所有人之姓名及住所、註冊日期及編號。
三、拒絕通告之背面應抄寫本法規規定中有關拒絕之理由,上訴之期間及受理上
訴之法院之主要規定。
第六十三條
(通知拒絕之期間)
拒絕在澳門地區給予保護之通告應自商標國際註冊日起計一年內送交國際局。
第六十四條
(因商標之變更而拒絕續展)
如在國際註冊商標續展時引入任何改變其顯著特徵或所應適用之產品或服務之
變更,應拒絕該商標之續展,從而不予以保護。
第六十五條
(因續展被拒絕而提出新註冊)
一、因續展遭拒絕而不獲保護之商標,在重新註冊後得受保護,但須符合註冊所
需要件及辦妥法定手續。
二、根據本條規定而給予之保護,應顧及在新、舊註冊內名稱相同之產品或服務
之權利及優先。
第三節
商標權之轉讓、設定
負擔及使用許可
第六十六條
(商標所有權之轉讓)
一、註冊商標之所有權,不論有否移轉場所或讓與場所之經營權,得以無償或有
償方式轉讓。
二、屬場所頂讓之情況,推定商標所有權之轉讓,但另有規定除外。
三、如商標所有權之轉讓連同其所屬場所所有權之移轉,有關合同應按該類場所
移轉所要求之手續辦理。
四、不論有否移轉場所,商標所有權之轉讓均以書面作出,而訂定合同人之簽名
須經公證認定。
第六十七條
(商標之使用許可)
一、商標註冊權利人得以無償或有償方式許可他人於商標包括之全部或部分產品
或服務上使用其商標。
二、屬獨占許可之情況,則該許可有效時不得再給予其他任何許可。
三、自使用許可取得之權利,不得在未經註冊權利人書面同意時,轉讓或暫時讓
與他人,但許可合同內另有規定除外。
四、獲許可人享有給予註冊權利人之權利,但許可合同內另有規定除外。
五、許可合同應以書面作出,而訂定合同人之簽名須經公證認定。
第六十八條
(特定商標所有權之不可轉讓性)
給予監督或監察經濟活動之機構之註冊商標不可轉讓,但有關章程或組織法規有
特別規定者除外。
第六十九條
(商標權之轉讓、 設定負擔及
使用許可之註冊)
一、如商標權之轉讓、設定負擔及使用許可未在經濟司作附註,則不對第三人產
生任何效力。
二、在註冊證及簿冊或資訊軟件內作附註係由任一利害關係人為之,並附同轉
讓、設定負擔及使用許可之證明文件。
三、註冊證發還申請人,有關文件則連同申請書附於卷宗內。
四、附註須根據本法規之規定公布。
第七十條
(居所、公司住所或名稱之變更之登記)
上條之規定經適當配合後適用於居所、公司住所、商業名稱或名稱之變更及其他
類似情況。
第四節
商標之續展、消滅及無效
第七十一條
(商標權之續展)
一、商標權得在失效前六個月以呈交申請續展,為此須附同原註冊證。
二、商標權之續展根據本法規規定公布,並在註冊證上作出有關附註。
第七十二條
(商標之消滅)
一、商標因下列情況消滅:
a)失效;
b)放棄;
c)不繳納費用;
d)損害商標識別性之變更;
e)因產品或服務之附加或代替而給予新商標權。
二、失效發生於:
a)給予商標權之期間屆滿;
b)連續三年不使用商標,但具合理解釋之不可抗力之情況除外;
c)第十五條第三款最後部分規定之情況。
三、集體商標因下列情況消滅:
a)為商標權利人之機構不再存在;
b)在為權利人之機構知悉之情況下,以違反機構之一般宗旨或章程規定之方式 使用商標。
四、商標之消滅須按本法規之規定公布。
第七十三條
(因放棄而引致之消滅)
一、商標權之放棄須經權利人於專用表格上簽名,而簽名須經公證認定。
二、放棄商標權不損害第三人之權利,尤其是產生於使用許可合同或設定負擔之
權利,在此情況下放棄僅在所給予之許可或設定負擔之期間屆滿後方產生效力。
三、如放棄申請未經權利人簽名,受託人或律師應附上為此目的之具特別權力之
授權書。
第七十四條
(商標註冊之撤銷)
一、下列情況構成撤銷商標註冊之理由:
a)第四十三條所規定拒絕商標之原因;
b)為全部或局部複製、仿造或翻譯屬於[巴黎公約聯盟]任一國家公民之馳名 商標,且在用於相同或類似產品或服務上時,會與該馳名商標混淆之註冊之給予。
二、擬撤銷上款 b 項商標註冊之利害關係人,僅得在證明已對其商標提出註冊申 請,而該商標可與欲撤銷之商標混淆時,方得請求有關撤銷。
第七十五條
(撤銷之訴)
一、撤銷之訴應在知悉作為撤銷理由之事實後一年內向普通管轄法院提出。
二、撤銷商標註冊之裁判應在確定後通知經濟司,且應根據本法規之規定公布,
有關費用由利害關係人支付。
第二章
侵犯商標權之不法行為及不正當競爭之禁止
第七十六條
(商標權之侵犯)
一、作出下列行為之人,處最高為一年之徒刑或澳門幣五千至五十萬之罰金:
a)未經已註冊商標正當所有人同意,全部或局部假造或以任何方法複製該商標;
b)仿造已註冊商標之全部或局部顯著特徵;
c)使用假造或仿造商標;
d)將屬於他人之已註冊商標欺詐使用於其產品或服務;
e)欺詐使用其商標於他人之產品或服務上,使消費者誤認產品或服務之來源;
f)進口、出售、託售具有以上數款所指之假造、仿造 或欺詐使用商標之產品或 服務或將之流通;
g)於設立法人之章程及組織法規所規定之條件外,使用集體商標。
二、累犯處以最高為三年之徒刑或澳門幣五萬至一百萬之罰金。
第七十七條
(因商標註冊之撤銷產生之責任)
故意申請商標註冊,而該註冊因侵犯第三人權利而被撤銷者,處以虛假聲明罪之
刑罰。
第七十八條
(無強制商標)
如為強制使用商標之物件而未有使用商標時,除特別法例所規定之後果外,應扣
押該等物件,而違法者應按法律之一般規定對造成之損失及損害負責。
第七十九條
(不正當競爭)
一、違反任何經濟行業之規定及誠實經營之所有競爭行為即構成不正當競爭。
二、尤其禁止下列行為:
a)採用任何手段對競爭對方之場所、產品、服務或信譽造成混亂之一切行為;
b)在經營工商業或服務業中利用虛假聲明損害競爭對方之場所、產品、服務之 信譽或競爭對方之聲譽;
c)未經許可之引用或提及,意圖從他人之場所名稱、商標、產品或服務之信譽 或聲譽中為本人謀取利益;
d)在有關場所或所有人資本或財政狀況、其業務及行為之性質或範圍及顧客身 分及數量方面,作出該類場所或其所有人之信譽或聲譽之虛假說明,以為本人謀
取利益;
e)對產品或服務之性質、質量及用途之欺詐廣告及虛假描述或說明;
f)以任何方法作出之產品來源,包括生產地方、區域 或地區及廠房、農場或場 所之虛假說明;
g)由出售者或居間人刪除、隱瞞或更改出售產品上之原產地名稱或生產商或製 造商之已註冊商標而未有變更產品之貯存狀況;
h)不法取得、利用或洩露他人之工商業秘密。

第八十條
(補充適用)
禁止作出不正當競爭行為之規定僅適用於不屬於侵犯商標權或其他工業產權規
定之事實狀況。

第八十一條
(民事責任)
作出本章所禁止之行為者,按法律之一般規定對所造成之損失及損害負責。
第三章
最後及過渡規定
第八十二條
(開始生效)
一、本法規自公布後三十日開始生效。
二、本法規有關商標國際註冊之規定,自一八九一年關於製造或銷售商標國際註
冊之《馬德里協定》適用於澳門之日起開始生效。
第八十三條
(前商標)
國家工業產權署准予適用於澳門之商標,在准予之期間內維持其完全有效,但其
續展則須遵守本法規之規定。
第八十四條
(待決註冊請求)
一、在本法規開始生效之日前待決且仍未在《工業產權公報》公布之商標註冊請
求,由國家工業產權署將之送回經濟司,由該司負責此後所有程序。
二、對其餘在本法規開始生效時待決之商標註冊請求,僅適用現行制度之規定。
三、本法規規定適用於上款所指註冊之續展。
第八十五條
(廢止)
廢止與本法規之規定相抵觸之一切法律規定,尤其是:
a)六月二十九日第 44/87/M號法令;
b)公布於一九九五年九月四日第三十六期《政府公報》第一組別之一月二十四 日第 16/95 號法令所核准之《工業產權法典》第一百六十五條至第二百一十六條、 第二百六十四條、第二百六十五條、第二百六十九條、第二百七十條及第二百九
十條至第二百九十三條之規定。

The approval of this decree governing the protection of trade marks achieves the objective of setting up a local system of trade mark registration and thus, while maintaining cooperation in this respect, removes the need for intervention by a Portuguese administrative body — the National Institute of Industrial Property — in relation to the Territory of Macao, and confers the necessary powers for operating the said system on the Directorate of Financial Affairs.
Moreover, it meets the wider objective of setting up a credible system for the protection of industrial property rights which it is hoped will, together with the other benefits and incentives recently set up by the Government of the Territory, serve to attract the investment needed to provide a boost to the economy and development of Macao.
Therefore,
Having heard the Consultative Council,
The Governor-decrees, pursuant to the provisions of Article 13, No. 1 of the Fundamental Law of Macao, that the following shall have legal force in the Territory of Macao:
CHAPTER I RIGHT TO THE TRADE MARK
SECTION I GENERAL PROVISIONS
Article 1 (Scope of protection)
The present decree governs the protection of trade marks.
Article 2 (Right to the trade mark)
- 1.

Anyone who adopts a certain trade mark to identify the goods or services produced by his economic activity and who satisfies the legal requirements, particularly those relating to registration, shall enjoy the ownership thereof and exclusive rights therein.
- 2.

The right to the trade mark confers the guarantees established by law relating to property in general and is protected in particular by the terms of the present law and the provisions of international law.
Article 3 (Field of application)
1. The present decree shall apply to residents of the Territory of Macao and to the citizens of those countries which belong to the International Union for the Protection of Industrial Property, the terms of the Paris Convention of 20th March 1883 and subsequent revisions thereto, regardless of their place of domicile or abode, subject to the special provisions concerning jurisdiction and lawsuits.

Citizens of any other country who have a domicile or a real and effective industrial or commercial establishment in the territory of one of the member countries shall be deemed to be citizens of the countries belonging to the Paris Convention.
- 2.

As far as citizens of other countries are concerned, the provisions of the international agreements between Macao and the state in question, or, failing any such agreements, a reciprocal arrangement, shall apply.
Article 4 (Use of unregistered trade marks)
- 1.
-
The use of unregistered industrial or commercial trade marks or service marks shall be permitted.
- 2.
-
Anyone who uses an unregistered trade mark for a period of no more than six months shall, during this period, have the right of priority in applying for registration, and may claim against applications previously made by others.
Article 5 (Legal presumption of grant of the right to the trade mark)
Registration of the trade mark simply implies a presumption of novelty or distinction compared with those previously registered, and shall be granted at the expense and risk of the applicant.
Article 6 (Optional use of the trade mark)
Without prejudice to the provisions concerning the lapse of the right to the trade mark, the use thereof is optional, except in the case of goods or services for which the use of a registered trade mark has been declared mandatory by law.
Article 7 (Right to use the trade mark)
The right to use the trade mark shall be conferred on anyone who has a legitimate interest therein, i.e.:
a) Industrialists or manufacturers, in order to identify goods produced by their industry or factory,
b) Businessmen, in order to identify goods produced by their business
c) Craftsmen, in order to identify goods produced by their art, craft or trade
d) Service providers, in order to identify their particular field of activity.
Article 8 (Collective mark)
- 1.

In addition to the provisions of the previous article, the right to use a trade mark shall also be granted to organisations which supervise or regulate economic activities, in order to identify goods produced by the activities which they supervise or regulate, in accordance with their purposes and pursuant to the terms of their respective statutes or constitutional charters.

The organisations referred to in the above paragraph shall, as applicable, arrange for the insertion of provisions in their respective constitutional charters or statutes specifying:
a) who shall be entitled to use the trade mark
b) the conditions under which the trade mark can be used
c) the rights and obligations of interested parties in the case of infringement

3. The Directorate of Financial Affairs shall be notified by the management of the organisation owning the trade mark within thirty days of any changes to the statutes which alter the collective mark system.
Article 9 (“Registered Trade mark”)
Throughout the validity of the registration, the proprietor of the trade mark has the right to add to it the term “Marca Registada” or the initials “M.R.” or simply the letter “R”, as well as the Chinese expression [Chinese characters] and the corresponding romanised version in Cantonese, chu chak seong pio, or in Mandarin, zhù cè shang biao, and the English expressions “Registered Trade mark” or “T.M.”.
Article 10 (Registration for goods and services)
The registration of trade marks is carried out for goods or services, the Directorate of Financial Affairs being responsible for indicating the corresponding classes, in accordance with the prescribed system of classification, to be published by government directive.
Article 11 (Addition and substitution of goods or services)
Any goods or services added subsequently, and the substitution of one product or service by another, even if within the same class, shall be subject to a new registration procedure.
Article 12 (Inalterability of the trade mark)

The trade mark may not be altered, any change to any of its component parts being subject to a new registration procedure.
- 2.

The provisions of the above paragraph shall not apply to simple changes which do not affect the identity of the trade mark and affect only its proportions or the material in which it has been stamped, engraved or reproduced, including the colour, if this is not expressly claimed as one of the characteristics of the trade mark.
Article 13 (Commencement and duration of the trade mark)
The right to the trade mark shall take effect from the date of grant and shall remain valid for a period of seven years from the date of filing of the respective application, and shall be renewable for the same period under the terms of Article 71.
Article 14 (Composition of the trade mark)
- 1.

The trade mark may consist of one or more words or figurative or emblematic designs which, when applied in some form to goods or to their packaging, distinguish those goods from other identical or similar goods.
- 2.

The trade mark may also comprise the shape of goods or their packaging inasmuch as these distinguish them from other identical or similar goods or packaging.
- 3.
-
Colours in themselves do not constitute a trade mark except, if the interested party has applied for their protection, where they are combined either together or with graphics, printed words or other items, in a particular and distinctive fashion.
- 4.

The trade mark may not consist exclusively of signs or indications which may serve, in trade, to designate the kind, quality, quantity, intended purpose, value, geographical origin or the

time of production of goods or which have become customary in current language or in the bona fide and established practices of the trade.
Article 15 (Languages which may be used in the trade mark)
- 1.

The words in the trade mark shall be in Portuguese, Chinese or English, or any combination of these languages.

In the registration application, Chinese characters shall be romanised, and a translation given, unless they comprise an invented design.
- 3.

Trade marks for goods destined solely for export may be written in any language, but the trade mark shall lapse if they are used in Macao.

The obligation to use Portuguese, Chinese or English shall not apply to applications for international trade mark applications and to those made by foreign individuals or companies not domiciled in Macao.
Article 16 (Publication)
1. All notices specified in the present decree shall be published, at the applicant’s expense, in the Official Gazette of Macao, with the official support of the Directorate of Financial Affairs.
2. The following are to be published in the form of notices: a) The application for registration of the trade mark b) The grant or refusal of right to the trade mark c) Any assignment, encumbrance or licence of exploitation of the right to the trade mark d) Changes in address, registered office or name of the proprietor of the trade mark e) The renewal, lapse or revocation of the right to the trade mark.
Article 17 (Notification)
- 1.
-
Notifications to be issued under the terms of this decree, with the exception of those arising during legal proceedings, in which case the provisions of procedural law shall apply, shall be sent by registered letter.
- 2.
-
Notifications issued under the terms of the above paragraph shall be deemed to have been served on the third day after posting, or on the first working day after this, if it is not a working day, and shall not take effect prior to this date.
- 3.
-
The assumption made in paragraph 2 above may be refuted by the recipient of the notification if the notification is received later than the presumed date, for reasons not attributable to the recipient, proof of the actual date of receipt being required from the postal service.
Article 18 (Persons entitled to take action)
1. Action and proceedings may be instigated only: a) By the interested parties or by their duly empowered representatives, if they are
domiciled or established in Macao; b) By lawyers.

If the petitions are signed by representatives as specified in paragraph a) above, the relevant power of attorney must be attached thereto, and if a power of attorney has been issued in a foreign country, it must be duly authenticated and translated.
- 3.

Lawyers may instigate in the name and on behalf of their clients all types of proceedings and action specified in this decree, and are exempt from having to present their credentials, except in the case of proceedings involving the renunciation or surrender of the right to the trade mark.
Article 19 (Fees)
The Governor shall issue an order specifying the fees due for the proceedings specified in this decree and also the terms and conditions of payment thereof.
Article 20 (Public nature of registers)
Anyone may request a certified copy or photocopy of registration entries, filed documents and pending applications for registration which have already been published, as well as information on the date of publication of any of the documents referred to in this decree.
SECTION II REGISTRATION PROCEDURE
SUBSECTION I APPLICATION FOR REGISTRATION IN MACAO
Article 21 (Priority of registration application)
- 1.

Except in the cases specified in the following articles, the registration of the right to the trade mark shall be granted to whomever first submits the corresponding application, accompanied by the required documents which provide the information specified by law.
- 2.

If the application is not accompanied by all the required documents, the priority shall apply from the date and time at which the last document is provided.
Article 22 (Priority of registration application submitted in a Paris Convention member country)
- 1.
-
Anyone who has personally or through his legal representative submitted a regular application for registration of a trade mark in any of the Paris Convention member countries, or the applicant’s successor in title, shall have the right of priority in applying for registration in Macao.
- 2.
-
The term regular application for registration shall be deemed to mean an application which has been submitted under conditions which allow the date on which it was submitted in the country in question to be established, whatever may subsequently have affected it in any way.
- 3.
-
The duration of the right of priority shall be six months from the day immediately following the date on which the application for registration was filed.
Article 23 (Scope of priority of registration application submitted in a Paris Convention member country)
1. A registration application submitted within the priority period referred to in the above article may not be refused or invalidated on the basis of any fact verified between the initial

registration application and that made in Macao, including in particular any other application for registration with an identical object or on the basis of use of the trade mark.
2. The facts referred to in the latter part of the above paragraph cannot in any case give rise to rights of third parties or the priority of registration based on use.
Article 24 (Priority of the Paris Convention)
- 1.

An applicant who wishes to avail himself of the priority for a registration application made in a Paris Convention member country shall, together with all other formalities necessary for processing his registration application in Macao, declare his intention to do so, stating the number, date and time and country of filing of the application.
- 2.
-
The applicant shall also, within a period of three months from the date of submission of the registration application in Macao, attach a copy of the registration application which gives rise to the priority, clearly indicating the date on which that application was filed.
- 3.
-
The documents referred to in the above paragraph do not have to be legalised, but they must be authenticated by the authority which received the initial application.
- 4.
-
In the case of succession to a title, the successor to the right of the original applicant must provide evidence of such succession when the registration application is submitted in Macao.
Article 25 (Failure to fulfil legal formalities)
Any failure to fulfil the formalities referred to in the above article shall result in the loss of the right of priority.
Article 26 (Priority based on use of an unregistered trade mark)
- 1.

Applicants who wish, under the terms of paragraph 2, Article 4, to claim priority for their registration application based on the use of an unregistered trade mark shall, together with all other items necessary for processing the application registration in Macao, submit all documents providing evidence of the said use.
- 2.
-
The documents to be used as evidence, as referred to in the above paragraph, shall be freely assessed, except in the case of authentic documents.
Article 27 (Application for registration)
1. The trade mark registration process begins with the submission to the Directorate of Financial Affairs of two copies of an application for registration, signed by the applicant or by the applicant’s representative and drawn up using the proper printed form of the type shown in the example attached to this decree.
2. The applicant must specify on the form referred to in the above paragraph:
a) His name, firm or company name;
b) His nationality;
c) His profession or main occupation;
d) His address or registered office;
e) Whether the trade mark relates to goods or services;
f) The class and the goods or services to which the trade mark relates;

g) Whether the trade mark is industrial or commercial;
h) The items referred to in Article 24 if the applicant wishes to claim the priority of the Paris Convention;
i) The items referred to in the preceding article if the applicant wishes to claim priority on the basis of use of an unregistered trade mark;
j) The legal or statutory provisions under which the collective mark system has been established, if applicable.
Article 28 (Processing of application for registration)
The following items must be submitted with the application for registration:
a) A representation of the trade mark, attached to the appropriate section of the printed form;
b) Two photolithographs, with maximum dimensions of 7 × 8 cm and minimum of 1.5 cm × 1.5 cm, for typographic reproduction of the trade mark;
c) Authorisation from a third party if the applicant plans to include in the trade mark that party’s name, firm or company name, insignia or likeness;
d) Authorisation to include in the trade mark any flags, armorial bearings, shields, coats of arms, or other emblems of the Territory, municipal authorities or other public or private entities, whether national or foreign, official badges, stamps and seals of certification and guarantee, private emblems or names of the Red Cross or other similar organisations
e) The items referred to in Article 26in the case where the applicant wishes to claim priority on the basis of the use of an unregistered trade mark.
Article 29 (Proof of filing of application for registration)
The duplicate of the application for registration shall be returned to the applicant duly stamped and bearing a note of its number as well as the date and time, to serve as proof of filing.
Article 30 (Classification of goods and services)
1. Once the application for registration of the trade mark has been made, the Directorate of Financial Affairs will classify the goods and services in accordance with the provisions of Article 10.
2. If the application includes goods or services classified under different classes, the applicant shall be told to restrict the application to one single class and to make further applications, if required, for the different goods or services.
3. The applicant may oppose the classification within a period of thirty days from the date of publication of the application for registration of the trade mark.
4. A decision shall be taken concerning the opposition referred to in the above paragraph within a maximum of fifteen days and shall be notified to the applicant.
5. An appeal may be made against the decision on the opposition to the court having jurisdiction in the matter. The appeal shall be lodged within thirty days of publication of the notice of the grant of right to the trade mark, the provisions of Article 47 applying, as appropriate.

Article 31 (More than one trade mark included in a single registration)
- 1.

It is permitted to include in a single application for registration a series of trade marks which differ only in the name of the goods or services to which they apply.
- 2.

Each of the trade marks referred to in the above paragraph shall have independent effect, but ownership of the series shall be indivisible, and the series shall have just one registration number, with a different letter to identify each trade mark in the series.
Article 32 (Rectification of irregularities in the application for registration)
- 1.
-
If, prior to publication of the notice of application for registration, it is found that a document is missing or that there is some other irregularity, the applicant shall be notified and required to rectify the situation within a period of thirty days.
- 2.
-
The publication referred to in the preceding paragraph shall take place only once the situation has been rectified.
- 3.
-
If the application for registration of the trade mark is not rectified within the period specified in paragraph 1, it shall be cancelled and revoked.
Article 33 (Publication of the application for registration)
- 1.
-
Once the application for registration has been received and the goods and services have been classified, the application shall be published in accordance with the terms of Article 16.
- 2.
-
Publication of the notice of application for registration includes the typographic reproduction of the trade mark and an indication of the class and of the goods or services for which it is to be used.
Article 34 (Opposition proceedings)
Anyone who considers the potential grant of registration prejudicial to his interests may give notice of opposition to the registration to the director of the Directorate of Financial Affairs within ninety days of the date of the publication referred to in the preceding paragraph.
Article 35 (Rejection of the opposition)
1. Failure to give notice of opposition before the end of the period referred to in the preceding paragraph will result in a declaration of rejection issued by the director of the Directorate of Financial Affairs within fifteen days of the date on which the opposition is lodged.
2. Notification of the rejection decision shall be sent to both the opponent and the applicant.
3. There is no independent appeal procedure against the rejection decision although the opponent may, under the terms of Article 47, appeal against the decision granting the right to the trade mark, it being a prerequisite that such appeal is made on the grounds of the invalidity of the said decision.
Article 36 (Notification of and response to opposition)
1. Once the opposition has been received, the applicant shall be notified thereof within fifteen days of the date of its submission and must respond within thirty days.
2. A copy of the opposition shall be sent to the applicant with the notification.
Article 37 (Rejection decision and notification of the response to the opposition)

1. The provisions of paragraphs 1 and 2 of Article 35 shall apply, as appropriate, to the submission of the response.
2. The opponent shall be sent a copy of the response within fifteen days.
Article 38 (Obligation to provide copies)
- 1.

As many copies of the opposition and the response to the opposition shall be submitted as there are applicants or opponents.
- 2.
-
In addition to the copies referred to in the preceding paragraph, an additional copy must be sent for the archives and to be used as a basis for rectifying matters in the case of mistakes.
Article 39 (Filing of documents)
1. The documents shall be filed together with the document which summarises the facts referred to therein and not, under any circumstances, any later.
2. The provisions of the preceding article shall apply to the filing of documents.
Article 40 (Inspection)
- 1.

In the case of either the opposition or the response, the parties may, giving reasons, request an inspection of a commercial or industrial establishment or other relevant premises, with a view to supporting or clarifying their allegations.
- 2.
-
If an inspection has been requested and once the period allowed for response to the opposition has expired, the director of the Directorate of Financial Affairs shall decide on the matter.
- 3.
-
Once the inspection has been authorised, it shall take place within fifteen days of notification of the decision referred to in the preceding paragraph.
- 4.
-
The inspection may not be postponed, and any failure to carry it out as a result of an impediment affecting either of the parties shall be freely assessed on the basis of the circumstances of each case.
- 5.
-
The cost of the inspection shall be borne by the party whose claim is rejected in the final decision.
Article 41 (Subsequent proceedings)
- 1.
-
Once the opposition or the response have been submitted, or after the respective periods allowed have elapsed, and after any inspections have been carried out, the application for registration of the trade mark shall be examined and a decision taken.
- 2.
-
Notification of rejection of the application for trade mark registration shall be sent to the applicant and, if there was any opposition, to the opponent.
Article 42 (Examination of the trade mark application)
- 1.
-
The examination of the application shall consist principally of the examination of the requested trade mark and comparison with the registered trade mark or marks relating to the same goods and services and to similar goods and services.
- 2.
-
The examination of the trade mark shall always, as far as any words included in the trade mark are concerned, include an assessment of the possibility of confusion between the Portuguese,

Chinese, English or other characters and sounds, either in each language on its own or between the various languages.
Article 43 (Refusal of registration)
Registration of the trade mark be refused if:
a) The fees have not been paid;
b) The required documents have not been provided;
c) Other essential formalities have not been carried out;
d) The applicant is likely to practise unfair competition, or if this might occur for reasons beyond his control;
e) The provisions concerning the composition of the trade mark or the language used have not been complied with;
f) The trade mark consists, in whole or in part, of flags, armorial bearings, shields, coats of arms or other emblems of the Territory, municipal authorities or other public or private entities, whether national or foreign, without the necessary authorisation having been obtained;
g) The trade mark consists, in whole or in part, of official badges, stamps and seals of certification and guarantee, in respect of trade marks to be used for goods identical or similar to those to which they are to be applied, unless appropriate permission has been obtained;
h) The trade mark consists, in whole or in part, of coats of arms or heraldic insignia, devices, decorations, names, titles and honours to which the applicant is not entitled or, if he is entitled thereto, which could be disrespectful to or detract from the prestige of such insignia;
i) The trade mark consists, in whole or in part, of the emblem or name of the Red Cross or other organisations which have been granted by the Governor the right to use private emblems, unless special permission has been obtained;
j) The trade mark consists, in whole or in part, of a firm or company name, name or logo which do not belong to the applicant or which the applicant is not authorised to use;
l) The trade mark consists, in whole or in part, of the names or likenesses of individuals, without permission for such use from the individuals in question, or, if they have died, from their heirs or relatives up to the fourth degree, or if, in the case where such permission has been obtained, the trade mark in question could be disrespectful to or damage the reputation of such individuals;
m) The trade mark consists, in whole or in part, of the illegal reproduction of a protected literary, artistic or other work, unless appropriate permission has been obtained;
n) The trade mark consists, in whole or in part, of false information concerning the nature, quality or use of the goods and services to which it applies;
o) The trade mark consists, in whole or in part, of a false indication of provenance of the goods, whether the country, region or locality, or the factory, property or establishment;
p) The trade mark consists, in whole or in part, of the reproduction or imitation of all or part of a trade mark registered earlier by someone else for the same goods or services or similar goods or services, which could mislead consumers.

Article 44 (Imitation or infringement of trade mark)
- 1.

Trade marks shall be deemed to have been imitated or infringed in whole or in part, in the case where a trade mark for goods or services entered in the classification list under the same number or under a different but very similar number, bears such a close similarity in graphics or words, or figurarively or phonetically, to another previously registered trade mark as to easily mislead or confuse consumers, since they would not be able to distinguish between the two without close examination or comparison.

Trade marks shall be deemed to have been partially imitated or infringed in the case of use of a particular invented or fanciful name which forms part of a earlier trade mark belonging to someone else, or solely of the external appearance of the packaging or wrapping with the relevant colours and arrangement of wording, devices and insignias, in such a way that illiterate persons would not be able to distinguish them from others adopted by the proprietors of legitimate trade marks, especially well-known trade marks or those of international renown.
Article 45 (Well-known trade marks)
- 1.
-
Interested parties may request the refusal of an application for registration of a trade mark if it consists, in whole or in large part, of the reproduction, imitation or translation of another well-known trade mark which is known to belong to an individual or company who is a national of or whose registered office is located in another Paris Convention country, if it is applied to identical or similar goods or services and with which it could be confused.
- 2.

Interested parties seeking the refusal of a trade mark as mentioned in the preceding paragraph may intervene in the proceedings only if they can provide evidence of having already requested in Macao the relevant registration or if they do so at the same time as submitting the request for refusal.
Article 46 (Legal remedy)
1. An appeal against the decision to refuse registration of the trade mark or the decision to grant it, in the case of opposition proceedings, may be made to the court having jurisdiction in the matter.
2. The following shall be entitled to lodge such appeal:
a) The applicant for the registration which has been refused, or his successors in title;
b) The opponent or his successors in title.
3. The appeal shall be lodged within thirty days of notification of the decision.
Article 47 (Appeals procedure)
- 1.
-
If there are no grounds for preliminary refusal and if the application is admissible, a summons shall be addressed to the Director of the Directorate of Financial Affairs, requiring him to refer the matter to which the summons relates to the courts within a period of thirty days, or to reply, as he sees fit.
- 2.
-
Once an appeal has been lodged against the decision to refuse or to grant registration of the trade mark, the applicant or the opponent, as applicable, shall also be summoned-to reply within the same period.
3. Failure to reply shall not have comminatory effect.

4. Subsequent proceedings shall take the form of summary civil proceedings, in which all evidence shall be submitted and in which any decision shall be subject to appeal to a higher court of law.
Article 48 (Evidence of right to the trade mark)
Evidence of the right to the trade mark shall be provided by the title to the registration.
Article 49 (Grant of title to the registration)
- 1.
-
If the right to the trade mark is granted without any opposition proceedings, the document granting title to the registration may be issued after payment of the fee due.
- 2.
-
If the right to the trade mark is granted despite opposition proceedings, the document granting title to the registration may be issued, after payment of the fee due, once the period specified in Article 46, paragraph 3, has expired, and the Directorate of Financial Affairs has been informed by the court that no appeal proceedings have been lodged against the decision.
- 3.
-
If appeal proceedings are lodged, the document granting title may be issued once the applicant submits an attestation of the court ruling in his favour and pays the corresponding fee.
Article 50 (Content of the document granting title to the registration of the trade mark)
The document granting title to the registration of the trade mark referred to in the preceding articles shall contain the following information, plus any other details deemed necessary for proper identification of the property to which it relates:
a) Designation of the Territory of Macao as the place of issue;
b) Designation of the issuing body;
c) Date of grant;
d) Duration of the period for which the right to the trade mark is granted;
e) Legal provisions applicable;
f) Date and signature of the competent authorities.
Article 51 (Registration certificate)
The proprietor of the trade mark registration may obtain a certificate containing the same information as in the document granting title for the purpose of proving his legal rights.
Article 52 (Notification to the Commercial and Vehicle Registration Office)
The Commercial and Vehicle Registration Office shall be notified by the Directorate of Financial Affairs of the granting of the trade mark registration so that the former does not authorise or register trade or other names which might be confused with the wording of the registered trade mark.
Article 53 (Amendment of the trade mark)
Any application for amendment subject to new registration shall be processed in accordance with the above articles.

SUBSECTION II APPLICATION FOR INTERNATIONAL REGISTRATION
Article 54 (Requirements)
1. The proprietor of a registered trade mark who is resident or established in Macao and who wishes to seek legal protection of his trade mark in the countries which are, or may in future be, party to the Madrid Agreement of 14th April 1891 concerning the international registration of trade or commercial marks, should submit an application to the Directorate of Financial Affairs containing the following information, in addition to that specified in Article 27:
protection granted by the registration or the first ten years only.
2. The documents necessary for processing the application, as specified by the Madrid Agreement of 14th April 1891 concerning the international registration of trade or commercial marks, shall be submitted together with the application for registration referred to in the preceding paragraph.
Article 55 (Processing of application for registration)
- 1.

After establishing both that the information contained in the application conforms to the items required respectively for processing and registration and that the type mould conforms to requirements, the Directorate of Financial Affairs shall draw up the prescribed forms, with a black and white reproduction of the trade mark in each, and, in case of any claim in this respect, a colour reproduction next to the former.
- 2.

If the applicant has failed to fulfil any of the required formalities, he is given notice to rectify the situation within thirty days, at the end of which period the file is archived and can only be reopened on submission of a new application.
- 3.
-
Once the formalities referred to in the preceding paragraphs have been completed, the application is sent to the International Bureau.
Article 56 (Delivery of form to the applicant)
Once the form sent by the International Bureau, duly signed and sealed and giving the date and the international registration number, has been received by the Directorate of Financial Affairs, a copy shall be sent to the applicant or the applicant’s representative, after the number and date thereof have been recorded in the Macao register.
Article 57 (Partial surrender of registered trade mark)
a)
Date of registration and of the last renewal requested;
b)
Number of the registration proceedings;
c)
Date and number of previous international registrations of the trade mark in question, as well as changes of proprietor and changes in the name, firm or company name even if these are not entered in the international register,
d)
If the applicant is claiming the colour to be a distinctive element of the trade mark, the application must contain a declaration to this effect;
e)
Details of the date on which, the form in which and the person by whom the payment of the international fee was made and whether this payment covers the full twenty years of

The proprietor of an international registration may surrender the protection of the trade mark in respect of one or more of the countries in which it is registered, by making a declaration to this effect to the Directorate of Financial Affairs, which is forwarded to the International Bureau and then passed by the latter on to the countries affected by the said surrender.
Article 58 (Renewal of the registration)
Renewal of the international registration shall be subject to the same formalities as required for the original application.
Article 59 (Addition or substitution of goods)
The provisions of the preceding paragraph shall also apply in the case of the subsequent addition of new goods or classes and substitution of one product or class by another.
Article 60 (Notification of alterations to the International Bureau)
The Directorate of Financial Affairs shall notify the International Bureau of any alterations to trade marks registered in Macao which might affect the international register, with a view to registering and publishing such alternations and notifying the member countries in which the trade marks have been granted protection.
Article 61 (Effects of international registration)
- 1.
-
An application for protection in Macao of an internationally registered trade mark, received in accordance with the terms of the Madrid Agreement of 14th April 1891, shall be published under the terms of and for the purposes specified in Articles 33 and 34.
- 2.
-
Once the period allowed for opposition has expired, the application shall be examined and a decision taken, and protection in Macao shall be refused if any of the situations which, under the terms of Article 43, are grounds for refusal of registration of trade marks in the Territory are found to exist.
- 3.
-
An appeal may be lodged under the terms of the present decree against the decision refusing the right to the trade mark, or against the decision to grant it, in the case of opposition.
Article 62 (Formalities for notification of refusal)
1. The International Bureau shall be notified of the refusal of protection. Three copies of the notice shall be sent, one for the said Bureau, one for the industrial property office in the country of origin and the last for the proprietor of the registered trade mark.
2. The notice of refusal shall contain the following information:
a) Reference to the Territory of Macao;
b) The date of issue;
c) The number and date of the international registration;
d) The name and address of the proprietor;
e) The reason for refusal;
f) The period allowed for appeal and the court to which such appeal should be made;
g) If the refusal is partial, indication of the goods or services to which the trade mark cannot apply in Macao;

h) If the reason for refusal is the existence of an earlier trade mark, indication of the national or international trade mark which prevents the registration from being granted, an example of the trade mark in question, the name and address of its proprietor and the date and number of registration.
3. The provisions of the present decree which served as grounds for the refusal shall be transcribed on the reverse of the notice of refusal, which shall also specify the period allowed for appeal and the court to which such appeal should be made.
Article 63 (Period for notification of refusal)
The notice of refusal of protection in the Territory of Macao shall be sent to the International Bureau within a period of one year from the date of international registration of the trade mark.
Article 64 (Refusal of renewal on the grounds of alterations to the trade mark)
Protection may be refused, in the case of renewal, to internationally registered trade marks which have been subject to alterations which change their distinctive character or the indication of the goods or services to which they apply.
Article 65 (New registration on the grounds of refusal of renewal)
- 1.

If protection is refused, in the case of renewal, the trade mark may be protected by a new registration as long as the necessary requirements and legal formalities are observed.
- 2.
-
If protection is granted under the terms of this article, it shall take into account the rights and priorities relating to the goods and services identified in the same terms in both the earlier registration and the current registration.
SECTION III ASSIGNMENT, ENCUMBRANCE AND LICENCE OF EXPLOITATION OF THE RIGHT TO THE TRADE MARK
Article 66 (Assignment of ownership of the trade mark)
- 1.

The ownership of registered trade marks may be assigned free of charge or subject to payment, independently of the assignment or transfer of the business operations.
- 2.
-
The transfer of the goodwill in the business shall be deemed to include the assignment of ownership of the trade mark, unless otherwise stipulated.
- 3.
-
If the assignment of ownership of the trade mark is concurrent with that of the goodwill in the business of which it is a part, the contract shall be subject to the formalities required for assignment of the goodwill in the business.
- 4.
-
If the assignment of ownership of the trade mark is to be independent of the assignment of the goodwill in the business, the relevant agreement shall be made in writing and the signatures of the contracting parties shall be authenticated by notary.
Article 67 (Grant of licence of exploitation of the trade mark)
1. The proprietor of the registered trade mark may grant to a third party a licence to use it, free of charge or subject to payment, in respect of all or some of the goods or services it covers.

As the licence shall be exclusive, no other licence may be granted while the former remains valid.
- 2.

The rights obtained from the licence of exploitation may not be transferred or temporarily assigned without the written consent of the proprietor of the registered trade mark, unless otherwise stipulated in the licence agreement.
- 3.

The licensee shall, unless otherwise stipulated in the licence agreement, enjoy the same rights as were granted to the proprietor of the registered trade mark.
- 4.
-
The licence agreement shall be made in writing and the signatures of the contracting parties shall be authenticated by notary.
Article 68 (Non-transferability of the ownership of certain trade marks)
Trade marks registered by organisations which regulate or supervise economic activities shall not be transferable, unless specific provisions to this effect are included in the statutes or constitutional charters of such organisations.
Article 69 (Registration of assignment, encumbrance and licence of exploitation of the right to the trade mark)

The assignment, encumbrance and licence of exploitation of the right to the invention shall not take effect vis-à-vis third parties until they have been registered with the Directorate of Financial Affairs.
- 2.

The registration shall be entered on the certificate of registration and in the books or computer records at the request of any interested party, on submission of the documentation relating to the assignment, encumbrance or licence of exploitation.
- 3.

The registration certificate shall be returned to the applicant and the documents shall be attached to the file, together with the corresponding application.
4. The registration shall be published as specified in the present decree.
Article 70 (Registration of changes of address, registered office or firm or company name)
The provisions of the preceding article shall apply to changes of address, registered office, and firm or company name or any other similar details, as applicable.
SECTION IV RENEWAL, LAPSE AND REVOCATION OF TRADE MARKS
Article 71 (Renewal of the right to the trade mark)

The right to the trade mark may be renewed by submitting an application six months prior to the date of lapse, attaching the original registration certificate.
- 2.
-
Renewal of the right to the trade mark shall be published under the terms of the present decree and shall be entered on the registration certificate.
Article 72 (Lapse of trade marks)
Trade marks shall lapse as a result of:

a) Expiry; b) Surrender; c) Failure to pay the corresponding fees; d) Alterations to the trade mark which affect its identity; e) Grant of a new right to the trade mark by the addition or substitution of goods or
services.
2. Lapse shall occur as a result of: a) The expiry of the period for which the right to the trade mark was granted; b) The failure to use the trade mark for three consecutive years, except in the case of duly
proven force majeure. c) The situation specified at the end of paragraph 3of Article 15.
3. Collective trade marks shall also lapse if:
a) The organisation which is the proprietor of the trade mark ceases to exist;
b) It is used for purposes other than the general or mandatory purposes set out in the statutes of the organisation which is the proprietor of the trade mark and with its knowledge.
4. The lapse of the trade mark shall be published in accordance with the terms of the present decree.
Article 73 (Lapse as a result of surrender)
- 1.

Surrender of the right to the trade mark shall be made on the proper form, signed by the proprietor, whose signature must be authenticated by a notary.
- 2.
-
Surrender of the right to the trade mark shall not prejudice the rights of third parties, including in particular any rights arising from a licence of exploitation agreement or from any encumbrance of the right to the trade mark, in which case the surrender shall not take effect until the period for which the licence was granted or the encumbrance established has elapsed.
- 3.
-
If the application to surrender the right has not been signed by the proprietor, his representative or lawyer must attach the power of attorney established to this effect.
Article 74 (Revocation of the registration of the trade mark)
1. The following shall be considered grounds for revocation of the registration of the trade mark:
a) The grounds for refusal of registration as specified in Article 43;
b) The grant of the right to a trade mark which consists, in whole or in part, of the reproduction, imitation or translation of another well-known trade mark which is known to belong to citizen of another Paris. Convention country, if it is applied to identical or similar goods or services and with which it could be confused.
2. Interested parties seeking the revocation of the registration of a trade mark as mentioned in paragraph b) above may do so only if they can provide evidence of having already requested the registration of the trade mark with which it may be confused.
Article 75 (Revocation proceedings)

Revocation proceedings must be referred to the court having jurisdiction in the matter within a period of one year from the date on which the grounds for such revocation became known.

Once the court ruling has been made, the decision to revoke the trade mark registration shall be notified to the Directorate of Financial Affairs and shall be published, in accordance with the provisions of the present decree, at the expense of the interested party.
CHAPTER II INFRINGEMENT OF REGISTERED TRADE MARK AND PROHIBITION OF UNFAIR COMPETITION
Article 76 (Infringement of the right to the trade mark)
1. Any person who:
a) Copies, in whole or in part, or otherwise reproduces by whatever mean a registered trade mark without the consent of the legitimate proprietor;
b) Imitates some or all of the characteristic features of a registered trade mark;
c) Uses a counterfeit or copied trade mark;
d) Fraudulently uses for his own goods or services a registered trade mark belonging to someone else;
e) Fraudulently uses his trade mark on goods or services belonging to someone else, for the purpose of misleading the consumer in respect of the origin thereof;
f) Imports, sells, offers for sale or supplies goods or services with a trade mark which is counterfeit, copied or fraudulently used as specified in the preceding paragraphs,
g) Uses a collective mark for purposes other than those specified in the statutes or constitutional charters of the organisations in question
shall be subject to a penalty of up to one year in prison or a fine of between five thousand and five hundred thousand patacas.
2. In the case of a repeated offence, the penalty shall be a prison sentence of up to three years or a fine of between fifty thousand and one million patacas.
Article 77 (Liability in the case of revoked registration)
Anyone who fraudulently makes an application for the registration of a trade mark which is subsequently revoked on the grounds of infringement of third party rights shall be subject to the same penalties as those which apply to the offence of making fraudulent declarations.
Article 78 (Failure to use a mandatory trade mark)
Any goods which are subject to a mandatory trade mark shall, if such a mark is not used, except where otherwise stipulated by special legislation, be confiscated and those responsible shall, by law, be liable for any loss or damage so caused.
Article 79 (Unfair competition)
1. The term unfair competition shall mean any competition contrary to the normal and honest practices of any particular trade.

2. The following in particular are prohibited:
a) Any acts likely to cause confusion with the establishment, the goods, the services or the credit of competitors, whatever the means used;
b) False declarations made in the course of trade, industry or services, with a view to discrediting the establishment, the goods, the services or the reputation of competitors;
c) Unauthorised statements or references, made with the intention of obtaining personal benefit from the credit or reputation of the name of a company, brand, product or service belonging to someone else;
d) False statements, for personal benefit, about the credit or reputation of a company or its proprietor, as regards their capital or financial situation, the nature or extent of their activities and business or the quality and quantity of their customers;
e) Fraudulent advertising and false descriptions or information about the nature, quality and use of goods or services;
f) False information concerning the provenance, place, region or territory, factory, property or company, whatever the method used;
g) The suppression, removal or alteration by the seller or by any intermediary of the original name of the goods or of the registered trade mark of the producer or manufacturer in the case of goods for resale which have not been modified;
h) The illicit appropriation, use or disclosure of industrial or commercial secrets belonging to others.
Article 80 (Subsidiary application)
The provisions prohibiting unfair competition shall apply only if the actual situation does not fall within the scope of the provisions relating to the infringement of registered trade marks or of any other industrial property rights.
Article 81 (Third party liability)
Anyone who carries out the activities prohibited by the provisions of this section shall, by law, be held liable for any loss or damage caused thereby.
CHAPTER III FINAL AND TRANSITORY PROVISIONS
Article 82 (Entry into force)
1. The present decree shall enter into force thirty days after publication.
2. The provisions of this decree relating to international registration shall enter into force as soon as the Madrid Agreement of 1891 concerning the international registration of trade marks or commercial marks is applicable in Macao.
Article 83 (Earlier trade marks)
Trade marks granted by the National Institute of Industrial Property and applicable in Macao shall remain fully valid for the period for which they were granted. However, the provisions of the present decree shall apply on renewal thereof.

Article 84 (Outstanding registration applications)
- 1.

Applications for registration of trade marks which are still outstanding on the date of entry into force of the present decree and which have not yet been published in the Official Journal of Industrial Property shall be resubmitted by the National Institute of Industrial Property to the Directorate of Financial Affairs, which shall then be responsible for subsequent processing thereof.
- 2.
-
Any other applications for registration of trade marks which are still outstanding on the date of entry into force of the present decree shall be subject solely to the provisions of the legislation currently in force.
- 3.
-
The provisions of the present decree shall apply to the renewal of the registrations referred to in the preceding paragraph.
Article 85 (Abrogative clause)
All laws containing provisions which are contrary to those of the present decree are hereby repealed. This applies in particular to the following:
a) Decree Law No. 44/87/M of 29th June;
b) Articles 165 to 216, 264, 265, 269, 270 and 290 to 293 of the Industrial Property Code, approved by Decree Law No. 16/95 of 24th January, published in the Official Gazette, No. 36, Series 1, of 4th September 1995.
